AGREEMENT

AN AGREEMENT made this

BETWEEN: the party

whose particulars appear in Section 1 of the First Schedule annexed hereto (hereinafter
called "the First Party") of the one part AND: the party whose particulars appear in
Section 2 of the First Schedule annexed hereto ( hereinafter called " the Second Party")
of the other part.
WHEREAS
The First Party are the directors of the WAWI OTOMOBIL SDN. BHD. (177123k) (hereinafter referred to as the " Said Company ")
WHEREAS
The Said company is engaged in the business of selling new vehicles as well as Second
Hand Vehicles.
WHEREAS
The Said Company has appointed the Second Party as the General Manager of the said
company
WHEREAS
The Second Party has the full control of the business of the Company.
WHEREAS
The First Party have also been dealing with the customers of the said company.
WHEREAS
The First Party and the Second Party have for the mutual benefit of the said company
agreed to co-operate with one another for the smooth running of the operation of the
company in the best manner possible upon the terms and conditions hereinafter
appearing:-

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:1.

Upon signing of this Agreement, the First Party shall ensure that all monies

collect by way of cash or by way of cheque either for any new vehicles or for any trade in
vehicles by the First Party will be deposited in the Bank Account of the company within
two working days of the receipt of the cash or cheque.
2.

The First Party shall not hold on to any cheques or cash in any transaction and

shall immediately upon banking it into the Account of the Company produce the Banking
in slip to the Second Party.
3.

The First and Second Party shall not utilize any monies collected on behalf of the

company for their own personal use.

4.

The First Party shall ensure that the Second Party shall be in the continuous

employment of the company and shall not take any steps to remove the Second Party as
the General Manager.
5.

The First Party shall at no time hold out themselves as the duly authorized person

of the company and shall not at any time sell any of the said vehicles without informing
the Second Party

Subject to clause 1 In the event of any sale by the First Party of any vehicles

either new or trade in vehicles the same shall be reported immediately to the Second
Party and hand over all collections either by way of cash or cheques to the Second Party

The First Party hereby agrees that they shall not breach the terms of this

Agreement, and in the event any of the First Party breach the terms of this Agreement,
that shall constitute a Criminal Breach of Trust the Second Party shall be at liberty to
make a police report against the party in breach of the said term.

The Second Party as the General Manager shall keep proper records of all

transaction .
9.

All costs and incidental to the preparation and execution of this Agreement shall

be borne and paid by the Second Party solely.

10.

Any notice required to be served hereunder shall be sufficiently served on the

parties hereto if sent by prepaid registered post addressed to them at the address stated
herein. Any notice shall be deemed to have been received by the addressee on the day on
which it ought in due course of post to have been delivered.

IN WITNESS WHEREOF the parties hereto have hereunto set their hands the day
and year first above-written.
