TENANCY AGREEMENT

This Agreement is made this 1st day of November 2012between BENCATHY


ESTABLISHMENTS LIMITED of P.O.BOX 11304 ,KAMPALA-UGANDA,
telp0772489585(hereinafter called the land lord which expression shall
where the context so admits, include the person(s) /successor(s)in the title
and assignees) on the part and YOU SEUNG GYU of Kampala Uganda,
represented by Madam Nassanga Zaina, tel:0775528276 (hereinafter
called the tenant) of the other part ;and 070-631-1493
WHEREAS Dr.Alice Hope Banga and ms. Twesigye Dorothy Byekwaso
are the lawful proprietors of land comprised in Block 243 Plot 1099 in
Kitintale, Nakawa Division (the premises) and they have executed a power of
attorney in favor of bencathy Establishment Limited to be the landlord.
NOW THEREFORE THIS AGREEMENT IS WITNESSETH AND IT IS
HEREBY AGREED BETWEEN THE PARTIES AS FOLLOWS;
1. The landlord is desirous to offer for rent and the Tenant is desirous to
take on for rent of the premises.
2. The rent for the premises shall be fixed at UG sh. 500,000/= (Uganda
shillings five hundred thousand only) per month payable in the
installments agreed below.
A). upon the signing of this agreement, the tenant shall pay to the land
lord UGX.3,000,000/= cash(Uganda shillings three million only) being rent
for six months effective 1st day of November 2012 till the end of April 2013.

Subsequent rental payments shall be made in three monthly advance

payments and shall be made by the landlord, acknowledge of which shall be


made by the landlord in form of a receipt any other acknowledge document.
4. The rent amount does not include utility bills such as water, electricity,
security, maintenance, telephone and any other consumable services
fitted/supplied to the premises, PROVIDED THAT, all the aforementioned
utility bills shall be settled, by the land lord, to a zero balance at time of
commencement of the tenancy.

At the execution of this agreement, the tenant covenants with the land

lord use the premises for the purpose(S) of operating a SALOON and tenant
shall not assign or sublet a pat of or offer the same for use by any (other)
person or for any other purpose whatsoever without the knowledge and
prior written consent of the land lord.

the land lord/or tenant may design and set in position a security/ sentry

fort acceptable by, and, for, the security concerns of the premises
whosoever is keener.
7. The tenant shall keep the interior of the demised premises including all
doors , windows, latches, fasteners, electrical, fittings, built, in fixtures, and
all additions thereto in as good, decorative, tenantable repair and
conditions as they are at time of execution of this agreement with due
exception of wear and tear and upon expiration or sooner termination (upon
three months written notice) of the said lease hereby declared, the tenant
shall deliver to the land lord the demised premises in as good state tom
repair and condition as aforesaid PROVIDE THAT it is agreed that the tenant
leave the fixtures and all other installments intact upon lapse or
termination of the tenancy.
8. The land lord under takes to pay all outstanding rates /ground rents due
and owing to the city council of Kampala and /or the lands office in respect

of the premises and the tenant shall be responsible for procuring the
requisite trading license to operate the business on the premises.
9. save for the structure modifications and renovation work that has been
expressly authorized by the land lord, upon signing of this agreement, the
tenant shall not make or offer to be made any structural alternations, cut
maim injure, break, and/or make additions to the walls, timber, plants,
fittings, thereon to the demised premises without the knowledge and prior
consent of the landlord save for the wall pictures, hooks, and descent cable
extensions, which alterations/ fittings shall require the supervisory approval
of the landlord and fittings shall be surrendered by the tenant to the
landlord and all repairs made upon termination of the lease.
10. The tenant, having paid the rent herein reserved and observing the
conditions herein contained shall peace fully enter, quietly possess and
gracefully enjoy the premises during the term of the lease herein decreed
without any interruption from the landlord or any person(s) claiming from,
through or under him /her.
11. the tenant shall not do or permit or offer to be done the premises any
act or thing which is or ma be an annoyance or nuisance to the landlord or
the occupies of any adjoining or neighboring premises or illegal according to
the laws of Uganda
12. in the event of default on rent payment, the landlord or its authorized
agent, reserve the right to seek remedy by resorting to lawful means to reenter the premises, recover the due rent and the tenant will meet all the
costs of disress to re-entry, recovery of all monies due, and necessary, costs
for eviction.
13. any notice under this agreement, shall be in writing, and shall be
deemed to have been sufficiently served if left addressed to Tenant on the
premises, or posted to its known postal address in Uganda herein

indicated ; and, if sent by registered post to the landlords known postal


address in Uganda.
14. Either party seeking to terminate the agreement shall give the other a
1(one) month written notice of termination of the tenancy.
15. if and whenever any differences shall arise between the land lord and
the tenant relating to the construction of any of the clause herein contained
or any act or anything made or done or omitted or in regard to the rights
and liabilities arising hereunder or arising out of the relationship existing
between the landlord and the tenant by reason of these presents or of act,
such difference shall forthwith the referred to two arbitrators, one to be
appointed by each party, or to an umpire to be chosen by the arbitrators
before entering in the consideration of the matters referred to them and
every such reference shall be conducted in according with the provisions of
the laws of arbitration for the time being in force in Uganda.
16. Any dispute arising out of or in connection with this contract including
any question regarding its existence validity or termination shall be
determined in accordance with the laws of the republic of Uganda or by a
count of competent jurisdiction Uganda
IN WITNESS WHEREOF THE PARTIES ABOVE have put their names
and signature hereunto below, in the presence of the witness, on this 1st
day of November in the year of our lord 2012.
