Invitation to Bid (ITB / 14 / CUB / 004): 501 ACQUISITION OF


PHOTOVOLTAIC SYSTEMS FOR RURAL ELECTRIFICATION IN MAISI NICETO
PREZ AND GUANTANAMO PROVINCE, CUBA CITIES THROUGH RENEWABLE
ENERGY SOURCES

Dear Sir / Madam,

The United Nations Development Programme (UNDP) is pleased to invite you to


submit a bid to this Invitation for Bids (IFB) for the provision of 501 Photovoltaic
Systems Projects Small Grants Program.

This ITB is composed of the following documents:

If you have received this ITB through a direct invitation by the UNDP, the transfer of
this invitation to another company requires notification in writing to UNDP.

Section 2: Instructions to Bidders [1]

Definitions

a)
"Offer" means the Bidder's response to the Invitation to Bid, and will
include the Form of Bid, Form of Technical Bid, Financial Bid Form and all
other relevant documentation as requested in the ITB.

b) "Bidder" means any legal entity which may be present, or has submitted
a bid for the supply of goods and provision of related services requested by
UNDP.
c)
"Agreement" means the agreement to be signed by and between the
UNDP and the bidder is chosen, and all attachments thereto, including the
General Terms and Conditions (GTC) and the Appendices.

d)

"Country" means the country indicated in the Data Sheet;

e) "Fact Sheet" refers to the part of the instructions given to Bidders and
are used to reflect the conditions of the tender process for the specific
requirements of the ITB.

f)

"Day" means calendar day.

g)
"Goods" means any product, raw material items, material, object,
equipment, asset or commodity that requires UNDP under this ITB.

h) "Government" means the Government of the country that is to receive


the goods or where they have to provide services in accordance with what is
specified in the contract.

i)
"Instructions to Bidders" refers to the complete set of documents
provided to bidders all the necessary information and procedures to be
followed in the preparation process of the Offer.

j)
"ITB" means the Invitation to Bid, and consists of instructions and
references prepared by UNDP for the purpose of selecting the best service
provider to comply with the requirements listed in the List of Requirements
and Technical Specifications .
k)
"Letter of Invitation (LOI)" (Section 1 of the ITB) refers to the letter of
invitation sent by the UNDP to Bidders.

l)
"Material Deviation" refers to any content or feature of the offer that is
significantly different from one aspect or essential requirement of ITB, and (i)
materially alter the scope and quality of requirements, (ii) limit the UNDP
rights and / or obligations of the offeror, and (iii) adversely affect equity and
the principles of the procurement process, such as setting the competitive
position of other bidders in danger.

m)
"Schedule of Requirements and Technical Specifications" means the
document included in Section 3 of this ITB, in which the ratio of goods
requested by UNDP, their specifications, services and related activities and
tasks to be performed is collected, together with other information relating to
the receipt and acceptance of goods by UNDP.
n) "Services" refers to the entire set of related or ancillary to the completion
or delivery of goods ordered by UNDP under this ITB with tasks.

o)
"Additional Information for ITB" means a written communication
transmitted by the UNDP to potential bidders, including clarifications,
responses to inquiries received from prospective bidders or changes to be
made to the IFB at any time after launch IAL but before the deadline for
submission of bids.

A. GENERAL

2. {1} {/1}By this means, UNDP seeks offers in response to this Invitation to
Bid (ITB).Bidders must meet all requirements estrict ously this ITB. The
introduction of changes, substitutions or other modifications to the rules and
regulations stipulated in this ITB is not permitted unless ordered or approved
in writing by the UNDP as the IAL Additional Information.

2The submission of a bid shall be considered an endorsement by the Bidder


from their obligation to accept all the obligations stipulated in this ITB and,
unless otherwise specified, that the Bidder has read, understood and
accepted all the instructions this bid.

3. Any bid submitted will be considered an offer of the Bidder and does not
constitute or imply acceptance thereof by UNDP. UNDP has no obligation to
award a contract to any Bidder as a result of this ITB.

4UNDP has a policy of zero tolerance of prohibited practices, including fraud,


corruption, collusion, practices contrary to ethics and obstruction.UNDP is
committed to prevent, identify and address all activities and practices of
fraud and corruption against the UNDP or third parties participating in the

Five. {1} {/1}In their responses to this ITB, UNDP urges all Bidders to behave
in a professional, objective and impartial manner, and to take all this in the
first place when the best interests of UNDP. Bidders shall strictly avoid
conflicts with other assignments or their own interests, and act without
regard to future work.Any Bidder who is shown having a conflict of interest
shall be disqualified.Without limiting the generality of everything mentioned
above, shall be deemed to Bidders, and any of its affiliates have a conflict of
interest with one or more parties in this bidding process, if:

5.1 are or have been associated in the past, with a firm or any of its
affiliates which have been engaged by UNDP to serve in the preparation
of the design, the list of requirements and technical specifications,
analyzes and cost estimates, and other documents to be used in
acquiring goods and services related to the selection process;
5.2 have participated in the preparation and / or design of the program
or project related goods and related services requested in this Tender, or
5.3 are in conflict for any other reason as determined by the UNDP, at its
discretion.

In case of doubt in the interpretation of what is potentially a conflict of


interest, the Bidder must disclose their situation to UNDP and ask for
confirmation whether it exists or not such a conflict.

{1}6{/1} {2} {/2}Similarly, in its Bid, the Bidder shall provide the following
information:

6.1 When owners, co-owners, officers, directors, controlling shareholders


or key personnel are familiar with UNDP staff participating in the
procurement function and / or the Government of the country, or any
implementing partner of receipt of goods and related services established
in this Ial; and
6.2 Any other circumstance that could give rise to a conflict of interest,
real or perceived; collusion or unfair competition practices.

The concealment of this information may result in rejection of the Offer.

7. {1}{/1}
{/Eligibility of Bidders that are wholly or partially owned by
the Government is subject to further evaluation of UNDP and the review of
various factors, such as they are registered as an independent entity, extent
of ownership and state involvement, perceived Subsidies, mandate access to
information related to this ITB, and others that could enable them to enjoy an
unfair advantage over other bidders, and the eventual rejection of the Offer.

B. CONTENTS OF OFFER

} Sections of the ITB

Bidders must complete, sign and submit the following documents:

9.1 Letter accompanying the Application Submission of Bid (ITB see Section
4);

9.2 Documents supporting the eligibility and qualifications of the Bidder (ITB
see Section 5);
9.3 Technical Bid (see the form indicated in the ITB, Section 6);
9.4 Financial Bid (see the form indicated in ITB Section 7);
9.5 Bid Security, Not Applicable
9.6 Annexes or appendices to the Offer (including those specified in the Data
Sheet)

11.Clarifications to the tender

10.1 Bidders may request a clarification of any of the documents relating


to this ITB not later than the number of days indicated in the Data Sheet
(DH, No. 16) before date of bid submission.Any request should be sent
aclaraci
n writing by courier or electronically by UNDP indicated in the Data Sheet (DH, No.
17).UNDP will respond in writing and electronically, and send copies of the response
(including an explanation nants of the query but without identifying the source of it)
to all Bidders who have confirmed their intention to submit an offer.

10.2 UNDP is committed to responding to these demands clarification


rapidly, but any delay in the response does not imply any obligation on
the part of UNDP to extend the deadline for submission of bids, unless
UNDP considers that such an extension is justified and is necessary.

11Modification of the tender

11.1 At any time prior to the deadline for bid submission, UNDP may, for
any reason, for example in response to a clarification requested by a
Licitante- modify the ITB through a Additional Information to the ITB. Shall
be notified in writing to all prospective Bidders of any changes or
modifications and additional instructions via said Additional Information to
the ITB, by the means specified in the Data Sheet (DH, No. 18).

11.2 In order to provide prospective Bidder reasonable time to consider


amendments in the preparation of its Bid, UNDP may, at its discretion,
extend the deadline for submission of the bid, when the nature of the
amendment to the ITB justify such an extension.

C. PREPARATION OF OFFER

12Costs
The Bidder shall bear any and all costs associated with the preparation and /
or submission of the Bid, regardless of whether it is successful or not.UNDP
will in no case be liable for those costs, regardless of the conduct or the
effects of the recruitment process.

13.- Languages
The Bid and all related correspondence exchanged by the Bidder and UNDP
shall be written in the language or languages to be specified in the Data
Sheet (DH, No. 4).All printed material provided by the Bidder written in a
different language or that are indicated in the Data Sheet shall be
accompanied by a translation into the language of preference indicated in
the Data Sheet.For the purposes of interpretation of the Bid, and in case of
discrepancy or inconsistency in the meaning, language preference translated
version will take precedence. At the conclusion of a contract, the language of
the contract will govern the relationship between the Contractor and UNDP.

15.Form of Bid Submission


The Bidder shall submit their offer by using the Submission Form attached
Bid in Section 4 of this ITB.

15. SHOPPING a. If you go shopping, how do you do it?Format and content of the
technical offer
Unless otherwise indicated in the Data Sheet (DH, No. 28), the Bidder shall
structure the Technical Offer as follows:

15.1 Experience Company or Organization: This section provides


detailed information on the management structure of the company or
organization; their capacity and organizational resources and
experience of the company or organization; The list of projects and
contracts (both completed and ongoing national and international)
related or similar to the requirements of the ITB nature; production
capacity of the plant, where the Bidder is also the manufacturer;
authorized by the manufacturer of the goods, if the Bidder is not the
manufacturer, and proof of financial stability and adequacy of
resources to complete the services required by the ITB (see Clause 18
of the ITB and 26 in the DH for more details).The same applies to any
other entity participating in the ITB as a joint venture or consortium.

15.2 Technical Specifications and Implementation Plan: This section


should demonstrate the Bidder's response to the Schedule of
Requirements and Technical Specifications, by identifying the specific
components proposed, how the specified requirements will be
addressed point by point; including a detailed description and
specification of the goods that are requested, and the plans and
diagrams
where
appropriate;
the
essential
performance
characteristics, identifying the works or parts thereof which are
subcontracted; a list of major subcontractors and an explanation of
how Of erta meets or exceeds the specifications while ensuring the
suitability of the approach to local conditions and the rest of the
operating environment of the project throughout the operational life of
the assets.Details of the Technical Bid shall be accompanied and
supported n for Implementation Schedule, which specifies the terms
for shipping and delivery, as appropriate, within the duration of the
contract as specified in the Data Sheet (DH, n 29 and No. 30).

Bidders shall be fully aware of the goods and related services which
the
UNDP is requesting be transferred immediately or later, UNDP
partners from Government or an entity designated by it, in accordance

with the policies and procedures of UNDP. All Bidders therefore should
submit their bids in the following:

a) A statement whether any import or export license in respect of


goods purchased or services to be rendered including any
restrictions on the country of origin, nature of use or dual use
goods necessary or services and any provision to end users;
b)
Confirmation that the bidder has obtained licenses of this
nature in the past and has a reasonable expectation of obtaining all
necessary licenses, in case your
Offer is considered the most appropriate, and
c)
Documentation, information and complete declaration of
goods ordered, or may be, as "dangerous goods".

15.3
Management Structure and Key Personnel: This section
should include full curriculum key assigned to support the
implementation of the Technical Bid, a clear definition of their roles
and responsibilities staff.Curricula must establish jurisdiction and
demonstrate their skills in areas related to the requirements of this
ITB.

In compliance with this Section, the Bidder shall ensure and confirm
that the appointed UNDP staff will be available to meet the
requirements of the Contract during the period indicated.If any of the
key people are unavailable later, unless this is due to unavoidable
reasons like constipation fallec or medical incapacity, among others,
UNDP reserves the right to declare the Offer unacceptable.Any
deliberate substitution due to force majeure, including the delay in the
implementation of the proposed program by aj causes enas to the
Offer should be made only after UNDP has accepted the justification
for the replacement and has approved the qualifications of the
replacement person who should have the same or higher than those
of the person replaced credentials.

15.4
When the Data Sheet requires the submission of a Bid
Security shall be attached to the Technical Bid.UNDP may enforce the

Bid Security and rejecting the offer when one or several of the
following conditions:

a) if the Bidder withdraws its Bid during the period of bid validity
specified in the
Data Sheet (DH, No. 11); or
b) if the amount of the Bid Security to be less than that required
by the UNDP, as indicated in the Data Sheet (DH, No. 9); or
c)

in the event that the Bidder fails to get:

i.

sign the contract after the award by UNDP;

ii. meet the varying requirements of UNDP, in accordance with


Clause 35 of the
Ial; or iii. provide performance guarantee, insurance, or other
documents that UNDP could require as a condition for the effective
provision of the contract that may be awarded to the Bidder.

16. MONEYFinancial bid


The Financial Bid shall be prepared using the standard form attached (Section
7).It will include a statement of all costs of the main components related to the
goods and related services, and a detailed breakdown of these costs. All goods
and services described in the Technical Proposal must be priced individually on
a one to one correspondence.All products and activities described in the
Technical Bid whose stock is not listed in the Financial Bid will be considered and
what is included in the prices of other activities or items, as well as the final
total price of the Bid.

18. Currencies

All prices shall be quoted in the currency specified in the Data Sheet (DH, No.
15). However, when co TICEN deals

in currencies, in order to compare all the deals:

17.1 UNDP will convert the currency in which the Offer is quoted in the
preferred currency of UNDP in accordance with current operational
exchange rate of the United Nations on the last day of submission of the
Bid, and
17.2 in the event that the Offer will prove more acceptable under ITB is
quoted in another currency as the currency of choice Data Sheet (DH, No.
15), UNDP reserves the right to award the contract in the currency UNDP
preferably using the conversion method specified above.

17. Documents supporting the eligibility and qualifications of the Bidder

18.1 The Bidder shall furnish documentary evidence of their status as eligible
and qualified supplier, using the forms provided in Section 5, Documents that
support the eligibility and qualifications of the Bidder.To award a contract to a
bidder, grades must be satisfactorily documented to UNDP. These skills include,
among others, the following:

a)
that in the event that a Bidder under the Contract, offering to
supply goods which the Bidder did not manufacture or produced
himself, the Bidder will have been duly authorized by the
manufacturer or producer of the goods to supply the goods to the
destination country end;
b)
that the Bidder has the financial, technical and production
capability necessary to perform the contract, and
c)
that as far as the bidder knows, it is not included in the
1267/1989 Consolidated List of United Nations Security Council, or in
the list of the Procurement Division of the United Nations or any other
ineligible provider list UNDP .

18.2 Bids submitted by two (2) or more bidders will be rejected by UNDP
if found to coincide with any of the following situations:

a) with at least one controlling shareholder, director or shareholder


in common, or
b) than either receives or has received any direct or indirect subsidy
from others, or
c)

having the same legal representative for purposes of this bid, or

d) having a relationship with each other, directly or through common


third parties, that puts them in a position to access information on the
bid of another Bidder or influence on the bid of another Bidder, as part
of this process of ITB ;
e) subcontractors that are together, one of the Offer other and vice
versa, or a subcontractor Offer also present another offer to its name
as the main Bidder; or
f)
an expert who has been nominated in the bid of a Bidder
participates in more than one bid received in this ITB process. This
condition does not apply to subcontractors that are included in more
than one bid.

HJJJ J oint ventures, consortia, associations

If the Bidder is a group of legal entities that will form or has formed a joint
venture, consortium or association, at the time of submission of the Bid, shall
confirm in his bid that: (i) have designated one party to act as duly vested with
authority leading entity to legally bind the members of the joint venture,
consortium or association, jointly and severally, which will be duly established
by an agreement duly notarized between such entities, agreement must be
submitted along with the Offer, and (ii) if it is awarded the contract, the contract
may be entered into by and between the UNDP and the designated lead agency,
acting on behalf of all the partners that make up the company mixed.

Once the offer has been submitted to UNDP, the lead agency designated to
represent the joint venture, consortium or association shall not be changed
without the prior written consent of UNDP. Moreover, neither the lead agency or
the partners of the joint venture, consortium or association may:

a) submit a new offer, or on his own behalf or


b) As a leading or associate of another joint venture to submit another
offer.

The description of the organization of the company, the consortium, the


consortium must clearly define the role expected of each of the joint venture
entities in complying with the requirements of ITB, in the Offer and the JV
Agreement.All entities comprising the joint venture shall be subject to the
eligibility and qualification assessment by UNDP.

When this joint venture his background and experience in similar commitments
to those required by ITB shall submit information as follows:

a)
commitments that have been made jointly by the joint venture,
association, partnership, and
b)
which have been assumed by the individual entities associated joint
venture, partnership consortium E is supposed to be involved in providing
the services defined in the ITB.

Previous contracts signed by individual independent experts who are or have


been associated permanently with any associated companies can not be
presented as an experience of the joint venture, consortium or association or its
affiliates, and only they can claim their individual experts themselves in
presenting their individual credentials.

If the offer of a joint venture, partnership consortium is considered by UNDP as


the most acceptable and which offers the best value, UNDP will award the
contract to the joint venture, consortium or association, entity name designated
leader, who shall sign the contract for all associated and on behalf of these
entities.

20. Do you use any of the following? ( Check all that apply. ) Alternative
Offers

Unless otherwise specified in the Data Sheet (DH, No. 5 and No. 6), no
alternative offers will be considered.When the conditions for admission are met,
or when the justifications are established clearly, UNDP reserves the right to
award a contract on the basis of an alternative offer.

20. Shelf

21.1 The Bid shall remain valid for the period specified in the Data Sheet
(DH, No. 8), after the submission deadline which is also indicated in the
Data Sheet (DH, No. 21).A bid valid for a shorter period will be immediately
rejected by UNDP and will automatically be considered unacceptable.

21.2 In exceptional circumstances, prior to expiry of the bid validity, UNDP


will s o request Bidders to extend the period of validity of their bids.The
request and the responses shall be in writing and shall be deemed to form
an integral part of the Offer.

22. Bidders Conference

Where appropriate, wear their golden crow ar out Bidders conference on date,
time and place specified in the Data Sheet (DH, No. 7).All bidders are invited to
attend.The absence, however, will not result in the disqualification of a Bidder
concerned.The proceedings of the conference Bidders may be exposed on the UNDP
website or disseminated to individual companies who have registered or have expressed interest in
the contract, whether or not attended the conference.No
verbal n DECLARATION made during the conference may modify the terms and
conditions of the ITB, unless such statement is specifically recorded in the minutes
of the conference or issued / published as a modification in the form of
Supplementary Information to the Bidders.

D. SUBMISSION AND OPENING OF BIDS

23. Carry out an assessment after intervention {0}{/0}{1}{/1}{2}{/2}

{11}Presentation{/11}

23.1 The Financial Bid and the Technical Bid must be submitted together
and under seal in and the same envelope, and delivered either personally,
by courier or by electronic means of transmission.If the presentation is not
done electronically, the Technical Bid and Financial Bid should go together
and under seal in an envelope whose outer part must:

a) bear the name of the Bidder;


b) be addressed to UNDP as specified in the Data Sheet (DH, No. 20);
c) bear a warning not to open before the time and date of bid opening as
specified in the Data Sheet (DH, No. 24)

If the envelope is not sealed and labeled properly, the Bidder shall assume
responsibility for the misplacement or premature opening of the bid due to
inadequate sealing and labeling by the Bidder.

23.2
Bidders shall submit their bids in the manner provided in
the Data Sheet (DH. # 22 and # 23).When the Offer is expected to
be in transit for more than 24 hours, the Bidder must ensure to
provide for a sufficient time to meet the submission deadline you set
UNDP delivery.

UNDP shall, for the record, that the time and date official receipt of the offer are the actual
date and time of physical arrival of the bid to the UNDP premises as indicated in the
Data Sheet (DH, # 20 ).

23.3
Bidders submitting offers transmitted by mail or delivered
in person shall enclose the original and each copy of the Bid in
separate sealed envelopes, duly identified one of the envelopes as
"Original Bid" and the other as "Copy of Bid ".The two envelopes,
corresponding to the original and the copies shall then be sealed in
an outer envelope.The number of copies required will be specified in
the Data Sheet (DH, No. 19).In case of discrepancy between the contents of the
"Original Bid" and the "Copy of Bid", the contents of the original marked copy given
priority. The original of the Bid shall be signed or initialed on each
page by the Bidder or a person duly authorized to represent.The authorization must
be communicated through a document of approval issued by the highest authority
of the company or a power of attorney accompanying the Bid.

23.4
Bidders should note that the mere act of submitting a bid,
in and of itself, imply that the Bidder agrees to the Terms and
Conditions of Contract attached to the
Section 8.
24.Deadline for submission of Bid and last minute deals

Bids must be received at the hands of UNDP at the address and no later than
the date and time specified in the Data Sheet (DH, # 20 and # 21).

UNDP will not consider any bid that arrives after the deadline date and time for
submission of bids.Any Bid received by the UNDP after the deadline for bid
submission shall be declared late, and will be rejected and returned unopened to

25. Withdrawal, substitution and Modification of Bid

25.1 It will be the sole responsibility of bidders taking steps to carefully


examine in detail the full consistency of their deals with the requirements
of ITB measures, taking into account the material deficiencies in providing
the information requested by UNDP or lack of clarity in the description of

the goods and services they have to provide could lead to the rejection of
Ofert a.The Bidder shall bear all liability for any erroneous interpretation
or conclusion by the Bidder in the course of understanding the ITB set
apart from information provided by UNDP.

25.2 The Bidder may withdraw, substitute, or modify its bid after it has
been submitted by sending a written notice in accordance with Section 23
of the ITB, duly signed by an authorized representative, and shall include
a copy of authorization (or a power of attorney).The corresponding
substitution or modification of the bid must accompany the respective
written notice. All notices must be received in the hands of the UNDP
before the deadline d and presentation, and have been submitted in
accordance with Section 23 (except with respect to notices of withdrawal,
do not require copies).The respective envelopes shall be clearly labeled
with the words "WITHDRAWAL / SURRENDER", "SUBSTITUTION" or
"MODIFICATION".

25.3 Bids requested for removal, shall be returned unopened to the


Bidders.

25.4 No bid may be withdrawn, substituted or modified in the period


between the deadline for submission of bids until the expiration of the
period of bid validity specified by the Bidder in the Form of Bid or any
extension same.

{/1} Opening of Bids

The UNDP will open Bids in the presence of a special committee set up by UNDP
and composed of at least two (2) members.If electronic submission is allowed,
specific procedures for opening electronic Offers shall be as specified in the

29.3 UNDP reserves the right to make a period subsequent to the
qualification, in order to determine to your satisfaction the validity of l

TAX EXEMPTION

United Nations provides, inter alia, that the United Nations, including its
subsidiary organs, is exempt from all direct taxes, except charges applicable
to services public as well as from customs duties and charges of a similar

nature in respect of articles imported or exported for its official use.Event any
governmental authority refuses to recognize UNDP's exemption
from such taxes, duties or charges, the Supplier shall immediately consult with
UNDP to determine a course of action that is mutually acceptable.
2Accordingly, the Supplier authorizes UNDP to deduct from invoice any
amount representing such taxes, duties or charges, unless the hu biere
consulted with UNDP before the payment thereof and UNDP in each instance,
specifically authorized to pay such taxes, duties or charges under protest.In
that event, the Supplier shall provide UNDP with written evidence that you
paid such taxes, duties or charges that payment has been duly authorized.

VIOLATION OF INTELLECTUAL PROPERTY

this Purchase Order does not infringe any patent, copyright, trade name or

Supplier shall, pursuant to this warranty, indemnify and hold its own expense,
UNDP and the United Nations for any action or claim you will file against UNDP
or the United Nations concerning the alleged violation of any of the rights
referred to above in relation to the goods sold under this Purchase Order.

RIGHTS OF UNDP

If the Supplier to fulfill its obligations under the terms and conditions of this
Purchase Order, including, without limitation, the failure to obtain necessary
export licenses or the obligation to make delivery of all or part of the goods at
the agreed delivery date or dates, UNDP may, after giving the Supplier
reasonable notice that perform and without prejudice to any other rights or
remedies, exercise one or more of the rights that are mentioned below:
