on FMRAIs Petition

FMRAIs CGC members in Ranbaxy
failed to get clear assurance from the
management about the continuity and
uninterrupted jobs with existing
employment conditions, settlements,
agreements, awards and representative
bodies of the Ranbaxy Sales Promotion
Employees (SPEs) after merger of
Ranbaxy with Sun Pharma, except the
management providing the Scheme of
Arrangement as was already available
in public domain; on behalf of all Sales
Promotion Employees FMRAI filed
Objection Petition before the Punjab and
Haryana High Court to the Petition for
Approval for Merger, which is a legally
mandatory in case of merger of
companies.
After hearing FMRAIs petition and
both the par ties submissions and
arguments on it, the High Court issued
final order on Merger Petition on 9
March, 2015 giving approval to it. In that
High Court order, the concern of SPEs
was addressed on the basis of Oral
Submission and Written Undertaking
of Sun Pharma as recorded in that order.

Pursuant to their 10 demands, as notified by FMRAI, USV
field workers irrespective of their designations and divisions, from
all states and Union territories except Delhi, and Karnataka took
casual leave en masse and 341 of them marched to Mumbai and
staged two days dharna on 16-17 March in front of head office of
the Company. In solidarity with USV field workers, FMRAIs council
sub committees staged protest demonstrations in state capitals
and submitted memoranda. Determined USV field workers did
not fall prey to managements coercion tactics but made the two

Significance of High Court Order


on Sun Pharma-Ranbaxy Merger
The Order of Punjab and Haryana High Court on 9 March, 2015
on Ranbaxy - Sun Pharma merger is a significant development not
only for the erstwhile Ranbaxy field workers, but also for the field
workers council movement in particular and trade union movement
in general.
Section 25FF(a) of the Industrial Disputes Act, 1947
categorically mentions how the jobs of the employees would
continue uninterrupted in the new company with change of
ownership. Yet, this provision is being grossly violated by the
companies during acquisition and merger of the companies. Merger
and acquisition is taking place in a big way in this neoliberal regime.
In case of Abbott taking over Piramal Healthcare, at FMRAIs
persuasion, Maharashtra labour minister intervened and provision
of I D Act was invoked. However, large number of other companies
circumvents this legal provision denying uninterrupted
continuation of jobs and job conditions, unilaterally ending
settlements and agreements / understandings. In fact, subversion
of laws, regulations and rules are the hallmark of these acquisitions
to which central government and labour law enforcement
authorities in the states remain mute spectators. Merger and
acquisition runs corollary with de-unionization of the field workers
and causing serious disruption in council movement.
The collectively bargained service and working conditions
withered away overnight for Biddle Sawyer and SmithKline
Beecham field workers following acquisition by Glaxo; of Organon
field workers when it was taken over by MSD; of Parke Davis field
workers after its acquisition by Pfizer; CFL by Adcock and, of late,
Elder when taken over by Torrent. Examples are many. The past
achievements are destroyed / taken away overnight.
In this background, the Kolkata Conference of FMRAI in 2013
adopted a resolution against these newer attacks on the security
of jobs, security of trade union and security of service and working
conditions due to these acquisitions which were unfolding at that
point of time and urged to develop movement in defence of rights
and gains and to save FMRAIs council movement.
Possibly for the first time, as a trade union, FMRAI submitted
its objection petition to the scheme of merger submitted by Sun
Pharma and Ranbaxy before Gujarat and Punjab and Haryana High
Courts for approval and Punjab and Haryana High Court gave this
landmark Order on 9 March. (see news in this issue)
Sun Pharma made oral submission and gave written undertaking
in response to FMRAIs petition on the existing terms of
employment, settlements, agreements and awards remaining in
vogue and that they shall continue to remain covered by labour
laws including I D Act.
The Order of the High Court established the validity of FMRAIs
demands. Indian and foreign pharma companies will definitely
take due note of the Order of Punjab and Haryana High Court in
case of Sun Pharma Ranbaxy merger.

In the existing bilateral
industrial relationship for more
than thirty years, disputes and
differences did arise but could
be resolved through dialogue and
discussion. But this time, it was
management who is responsible
in compelling the field workers
to go for strike. During the
pendency of three transfer
issues management resorted to
further punitive transfers of one
field worker from Agra to
Sriganganagar, the existing field
worker of Sriganganagar to
Varanasi
who
remained
victimized for years and whose
issue was just concluded and
another field worker from Anugul
to Bihar Shariff.
Respecting three decades
old bilateral relationship and
without getting provoked on
managements action, FMRAI
wrote to the Company on 3
March requesting not to
precipitate any issue further in
view of impending discussion in
the pre-fixed Coordination
Committee (CC) meeting
schedule to take place during 56 May. But, ignoring FMRAIs
letter and despite the issues
were discussed in the past and
kept pending for discussion in
the 5-6 May CC meeting,
management, at this juncture,
further resorted to fresh
termination of two out of three
earlier transferred field workers.
It
was
managements
highhanded actions which are to
be blamed.
Dialogue, discussion and
mutual accommodation are the
mainstay in bilateral industrial
relationship. Based on this
understanding, FMRAI further
wrote on 20 March to the
management for discussion and
resolution of all pending issues
in the CC meeting of 5-6 May.

On this, Sun Pharmas oral submission, as
noted in the Order, assured that applicability of
clause 13(b) is within the frame-work of Section
19 of I. D. Act and only relates to wages. The
High Court Order states, Though in clause 13(a)
and (b) of the Scheme of Arrangement, the
interests of the employees of the Transferor
Company has been fully taken care of, but still
to clarify the issue fur ther affidavit dated
11.2.2015 of Askok I. Bhutta, authorized person
of Sun Pharmaceutical Industries Limited has
been filed undertaking etc.
Undertaking of Sun Pharma, quoted in the
Order, states, any variation (increase or
decrease) in the base salary or base wage rate
of Transferred Employees after the relevant
period (12 months) will be in accordance with
the terms of employment, and subject always
to all the extant (existing) laws including labour

laws in this regard.


Two further significant developments have
taken place since the Order of the High Court.
In their official communication, Sun Pharma
informed all Ranbaxy SPEs individually, including
those differently called sales officers, that
effective 25th March, 2015, Ranbaxy has merged
with Sun Pharma and there is no legal entity of
Ranbaxy thereafter; and, consequently, they
have become Sun Pharma employees with full
continuity of service and without any break or
interruption in service. There is no provision of
either job transfer or acceptance as if it was an
offer, as was observed in some other companies
in case of merger. This is uninterrupted and
continued job from Ranbaxy to Sun Pharma as
per provision of I. D. Act which FMRAI has been
asking for.
The second development is that a meeting
of previously constituted CGC for the SPEs has
taken place on 27 March, after they have all
become Sun pharma employees on 25 March.

International Womens
Day Observed
FMRAIs state units across the country observed the International
Womens Day on 8 March, independently and jointly with other women
organisations demanding six months maternity leave, constitution
of committee of women field workers for their grievances redressed,
stringent punishment against sexual harassments, equal pay for
equal work, establishing crches in all headquarter towns by the
industry, immediate legislation and implementation of Womens Bill,
implementation of eight hours work etc.
As per the call of FMRAIs Jalgaon GCM, rallies, hall meetings,
conventions etc. were organized. KMSRAs Thrissur district
organized a seminar at district collectorate office. Dr. (Prof) Sheela
Viswanath, state committee member of Purogamana Kala Sahitya
Sangham was the main speaker. Others who spoke include
women subcommittee convener Susmitha Santhosh, Reshmi
Prakash and KMSRAs Thrissur district secretary Anuroop Raja.
Mini Suresh presided. Other KMSRA units namely Kasaragod,
Kojhikode, Alappuzha, Ernakulam and Malapuram also
observed and in all 118 members participated.
BSSR Unions Ranchi unit organized a hall meeting on 9
March, addressed by Renu Prakash. BSSRUs president, Anirban
Bose greeted and explained FMRAIs12 point demands for them.
In Kolkata, WBMSRU organized a hall meeting on 7 March which
was attended by 44 women field workers. Prof. Malini
Bhattacharya, former M.P. was the main speaker. Others who
spoke include WBMSRUs vice president and its women
subcommittee convener Arpita Mitra Roy, FMRAIs secretary
Santanu Chatterjee and WBMSRUs general secretary Sumahan
Chakraborty. A presidium, consisting of Tinka Majhi, Tandrima
Nandy and Sharmistha Saha conducted the proceedings. Similar
hall meeting was also held at Siliguri.

congratulated the USV field workers.
FMRAIs general secretary Aloke Banerjee, joint general
secretaries Dipak Bhattacharjee and K B Kadam greeted and
addressed the USV field workers. A presidium consisting of all
India convener T Kameswar Rao, joint all India convener Debatosh
Chakrabarti and other committee member of all India USV council
presided.
In the evening of the first day, all India USV council meeting
was held, reviewed the programme and adopted a resolution which
was submitted on the second day of dharna.
At the instance of the management, local administration
deployed police who created hurdles for the dharna participants
including that of submission of resolution. But considering the
agitating mood of the workers, management personnel with the
help of police came down the dharna place, received the resolution
and informed that they would respond on the contents of the
resolution. Second day dharna was addressed ny FMRAI president
and former USV all India convener, R. Viswanathan, USV all India
convener, T. K. Rao and T V Sridhar, FMRAIs working committee
member.
In the second day of the dharna, a delegation of USV council
leadership met the Maharashtra labor commissioner , H. K. Jawale
and explained the unfair labour practices resorted to by the
Company and handed over a memorandum. Later, all the related
documents were submitted as sought for.
To circumvent their trade union rights, USV management
resorted to various actions which left imprint of lawlessness,
unfair labour practice and violation of rules of natural justice.
Management resorted to change in service conditions without
issuing notice, in violation of Section 9A of ID Act and during the
pendency of two charter of demands in the industrial tribunal for
adjudication. Further, management illegally imposed mobile
reporting on the field workers, resorted to coercion and intimidation
for its implementation and resorted to cuts in wages and expenses
on that count. The management even ignored the direction of
Maharashtra labour department for constitution of grievance
redressal system under Section 9C of ID Act for the field workers.
Resorting to punitive and disciplinary actions on sales ground in
violation of Section 2(j)ii(b) of the I D Act; pay for prescription
and pay for trade; recruiting sales promotion employees under
contractors in gross violation of Contract Labour (Regulation and
Abolition) Act, 1970 etc. are the other features of the contravention
of law by the Company.
In pursuance of their justified demands, following their head
office dharna, all India USV council meeting decided future
agitational and legal course which include relay strike, to file writ
against violation of Section 9A, vigorous persuasion on pending
charter of demands etc.

COUNCIL NEWS
GRL-FSA Settlement(?)

Accepts Piece-Rated Field Workers


Despite FSA being a creation of the management
in 1994 to break German Remedies field workers unity
under FMRAI, it being the sole bargaining forum for
them since 1977; FMRAI never objected to
management holding simultaneous negotiation,
common conclusion and then signing separate but
identical settlements with both - FMRAI and the FSA.
But, this time it is different. Management held
discussion and signed a settlement with the FSA on
19 March, 2015 with a definite purpose bypassing
simultaneous negotiation with FMRAIs negotiating
committee for arriving at a common conclusion.
The purpose is glaring. This time management
wanted something new, for the first time during last
37 years of bilateral industrial relation in the company
and in the industry. This they wanted to manage through
FSA settlement i.e. converting entire service
conditions of the sales promotion employees from
permanent to performance-related, and converting
them from time-rated to piece-rated workers and made
these as part of job contract of GRL field workers.
Clause 13 of the FSA settlement says, The
Memorandum of Understanding which is annexed to
this Settlement as Annexure 2 and the contents
thereof will constitute part and parcel of this
Settlement as if the same are specifically reproduced
in this Settlement.
Clause 14 of the FSA settlement states, The
parties agree that this Settlement has been arrived
at as a package deal and for no purpose, it will be
treated, implemented, understood or interpreted in
piece meal manner. (Underline added for emphasis).
The manner in which a settlement with only one
union was signed in total departure from the past;
attempt to impose it on all field workers of the
company irrespective of being FSA members, as
provided in the settlement, and imposing job
specification outside the model standing order as part
of the settlement are illegal and patently unfair labour
practice under MRTU & PULP Act. FMRAI kept its
option open to legally challenge the settlement on all
counts.
By signing this settlement, a GRL field worker
accepts (i) his job be treated as result oriented; (ii) to
prepare the tour programme to cover Doctors as per
strategy and (iii) shall not deviate from the tour
programme without prior approval ; (iv) to meet
minimum 175 listed doctors in a month; (v) to maintain
monthly 10.5 average doctors call from the listed
doctors; (vi) monthly average 5 chemists call and
(vii) ensuring product availability in that area; (viii)
quarterly submit Business Expectation from ex-

stations and outstations; (ix) after 7 days DCRs, from


8th day lockout on his work; (x) entry of secondary
sales; (xi) after half day CAMP, half day field work;
(xii) independent work of the manager in his territory;
(xiii) in case of future legal coverage like ESI etc
deduction from his wage in place of managements
contribution ; (xiv) his responsibility of improving
Companys image (cannot raise slogan, cannot
demonstrate and cannot resort to strike); (xv)
commitment to sales objective of the Company. In
addition, he is accepting all other existing work norms
as part of the settlement and of service contract.
The above 15 pieces and more form the core of
work responsibility in service conditions delinking
from any time quantum; and wages and other financial
benefits have been revised in the settlement on that
basis. Under Section 18(1) of I D Act it applicable
only to the signatories of the settlement. But it will
be binding on a GRL field worker only when he signs
his acceptance.
After accepting and signing a GRL field worker
will become a party of such a retrograde settlement.
The company will be free to resort to wage cuts,
suspend, terminate his service or otherwise punish
in case of one or more breach of the above mentioned
(xv) terms of MOU now becoming part of employment
contract. Further, Section 29 of the Industrial Disputes
Act, 1947 states, Any person who commits a breach
of any term of any settlement or a award, which is
binding on him under this Act, shall be punishable
with imprisonment for a term which may extend to
six months, or with fine etc.
Generally a worker work for 8 hours with breaks
and gets remuneration and improvement of service
conditions on that basis. MOU on day to day work is
a guideline as work inputs with all variable factors
outside the control of the field workers. FMRAI is
fighting for 8-hours work notification which several
state governments notified. FMRAI is also fighting
for statutory working rules replacing the arbitrary and
unilateral working conditions being imposed on the
field workers. As a part of bilateralism FMRAI accepts
minutes of the grievance committee meetings / MOU
on some day to day work as just understanding outside
the legal framework.
It is in this background, FMRAI called upon all
GRL field workers particularly those who are FSA
members to reject this settlement. FMRAI also
alerted all its councils in particular and the field
workers in general to take note of this development
in the industry which is extremely derogatory to field
workers council movement.

Mass Casual Leave and Dharna by


West Bengal Unichem Field Workers
115 out of total 118 Unichem
field workers of all divisions in
West Bengal took casual leave en
masse and 86 of them sat in a
dharna in front of the company
establishment on 16 March, as
notified by WBMSRU. In support
of the Unichem field workers, a
gate meeting was held which was addressed by
WBMSRUs vice president Biswajit Ghosh;
secretaries Basab Roychowdhury and Shubrangshu
Bhattacharyya and FMRAIs working committee
member Arpita Mitra Roy. FMRAI also called upon
its state units to resort to solidarity action on that
day in support of West Bengal field workers.
Unichem management has been resorting to unfair
labour practices, terminated one field worker, grossly
violating all legal provisions including that of Sales
Promotion Employees (Conditions of Service) Act and

Rules, 1976; resorting to threat,


coercion and humiliations including
the women SPEs against which
field workers of West Bengal have
been protesting. All conciliatory
approach of WBMSRU for
resolution of the issues did not yield
any positive result due to adamant
attitude of the management.
Circumvention of law by the management is going
on unabated. It is learnt that following the dharna
programme on 16 March, management issued show
cause notices to all SPEs for their dharna
participation. Against this individual show cause for
legitimate participation in notified collective industrial
action, WBMSRU lodged a dispute in the labour
department and a demand letter was sent to the
management demanding immediate withdrawal of the
show cause notices to avoid further industrial unrest.

WBMSRU
69 members of WBMSRUs Kolkata Medical College
base committee attended their annual general body
meeting on 17 February which was inaugurated by its

district secretariat member Arijit Dey. Report placed by


the base committee convener Puspen Chatterjee,
discussed by 7 participants and was adopted. WBMSRUs
general secretary Sumahan Chakraborty concluded.
81 members of Durgapur local committee attended
their annual general body meeting on 10 March.
Secretarys repor t placed by Sudip Banerjee was
discussed by 7 participants and was adopted. WBMSRU
leader Kaushik Banerjee concluded the meeting. Sujit
Misra presided. 92 members of Asansol local
committee-1 attended their annual general body meeting
on 12 March. Local committee secretary Shantonu Bank
placed his report which was adopted following discussion
by 5 participants. The meeting was presided by Subrata
Paul. On 11 March, the annual general body meeting of
Asansol local committee-2 was attended by 65
members. 5 participants discussed on the report which
was placed by local secretary Pranab Gupta and was
adopted. The meeting was presided by Sanjoy Sanyal.
20 members of newly formed Kulti local committee
attended their first annual general body meeting on 3
March. 3 participants discussed on the report. WBMSRUs
state committee member Debotosh Chakrobor ty
concluded the meeting.
Under the Darjeeling district committee; there are five
Local Committees (LC) which are named as East, West,
North, South and South-East. Here is the brief report of AGB
meetings of these LCs.
62 members of LC-South attended their annual
general body meeting on 1 March. Amit Sankar Ray, local
secretary and Ujjal Das, treasurer placed their reports
which were adopted following discussions by 9
participants. WBMSRU state committee members Ashim
Saha and Santanu Ray addressed. A presidium
consisting of Dipak Dey, Tapash Sengupta and Manotosh
Dutta conducted the proceedings.
On 15 March, four other local committees organized
their annual general body meetings. The meeting of LCEast, held at Comrade Mohan Adhikari Mancha of
Comrade Ananda Pathak Nagar, was attended by 58
members. Reports, placed by Dwaipayan Mojumder, local
secretary and Goutam Modak, treasurer were adopted
following discussions by 7 participants. WBMSRU state
committee member Santanu Mitra concluded the meeting.
Gautam Ganguly and Satyajit Ghosh Roy conducted the
proceedings. 63 members attended the meeting of LCWest. Reports placed by local secretary Sanjib Ghosh
and treasurer Subhendu Ghosh were adopted following
discussions by 10 participants. Subrata Bhattacharjee,
district committee treasure concluded the meeting.
58 members attended LC-South-East meeting.
Reports placed by local secretary Ashutosh Majumder
and , treasurer Tuhin Bannerjee were adopted. WBMSRU
leader Ujjal Moitra concluded the meeting. The meeting
of LC-North was attended by 58 members. Reports placed
by Atanu Paul, local secretary and Sangram Lal Mallik,
treasurer were discussed and adopted. WBMSRU state
committee member Asesh Bannerjee concluded the
meeting.

Prior to the conference, a
public signature collection
programme was conducted on
health and medicine related
demands,
which
was
inaugurated by Dr. B Ram
Mohan on 3 February. The
banner, on which public
signature was collected was
sent to the President of India.
On 11 February, a human chain
programme was organized
demanding save Anantapur
from becoming desert.

AGB Meetings
UPMSRA
114 members of Gorakhpur unit attended their annual general
body meeting on 15 February. UPMSRAs president Rakesh

Srivastava hoisted the flag. Reports placed by the unit secretary


and treasurer were discussed and adopted. A 19 member executive
committee was elected with Anand Pandey as president, Sanjoy
Kumar Dey as secretary and Soumitra Mukherjee as treasurer.
On the day, FMRAIs secretary R P Singh handed over a cheque
of Rs. 1 Lac to the family members of Comrade Anurag Chaturvedi,
a member of the unit who died in a road accident. The said amount
was contributed by the members of Gorakhpur unit.

Annual meeting of Samastipur unit, held on 22 March, was
attended by 92 members. BSSRUs secretary Sanjay Kumar

General Council Meeting (GCM)
of Maharashtra Sales and
Medical
Representatives
Association (MSMRA) held
during 22 23 March at Jalna.
The GCM venue was named in
memory of veteran CITU leader
as Comrade K L Bajaj Nagar
and the Manch was dedicated
in memory of Comrade Govind
Pansare, noted social activist
who was killed by the
fundamentalist forces. The
GCM
decided
future
movemental plan through
adoption of resolutions against
multinational aggression in
pharmaceutical industry and
Central
governments
surrendering policy; against
unfair labour practices resorted
to by Elder-Torrent, Alembic,
Svizera
and
Panacea
managements and against
brutal killing of Govind Pansare.
Following hoisting of
MSMRA flag by president D M
Deshpande, the GCM was
formally inaugurated by CITUs
Jalna district secretary Anna
Sawant. During his deliberation,
he dealt the present sociopolitical issues and urged the
MSMRAI members to build

inaugurated. IMAs Bihar state vice president Dr. D S Singh and


leaders from other fraternal organizations and trade unions greeted
the participants. Following discussions by 15 participants, the
reports placed by unit secretary Partho Sinha and treasurer
Dharmendra K Singh, were adopted unanimously. BSSRUs
general secretary Debashis Roy concluded the meeting.
On 22 March, Bhagalpur unit organized its annual unit
meeting which was inaugurated by CITUs district co-coordinator
movement and organization
commensurate with the need of
the hour. Reception committee
chairman Dr Rajiv Jethlia,
doctor by profession, welcomed
the general council members.
Others who were present and
greeted the GCM include NIMA
secretary Sanjay Ruikhedkar; Dr
V Y Kulkani, HIMPA secretary;
AITUC secretary Dighe;
MSCDA president Sanjay
Bobde, secretary Sainath Pawar
and treasurer Rameshwar
Chautkar. FMRAIs joint general
secretary K B Kadam also
greeted the participants on this
occasion. During his deliberation,
he dealt mainly various
movemental currents of FMRAI.
A colourful rally covering around
4 kilometer of the city was taken
out on the first day.
In the plenary session, 41
general council members and
19 state council conveners

critically analysed, placed their


views and suggestions on the
reports of general secretary and
treasurer, placed by Narendra
Singh and Ritesh Shah
respectively. Besides, entire
general council members were
grouped in 4 commissions
policy related, council related,
state
related
and
on
organization, discussed specific
area and placed their views and
suggestions. After discussion
both the reports were then
adopted unanimously.
FMRAIs secretary Sanjay
Chatterjee in his deliberation
appreciated the role of MSMRA
in carrying forward FMRAIs
movement, dealt Central
governments anti people
policies and its impact on the
workers and people and urged
to build up a strong centre at
Mumbai to face the newer
challenges.

Dashrath Prasad and was attended by 86 members. On the eve


of the meeting, a massive rally was taken out which was
culminated in a street corner meeting near medicine wholesale
market. The reports placed by unit secretary Subhajit Sengupta
and treasurer K K Jha were adopted unanimously after discussion
by 9 participants. BSSRUs president Anirban Bose concluded
the meeting explaining the tactical line of the organization and its
movements; burning problems of the sales promotion employees
and medicine related issues. Sunil Kumar conducted the
proceedings.
60 members of Daltonganj unit attended their annual meeting
on 15 March which was inaugurated by BSSRUs general
secretary Debasish Roy. He informed about the present political
situation and how to deal with it; emphasized upon the importance
