DEED OF ABSOLUTE SALE

This DEED OF ABSOLUTE SALE made and executed by and
between:
ANTONIO CYRIAN T. GONZALES, of legal age, Filipino and
resident of Tagum, Davao, hereinafter referred to as the VENDOR;

WHEREAS, the VENDORS agreed to sell and VENDEE agreed to

purchase the Subject Property.
WHEREAS, the Parties to this Deed of Absolute Sale have agreed

that all taxes, fees, assessments and other charges, except transfer
fees and registration expense, in connection with the sale, cession,
transfer and conveyance of the Subject Property, including, but not
limited to, capital gains tax, documentary stamp tax, value-added tax,
sale and transfer tax, shall be for the account of the ____________.
NOW, THEREFORE, for and in consideration of the foregoing
premises,

the

The VENDOR warrants that he is the lawful owner of the Subject
Property and have the right to dispose the same in favor of the
VENDEE and by these presents, hereby undertake to defend the
VENDEE and whatever legal rights or interest so acquired by the
VENDEE from any claims by any third persons whatsoever;
The parties further manifest and agree that except for transfer
fees and registration expenses which shall be for the account of the
VENDEE, the VENDOR shall be accountable for and pay for all other
taxes, fees, assessments and other charges in connection with the
sale, cession, transfer and conveyance of the Subject Property,
including but not limited to, capital gains tax, documentary stamp tax,
value-added tax, sale and transfer tax;
