OFFICIAL RULES OF THE “ACE MANAGER” COMPETITION

Clause 1: Organising Company

BNP Paribas, a limited company with capital of 2.526.336.308 euros registered in the
Companies Register of Paris under number 662 042 449, having its registered office at
16, bd des Italiens, 75009 Paris – France (hereinafter the “Organising Company”), is
holding a competition from 20 October 2009 to 15 April 2010 inclusive called BNP
Paribas ACE MANAGER (hereinafter “ACE MANAGER” or the “Competition”), which can
be accessed on the Organising Company's website at: acemanager.bnpparibas.com
(hereinafter the “Website”).

Clause 2: Presentation of the Competition

The Competition, open only to undergraduate or graduate students under the age of 26
on the day of their registration at the Competition, matriculated at a college or university,
is based on an interactive economic simulation related with the business lines of the bank
combined with the economics of tennis.

The Competition will be held fully in English.

The Competition will be held in three stages:

-Stage 1: Registration (20 October 2009- 15 February 2010 at 9:00h Coordinated

Universal Time, hereinafter “UTC”)
-Stage 2: Competition (17 February 2010- 17 March 2010 at 9:00h UTC)
-Stage 3: Final in Paris (15 April 2010)

After being registered, participants (hereinafter “the Participant” or “the Participants”) will
work in teams (hereinafter “the Team” or “the
Teams”) in a competitive economic environment and must solve various case studies in
which the pertinence of their decisions will allow them to accumulate points (hereinafter
“Aces”).
The aim of the Competition is to obtain a maximum of Aces to enable their Team to
qualify for the international final (hereinafter the “Final”) to be held on 15 April 2010 in
Paris, during which the winner from the five finalist Teams (the Teams obtaining the
maximum of Aces) will be decided.
The Results of the Final will be published on the Website within forty-eight (48) hours
after the Final is held.

Clause 3: Conditions of entry

The Competition is open to everyone matriculated at an undergraduate or graduate

college or university under the age of 26 at the time of registering for the Competition.
Any natural person meeting the aforementioned condition can enter the Competition,
regardless of nationality and the college or university attended.

Students who, under legislation on their capacity to act applicable to them, cannot enter
the Competition without the consent of their parents or legal guardian, must obtain such
consent before entering.

The Organising Company reserves the right to ask for evidence of consent from parents
or legal representatives at any time and to disqualify any participant who cannot produce
it. It is expressly agreed that employees, apprentices and trainees of the Organising
Company and its subsidiaries cannot enter the Competition.
Students in the process of applying for a job, an apprenticeship or traineeship with
organisations other than the Organising Company and its subsidiaries can enter the
Competition.

It is expressly agreed that any student accepting a firm offer of employment, for a fixed or
indefinite period, during the Competition will automatically be disqualified.
In this regard, participants undertake to inform the Organising Company of any
employment relationship contracted during the Competition.

Entry to the Competition is subject to explicit prior acceptance of these Competition Rules
by the Participant on line.

Participation in the Competition will in no way be regarded as giving rise to a contractual

relationship between the participant, the team and the Organising Company and in no
event giving rise to an employment relationship.

Apart from Internet connection costs, participation in the Competition involves no financial
outlay or purchase obligation.

Clause 4: Registration for the Competition

4.1. Registration

To enter the Competition, students meeting the entry conditions stipulated in clause 3 of
these Rules must, between 20 October 2009 and 15 February 2010 at 9:00h UTC,
connect to the Website and access the registration space.

After they access the Registration space of the Website, Participants will be asked to fill
in their last name, first name, age, birth date, nationality, country of residence, university,
section, school level, university country and personal e-mail address. They must also
enter the password which they will use to identify themselves on the Website.
Provision of this information is obligatory to enter the Competition.

After filling in the obligatory information and before being able to submit their final
application for entry, applicants must read and explicitly agree with these rules by clicking
on the button “I confirm that I have read and agree with these rules”.

Applicants have the option, if they wish so, of indicating on the entry form their IM screen
name, a text providing more information about them, their location on a map and their
telephone number. It is explicitly stipulated that the participation of entrants will not be
affected whether they provide this optional information or not.

The Organising Company reserves the right throughout the Competition to verify the
accuracy of the information provided during registration and to request a copy of identity
documents and/or student cards from the college or university mentioned.
Likewise it is explicitly stipulated that, before the final is held, the Organising Company
will ask the members of the five finalist teams to present their Identity Card and an
authenticity from the University or college.

Once this has been done, the application will be processed by the Organising Company
(and/or its subcontractors) and an e-mail confirming that the entry is being considered will
be sent to the e-mail address given by the applicant on his or her entry form.

It is further explicitly stipulated that once identified, Participants may at any time during
the Competition change the information given during registration.

It is explicitly stipulated that each applicant may only enter the Competition once.
Applicants are formally prohibited from setting up several entry accounts using different
identities. The Participant would be automatically disqualified and in any case could not
be considered as a winner at the end of the Competition and could not exercise any
entitlement to a grant.

However several people from the same family can enter the Competition.

4.2 Login

Once a user is registered, he can login to the Website by using the email address and
password given when registering.

4.3. Team formation

After they login, Participants will be asked to create or join a Team composed of three
Participants to compete in the first stage of the competition which will take place from 17
February 2010 9:00h UTC to 17 March 2010 inclusive 9:00h UTC.

4.3.1. Create a Team

Once identified, Participants wishing to create a Team must click on the button “Create a
Team” after which they will be redirected to a page on the Website where they can fill in
the name they wish to give their Team and provide a brief presentation.

The Organising Company reserves the right at its discretion to ask a Participant who has
created a Team to change the name and presentation of the team if it deems these to be
contrary to public morality or the spirit of the Competition.

Once the application to create a Team has been confirmed by the Organising Company
(or its subcontractor), the Team will be included in the database of Teams registered for
the Competition.

Participants who have set up a Team will automatically be given the position of leader
(hereinafter “Leader”) of their Teams till the game starts.

The Team Leader has the team administrative rights during the registration, therefore he
can:

- Accept or reject a candidacy

- Change the Team picture
- Edit the Team description
- Delete his Team, in this case, an e-mail will be automatically sent to his teammates

Please notify that a Team Leader is not allowed to delete a teammate from his team once
he accepted him/her to the team.

4.3.2. Joining a Team

Participants can also join a Team that has already been set up but does not yet have
three members.
To join a Team, Participants must, after identification, click on the button “Join a Team”.
They will then be redirected to a page listing the teams already created but incomplete as
they have less than three members.

Participants will then be able to apply simultaneously to join up to three teams being
created.
To do this, Participants must select the Team or Teams of their choice and apply to join
them by activating the button “Request to join this Team”.
They can then leave a message for the team Leader to introduce them.
The Leader(s) of the relevant Team(s) in the process of being created can then consult
the profile of the applicant and, at their discretion, accept or reject the application made
by Participants wishing to join their Team by clicking on the ”accept as a teammate”
button.

If the Leader of a Team being created accepts the application of a Participant, the latter
will receive an e-mail directly in the mailbox provided by the website.

After receiving this confirmation e-mail, the Participant can register to the Team by
sending an e-mail to the Team Leader.

Once registered with one of the Teams that have accepted their application, Participants
may not, subject to the terms of clause 4.3.3. of these Rules, register with another team.

4.3.3. Other provisions

Participants are reminded that each Participant can only be a member of one Team and
that they are formally prohibited from creating several accounts using different identities
to join several Teams.

During the registration stage, each Participant who is a member of a Team may, if he or
she wishes, leave that Team.
To leave a Team, the Participant must, after identification, click on the button “Leave my
Team”.

After a Participant has withdrawn from a Team he or she applied to join, the Team will be
reinstated on the list of Teams already created but incomplete.
A Participant who leaves a Team will remain registered as a participant and will be able
to set up a Team or apply to join one of the Teams on the list of Teams already created
but incomplete.

It is explicitly stipulated that all Participants that are not in a complete Team of three at
the end of the registration period, on the 15 February 2010 at 9:00h UTC, will be
automatically associated to a Team that is still incomplete at the end of the registration
period. The Team will be chosen in a random way, using an IT algorithm likely to take
into account their college or university and their geographical location.

If due to the number of Participants in the Competition, some Participants may not be
associated with a complete Team of three, they will be associated in a Team created by
the Organizing Company, in a random way, using an IT algorithm likely to take into
account their college or university and their geographical location.
It is explicitly stipulated that a Team created this way by the Organizing Company will be
made up of three Participants and that if the number of Participants likely to join a Team
created by the Organising Company were not a multiple of three, the Participant(s) not
chosen by the aforementioned algorithm will not be able to take part in the competitive
stage of the Competition and will be excluded from the Competition.

Clause 5: Selection of Teams taking part in the competition stage

All Teams that, on 15 February 2010 9;00h. UTC, are made up of three Participants
meeting the entry conditions provided in clause 3 of these Rules can take part in the
competitive stage of the Competition which will take place from 17 February 2010 9:00h
UTC to 17 March 2010 9:00h UTC.

As mentioned in clause 4.3.3 of these Rules, all Participants that are not in a complete
Team of three at the end of the registration period, that is to say on the 15 February 2010
9:00h. UTC, will be automatically associated randomly, based on their University and
geographical location
- either with a Team made up of less than three Participants at the end of the
registration period,
- or with a Team created by the Organizing Company and made up of Participants

However, by exception to clause 4.3. of these Rules, the Organising Company reserves
the right to allow the participation of a Team in the competitive stage of the Competition
that, on 15 February 2010 9:00h. UTC, is made up of at least three Participants, but on
that date has at least two Participants and the withdrawal of the participant(s) is justified
by a legitimate objective reason (for example pregnancy, accident, hospitalisation…).

Likewise, in accordance with the terms of clause 3 of these Rules on the conditions of
entry, if one or two members of a particular Team accept a firm offer of employment for a
fixed or indefinite period (regardless of the existence of a trial period) during the
Competition, the disqualification will not lead to the disqualification of the Team, which
must in any event be made up of at least two Participants.

A Team that, for any reason whatsoever, should find itself in the position of having a
single Participant during the Competition will definitely be disqualified

Clause 6: The Competition Stage

The competition stage will be held from 17 February 2010 at 09:00h UTC to 17 March
2010 at 09:00h UTC.

All Team members who qualify under the aforementioned conditions will be informed by
the Organising Company (or its subcontractor) by e-mail, between the 15th and 17th of
February 2010 inclusive, that they and their Teams have qualified for the competition
stage of the Competition.

To take part in the competition stage, Participants must, from 17 February 2010 at 9:00h
UTC, connect to the Website and access the section devoted to the competition stage.

After entering the username (e-mail address) and password given by Participants on
registering, they will be able to access the space devoted to their Team and will see the
number of Aces held by their Team.

6.1 Initial allocation of points to the Teams

At the start of the game, each team has the same start-up capital of 100,000 Aces,
except for teams receiving a bonus or malus under the constitution.

Teams get a bonus if they meet the following criterion:

‰ 2,000 Aces are added to the start-up capital if at least 2 players in the Team
entered for the game are each in different countries of residence of their
university.
Participants taking part in exchange programs have to register as members of the
college or university of the country in which the exchange takes place and not as
members of the college or university of their home country.

Each team can only receive this 2,000 Aces bonus once.

Teams receive a malus if they meet the following criterion:

‰ For each player in the Team entered for the game holding at least a Master's
degree or equivalent, 2,000 Aces are subtracted from the start-up capital (if two
Team members hold a Master’s degree or equivalent, 4,000 Aces are subtracted
from the start-up capital and if three Team members hold a Master’s degree or
equivalent, 6,000 Aces are subtracted from the start-up capital.)

This bonus and this malus can be held concurrently by each Team meeting these two
criteria.

 6.2 Allocation of points for solving each challenge

During the competition stage, the Teams will be given a case study to solve. This case
study relates to the business aspect of tennis and involves the three areas of activity of
the Organising Company: Corporate and Investment Banking, Investment Solutions and
French Retail Banking.

The competition stage consists of a simulation in which the Teams are placed in the
situation of a banker who is instructed to do a case study or is given a challenge, and
they must take decisions enabling them to progress through the simulation.

During the competition stage, information will be given each day to the Teams in the web
space reserved for them.

Based on the pertinence of the decisions taken by the Teams and their responses to the
different finance cases put to them, they will be allocated a certain number of Aces and
can thereby increase their capital in Aces.

If a piece of information or a question should be applicable for, or require an answer

within, a given time limit which will be notified to the Team, it may not use this information
or answer the question after this time limit has expired.

The challenge consists of three activities, each of which has an impact on the Team's
capital of Aces:

6.2.1 An information management activity

The teams must examine the information distributed in the game in different forms.
Information useful for solving finance cases is distributed through the following media:
- Newspapers (one every day of the week and one at weekends)
- Interviews (scattered throughout the buildings accessed via the main view of
Universe-City)
- E-mails (e-mails in the game are received on the virtual device provided for this
purpose in the "Players' Office")
- "E-learning modules" and "technical files": documents that can be downloaded
(in PDF format) from the virtual filing cabinet provided for this purpose in the
"Players' Office")

Every piece of information in the game is not necessarily useful for solving the case.
Misleading items may be slipped into some information. The teams must assess the
relevance of each piece of information and decide whether or not to use it in solving the
finance cases.

6.2.2 A finance case management activity

Each finance case consists of an interactive activity containing one or more questions,
which are used to assess each team’s knowledge and understanding of the problems
proposed in the Competition.

All means or tools required to solve these cases (except a calculator) are provided in the
information given under the different headings of the game.

Each finance case can only be solved during an explicitly defined period indicated to the
Team.

The case can earn each Team a maximum number of Aces clearly indicated on the
finance case presentation screen.

The interactive activity is presented according to the different levels of difficulty shown on
the activity presentation page and arranged as follows: easy, average, difficult. The
higher the level of difficulty, the greater the number of points to play for, as explicitly
indicated on the activity presentation screen.

Each case consists of one or more questions on which the Team takes a position using
the interactive method proposed for answering them (multiple choice questions, fill-in-the-
blanks exercise, drag-and-drop or other simple interactive method).

• If the Team correctly answers 100% of the questions, it receives the maximum
number of points shown on the case presentation screen.
• If the Team’s correct answer rate is between 25 and 99% inclusive, it receives a
number of points calculated pro rata to its correct answer rate, out of the maximum
number of points shown on the case presentation screen.
• If the Team gives a correct answer rate strictly less than 25%, it does not earn any
points.

6.2.3 An opportunity management activity

During the game, opportunities will be offered to the teams by a person situated in the
players’ office.

An opportunity is an occasion when the teams can adopt a position on a problem linked
to the scenario of the game, its context (the business lines of BNP Paribas) and how it
develops.

For each opportunity, the teams can take a position by choosing one of three options
presented to them. Each reply option is accompanied by:

a cost explicitly indicated in Aces even if it is equal to 0 Aces.

a bonus that will take the form of a certain number of Aces added to the team’s
score a few days after the opportunity ends.

When the opportunity closes, a message will be sent to the team’s e-mail address in the
game to tell them the amount of this bonus and the reasons for it.

The amount of the bonuses associated with each reply option cannot be known in
advance.

Teams that do not take a position on this opportunity will receive a negative bonus of –
300 Aces representing a penalty for their inaction.

6.2.4 Allocation of points for a consistently high performance

A reward system will allow the teams to obtain one or more bonuses for achieving
complete success (100%) in at least two consecutive finance cases.

The more consecutive finance cases handled successfully, the greater the number Aces
allocated for these subsequent successes.

In the game, this reward system is called “Combo”.

The final table of points to be allocated for the number of consecutive finance cases
handled successfully will be notified to the team at the start of the game in the form of a
technical file located in the virtual filing cabinet provided for this purpose in the "Players'
Office".

6.2.5 Additional information

It is explicitly stipulated that the Teams may not have a number of Aces less than zero.

The Organising Company draws Participants’ attention to the fact that during the
competition stage each Participant in a team can take decisions and act on behalf of the
Team.

The Participants in a team are therefore jointly liable for the decisions taken by one of the
Participants in the Team and accept the consequences that these decisions may have in
increasing or decreasing the number of Aces held by the Team.

6.3 End of the competition stage and ranking

At the end of the competition stage, i.e. on 17 March 2010 at 9:00h UTC, the Teams will
be ranked by the number of Aces they have obtained (hereinafter the “Score”).
This ranking will be established in descending order from the highest to the lowest
scores.

In the event of a tie, the teams placed equal will be separated on the basis of the date
(expressed in UTC) and time (expressed in hours/minutes/seconds) when they submitted
the first finance case for which they obtained 100% of the points in Aces. The team that
submitted the finance case first will have the advantage over the other tied team or
teams.

The five Teams obtaining the highest Score will qualify for the Final to be held on 15 April
2010 in Paris.

If for any reason provided under these Rules, one of the five highest scoring Teams
should be disqualified, the Team that has obtained the sixth highest Score will be
selected for the Final.

The same system (qualification of the next highest ranked Team) will be applied if several
Teams qualifying for the Final are disqualified.

All Participants belonging to a finalist Team will receive an e-mail and/or telephone call
from the Organising Company (or its subcontractor) informing them that their Team has
qualified for the Final and asking them to provide some information (full home address,
availability, etc.) to the Organising Company to enable it to arrange return transport and
accommodation in Paris.
In addition, a list of the five Finalist Teams will be published on the Website starting from
the 24 March 2010.

Clause 7: Procedure of the Final

The Final, during which the five qualifying Teams (hereinafter the “Finalist Team(s)”)
must do the same case study, will take place on 15 April 2010 on the premises of the
Organising Company at 3 rue d’Antin, 75002 Paris – France.

7.1 Presence and accommodation of Finalist Team members

Each member of the Finalist Teams must complete the formalities required under the
applicable legislation (obtaining a visa, etc) to travel to France and take part in the Final.

On the basis of the information sent to it, the Organising Company will pay for and
organise, according to where they live, the return trip of each member of the Finalist
Teams (from their home to Paris, correspondence for the place of accommodation, travel
from the place of accommodation to the place where the final is held) and likewise for the
return trip.

It is stipulated and agreed that each member of the Finalist Teams will arrive in Paris the
day before the final (14 April 2010) and will depart homeward on the day after the final
(16 April 2010).
In this regard, it is explicitly agreed that the Organising Company will pay all costs of
meals, accommodation and travel from the time Finalist Team members depart from their
home until they return to their home.

The Organising Company shall in no event be liable if a Finalist Team or one of its
members is unable to travel to France for reasons unrelated or external to the Organising
Company (e.g. visa, health, disruption of air traffic, etc).

To be able to take part in the Final, each Finalist Team must be represented by at least
two of its members; otherwise the Finalist Team will be disqualified.

By their simple participation and their acceptance of these Rules, all Participants
undertake, as soon as they become part of a Finalist Team, to comply with all
instructions and safety requirements issued by the Organising Company and the various

entities involved with their participation in the Final (airline, rail company, accommodation
company, catering company, etc).

The Organising Company accepts no liability for any damage suffered or caused by
members of the Finalist Teams insofar as it shall not be at fault and/or the said damage
results from an unforeseeable, unavoidable external event.

7.2 Procedure of the Final and methods for naming the winners

In the morning of 15 April 2010 (time to be notified later by the Organising Company), the
Finalist Teams will meet on the premises of the Organising Company at 3 rue d’Antin,
75002 Paris, and will be given the same case study.

When they receive this case study, the Finalist Teams, distributed in separate rooms on
the premises of the Organising Company, will have 6 hours to work on the case and
prepare their presentations.

From 15 April 2010, at 15:00h UTC, each Finalist Team will submit, to a jury made up of
Universities’ professors, executives from the group of the Organising Company and
journalists, their proposals on the case study given to them.

Each Finalist Team will present its proposals successively in the room specially allocated
for the final (room to be identified later by the Organising Company). The other Finalist
Teams may not attend this presentation.

After each of the Finalist Teams has given its presentation, the jury will meet behind
closed doors to deliberate and apportion marks out of 100 to the Finalist Teams for their
presentations (hereinafter “Presentation Mark”).

This final Presentation Mark will correspond to the average of the marks allocated by
each member of the jury to each Finalist Team on the basis of the following 5 evaluation
criteria marked on a scale of 0 to 20 (the number of points being proportional to the
capacity of the Team to respond positively to the criterion):

o Understanding of the "business" issues

o Pertinence of the solutions proposed
o Team work
o Form and originality of the presentation
o Strength of conviction

7.3 Notation of the Finalist Teams and final ranking of the Competition

The final ranking of the Competition will be established, by decreasing order, according to
the final mark (hereinafter the “Final Mark”) obtained by each finalist Team.

The Final Mark allocated to each Team will be established using the two following
components which will be weighted by a multiplier:

- the Presentation Mark, established on a scale from 0 to 100

- the Competition Mark, established on a scale from 0 to 100

In order to obtain the Competition Mark, the Score of each finalist team will be converted
to a base of 100 points by being divided by the Score of the Finalist Team with the
highest Score and then multiplied by 100.

Consequently, the Competition Mark of the Finalist Team with the best Score will
automatically be 100 ([Score in Aces of the Finalist Team with the best Score divided by
the Score of the Finalist Team with the best Score] multiplied by 100)

The Competition Mark of each Finalist Team will consequently be allocated using
following calculation method: Finalist Team’s Score in Aces divided by the Score of the
Finalist Team with the best Score, multiplied by 100.

It is explicitly stipulated that the each Competition Mark will be a whole number rounded
off if necessary to the nearest decimal.

Then, the Final Mark is allocated to each team using the following calculation method:

-The Presentation Mark obtained by each team will be weighted by a multiplier of 50% to
obtain a weighted final presentation mark (hereinafter “Final Presentation Mark”).
-The Competition Mark obtained by each team will be weighted by a multiplier of 50% to
obtain a Weighted Competition Mark (hereinafter “Final Competition Mark”).

The Final Presentation Mark and the Final Competition Mark are added together to
determine the Final Mark for each team.

Using the Final Marks obtained by each Finalist Team, the final ranking of the five Finalist
Teams will be established as follows:

• the Finalist Team that has obtained the highest Final Mark will be the winner of the
Competition,
• the Finalist Team that has obtained the second highest Final Mark will be second in
the Competition,
• the Finalist Team that has obtained the third highest Final Mark will be third in the
Competition,
• the Finalist Team that has obtained the fourth highest Final Mark will be fourth in the
Competition,
• the Finalist Team that has obtained the fifth highest Final Mark will be fifth in the
Competition.

Clause 8: Grants

The grants to be won in the Competition are as follows:

- A sum in prize money of €13,500 (divided up as follows between the Participants of

Teams ranked first, second and third at the end of the Competition)
- 15 tickets (minimum value €50 each) to attend a tennis match selected from one of the
following Tournaments sponsored by BNP Paribas in 2010 - 2011: Davis Cup by BNP

Paribas, Fed Cup by BNP Paribas, BNP Paribas Masters, Monte Carlo Master Series,
Internazionali BNL d’Italia (hereinafter the “Tounament(s)”).
A complete List of the Tournaments will be communicated by the organising Company to
each member of the Finalist teams at the end of the ceremony of announcement of the
final results of the Competition.

The aforementioned grants are planned for the case five Finalist Teams with three
members attend the Final.
It is explicitly stipulated that the distribution principles of the grants prevails over the
aforementioned list of grants. Consequently, if one or several Finalist Teams are made
up of less than three members, each Participant will receive the grant as
abovementioned in the distribution principles.
It is explicitly stipulated that the Organising Company shall not distribute the grants left
over due to the composition of the Teams.

The grants available are distributed between the Finalist Teams as follows, in accordance
with the concluding ranking in the Final:

- Winning Finalist Team: €3,000 for each Finalist Team member (i.e. €9,000 for a Team
with 3 members) plus one ticket (minimum unit value €50) for each Finalist Team
member to attend a tennis match at one of the Tournaments.

- Finalist Team placed second: €1,000 for each Finalist Team member (i.e. €3,000 for a
Team with 3 members) plus one ticket (minimum unit value €50) for each Finalist Team
member to attend a tennis match at one of the Tournaments.

- Finalist Team placed third: €500 for each Finalist Team member (i.e. €1,500 for a Team
with 3 members) plus one ticket (minimum unit value €50) for each Finalist Team
member to attend a tennis match at one of the Tournaments.

- Finalist Team placed fourth: one ticket (minimum unit value €50) for each member of
the Finalist Team, to attend a tennis match at one of the Tournaments.

- Finalist Team placed fifth: one ticket (minimum unit value €50) for each member of the
Finalist Team, to attend a tennis match at one of the Tournaments.

Each Finalist Team member must inform the Organising Company by 30th April 2010 of
the tournament for which he or she wishes to obtain a ticket.

The financial grants obtained by each member of the first three Finalist Teams will be
delivered in the form of a cheque sent by registered post with advice of delivery to the
home of the winners, at the address notified prior to the Final, within one month from the
date of the end of the Competition .

Each member of the first three Finalist Teams awarded a financial grant must, if
applicable, bear the costs (taxes, exchange rate fluctuations and all other taxes and
duties of any nature) of cashing the cheque issued by the Organising Company.

The tickets allocated to attend a Tournament will be sent by registered post with advice of
delivery to the home of the winners, at the address notified prior to the Final, within one
month after notification by the member to the Organising Company of the Tournament
that he or she wishes to attend.
It is expressly agreed that the award of a ticket for a match in a Tournament relates
exclusively to a ticket to attend a match in the Tournament chosen and that no expenses
whatsoever incurred for travel, accommodation or meals to attend this match will be paid
by the Organising Company.

It is explicitly stipulated that once the lot has been delivered to the winner, the remittance
of the lot will be deemed to have been effected and the winner will have full responsibility
for it.
Consequently, the Organising Company may in no event be held liable for any damages
including third party damages caused as a result of the use of the lot.

Clause 9: Announcement of the final results of the Competition

In the late afternoon of 15 April 2009, after the jury has deliberated, the members of the
five Finalist Teams, the members of the jury, and the guests and members of the
Organising Company will meet at the Organising Company’s offices at 3 rue d’Antin,
75002 Paris – France for the announcement of the results of the Competition.

After the results have been announced, the members of the finalist teams will be taken to
a party to celebrate the five (5) Finalist Teams and the end of the Competition.

The results of the Competition (ranking and composition of the Finalist Teams, awards)
will be published on the Website within 48 hours after results are announced at the
Organising Company’s offices.

Clause 10: Relationship of Teams with third parties

Clause 10.1. Relationship of the Teams with University/College staff

Assistance received from professors and/or staff from universities and/or colleges must
be limited to general information on strategy. Unauthorised or excessive assistance will
result in the Team being disqualified.

Clause 10.2. Relationship of Teams with the media

Team members may not contact the media directly or indirectly and/or meet journalists to
talk about any aspect of the Competition without the express prior authorisation of the
Organising Company. Team members who make direct contact with the media or
journalists without the express prior authorisation of the Organising Company will incur
the disqualification of their Team.

Clause 11: Connection to and use of the Internet

Participation in the Competition implies an awareness and acceptance of the

characteristics and limitations of the Internet, the absence of protection for certain data
against hijacking or hacking and a risk of contamination by viruses circulating on the net.

The Organising Company accepts no liability in the event of misuse or incidents related
with the use of computers, access to the Internet, the telephone line, or any other
technical connection.

Clause 12: Name-linked information/Personal and other data

Clause 12.1. Name-linked information/Personal data

It is explicitly agreed that participation in this competition requires all participants, or their
legal representative if they do not have legal capacity (minors…), to transmit personal
data about themselves.
This data will be recorded and processed by the Organising Company, the entity
responsible for processing, for the sole purposes of internal administration, organising
and processing the Competition and awarding the grants, in order to meet the legal and
regulatory obligations inherent in organising a Competition.

The personal data of citizens of the European Union will also be recorded and processed
by the Organising Company to establish and accumulate a European database
(hereinafter the “Database”) which will be used to inform Participants of events held by
the BNP Paribas Group (invitation to conferences, tennis tournaments…) and to inform
them of job opportunities offered by the BNP Paribas Group.
This database may be passed to Human Resources departments of the BNP Paribas
Group in European Union countries in which the BNP Paribas Group is present.

However, it is explicitly stipulated that all participants (or their legal representatives) shall
be entitled to object at any time (by sending an e-mail to:

to the recording and use of their personal data in the Database, without any
repercussions on their participation in the Competition.

No other use (transmission of information, commercial solicitation) of the personal data of

participants will be made by any means whatsoever.

Personal data collected in this way may be passed to the service providers and
subcontractors of the Organising Company that carry out, on its behalf, in a country of
the European Union or outside the European Union, certain physical and technical tasks
essential for achieving the ends described above.

All Participants (or their legal representatives) have the right to access, change, correct
and remove their personal data by acting directly on the Website and/or sending an e-

When they register, all Participants (or their legal representatives) explicitly give
permission, without granting any right to remuneration or benefit of any nature
whatsoever, for their surname, first name, university and nationality to be mentioned, by

the requirements inherent in running the Competition.

All Participants (or their legal representatives) explicitly give permission, in advance if
they are part of a Finalist Team, without granting a right to remuneration or benefit other
than the allocation of the grant, for their surname, first name, university and nationality to
be mentioned, reproduced and/or represented notably:
- on the Website page listing the five Finalist Teams and their members,
- in all other documents, by any means and on any media whatsoever, especially those
devoted to the Competition (press releases, press packs, videos,…).

This authorisation, intended only for the purposes of advertising or sales promotion
related with the Competition, is given for a period of 2 years from the time Participants
register for the Competition.

Clause 12.2. Image and other rights

When they register, participants have the option of including their photograph by
uploading it from their computer.

By uploading this photograph, participants (or their legal representative) agree to it being
shown on the Website where it can be viewed by all participants.

All Participants (or their legal representatives) explicitly give permission, in advance if
they are in a Finalist Team, without granting a right to remuneration or benefit other than
the allocation of the grant, for their image (copied by the Organising Company from a
photograph or audiovisual recording with the tacit agreement of the participant when
copied) and if applicable their words, to be mentioned, reproduced and/or represented in
particular:

- on the Website page listing the five Finalist Teams and their members,
- on all other documents, by any means and on any media whatsoever, especially those
devoted to the Competition (press releases, press packs, videos,…).

This authorisation, intended only for the purposes of advertising or sales promotion
related with the Competition, is given for a period of 2 years from the time Participants
register for the Competition.

Clause 13: Responsibility of the Organising Company

On the occurrence of an event in the nature of major force as accepted by the

jurisprudence of the French courts and tribunals, the Organising Company reserves the
right, without incurring any liability, to curtail, postpone, reschedule, change or cancel the
Competition, the rules of the Competition and the offer of grants.
Such an event will be reported by any means at the discretion of the Organising
Company.

Additions or changes made to the Competition will be considered as amendments to
these rules, and lodged at the office of Maître Alliel, Bailiff, 15 Rue des Halles 75001
PARIS.

Clause 14: Claims

No verbal or telephone requests concerning the interpretation or application of these

Rules will be answered.
All complaints or claims regarding the Competition must be made in writing within fifteen
(15) days from the closing date of the Competition, 30 April 2010.

For all disputes regarding the interpretation of these Rules and all cases not provided for
herein, the decision of the Organising Company is final and Participants will have no right
of appeal.

Clause 15: Intellectual property

All content (text, images, data, drawings, graphics, photographs, sound recordings…) of
the Website is subject to international legislation on copyright, trademarks, and
intellectual property in general.
The reproduction or representation, in whole or in part, of the pages, data or any other
item contained on the site, on any media and by any process whatsoever made without
explicit prior authorisation is prohibited and constitutes a breach sanctioned by the
Intellectual Property Code.
The trademarks presented on the Website are trademarks registered by the Organising
Company in France and/or internationally under different variants.
The reproduction of trademarks in full or in part made using items from the Website
without explicit prior authorisation from their owner is therefore prohibited under Article
L.713-2 of the Intellectual Property Code.
Likewise, anyone using the contents of the Website for illegal purposes will be subject to
prosecution.
Exceptionally, some content (text, images) is the property of its respective authors.

Clause 16: Acceptance and lodging of the Rules

Participation in the Competition implies acceptance pure and simple of these Rules in full.
These Rules are lodged at the office of Maître Jacques ALLIEL, Bailiff, 15 Rue des Halles
75001 – PARIS.

These Rules are governed by French law and all disputes arising from the Competition
must be brought before the courts entitled to adjudicate under French law.
The original version of these Rules is in French. If there is any disagreement, the French
version shall prevail.
A copy of these Rules, which are available on the Website, will be sent free of charge
(postage refunded on the basis of a simple letter sent by second class post) on a written
request (limited to one request per household) sent to the following address:

The request for reimbursement of these postal charges must be made within fifteen (15)
days after the closing date of the Competition.
The Organising Company will take all measures necessary to ensure compliance with
these Rules, and reserves the right, at its sole discretion, to bar or prohibit a Team from
taking part in the Competition if the Team or one of its members fails to comply with the
Rules of this competition, or acts in a disloyal or disorderly manner.
