allocated to CS after the correct Bridge triage
procedure has been followed. Tracy will determine
if the EPT is correct and the deadline achievable
before assigning the form to a designer. Outside
of Tracys working hours, please liaise direct with

our experience of dealing with aircraft manufacturers, we can also
advise you in relation to the issues that arise from transferring an
aircraft order book and any connected arrangements
with manufacturers.

acquisition of portfolios of aircraft. We have carried out multijurisdictional due diligence exercises in a number of jurisdictions in
previous portfolio acquisitions. We have therefore built upon an
extensive database of local tax, registration and filings that may

1.1_Types of company
There are several types of companies
and partnerships available in Poland.
This chapter deals with the two most
frequently used ones: the limited
liability company (Sp. z o.o.) and the
joint-stock company (S.A.). The
capital of an Sp. z o.o. is comprised of
one or more shares, which are rights
rather than securities, and which are
not evidenced by share certificates.
The capital of an S.A. is divided into
shares, which are securities that may
be evidenced with share certificates
and which are potentially eligible to be
listed on a regulated market.

concern, of the aircraft leasing arm of
Allco Finance Group Limited. The sale
consisted of 68 financed aircraft.

The Tokyo and London offices of


Banca Commerciale Italiana (BCI) and
Banca Commercial Italiana (Ireland)
plc in relation to the purchase of
approximately USD900m worth of
Sanwa Banks existing European
aerospace finance business, involving
participation in a variety of financings
including US and Japanese crossborder lease structures.

On the transfer of the whole of its


lease and financing transactions,
comprising the entire Iberia fleet, as
part of its internal reorganisation in
relation to the merger with BA.

purchases of aircraft, involving over
100 aircraft and many different
purchasers and sellers and in relation to
the internal transfer of over 480 aircraft
and leases comprised in its portfolio.

An Sp. z o.o. is generally subject to less


strict corporate governance rules than
an S.A.

In both an Sp. z o.o. and an S.A.,
business management is entrusted to the
management board. A management
board must consist of at least one
member and is subject to largely similar
rules whether in an Sp. z o.o. or an S.A..

1_Who governs Polish companies?

The management board manages the


companys affairs and acts as its
representative in dealings with third
parties. It has general competence to
take business decisions for the
company. It can therefore take any

actions which are not reserved to the


supervisory board or the shareholders
meetings. Management board decisions
are normally taken by an absolute
majority of members present, provided
that all members have been given
proper notice, although the level of
support required for decisions can be
varied by the companys constitutional
documents (Articles of Association in
an Sp. z o.o. or a Statute in an S.A.
further jointly referred to as articles).
The management board has
responsibility for the companys
external obligations, such as dealing
with public authorities and entering
into contracts, and for its internal
functions, such as overseeing the
accounts and arranging shareholders
meetings. Subject to the limitations
detailed below, the members of the
management board also have the
authority to carry out all legal acts on
behalf of the company. Whilst
management board members
(directors) of companies in other
jurisdictions may be divided into
executives and non-executives,
there is no such distinction for Polish
companies. All management board
members are supposed to exercise their
management functions each member
has a right and obligation to perform
the companys duties.

1.3_Limits on the authority


of the management board
members
Each management board member may
perform acts within the scope of the
ordinary business of the company
without further authorisation. A
resolution of the management board
is required for matters beyond the
scope of the ordinary business of the
company, or if any other member
objects to an act before it is
completed. The articles can require
the management board to seek
approval from the supervisory board
or from shareholders for certain
transactions, for example where the
value exceeds certain thresholds.
Any limitations imposed on the scope
of a management board members
authority will not be binding against
third parties. If a management board
member acts beyond his powers, or in
breach of an internal restriction, the
company is still bound to perform the
relevant obligation. The company
might however be able to recover
damages from the relevant board
member.

In CIPT Properties (AIPT) Ltd v Transport for London, the High Court
refused an application for an injunction to restrain a Central London
development that might obstruct rights to light on the grounds that the
application was premature. In this case the developer did not own the
neighbouring land and the development agreement was conditional,
so the threat of infringement was not imminent.
