MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Memorandum of Agreement made and entered into by and between:
The CITY GOVERNMENT OF PUERTO PRINCESA, a local Government Unit
duly organized and existing under the laws of the Philippines, with Office address at
City Hall, Bgy. Sta. Monica, Puerto Princesa City, represented herein by Honorable
LUCILO R. BAYRON, in his capacity as City Mayor and hereinafter referred to as
the CITY GOVERNMENT;
AND
The KINETIX CREATIONS INC, a corporation duly organized and existing
under the laws of the Republic of the Philippines pursuant to SEC Registration No.

__________, represented in this act by its Event Organizer, NELSON CAPULSO,
herein after referred to as KINETIX;

__________________________, herein after referred to as MYPHONE;
WITNESSETH:
WHEREAS, the CITY GOVERNMENT, in order to foster economic activity
in the City of Puerto Princesa and provide entertainment to its constituents during
the celebration of the 3rd year founding anniversary of the Puerto Princesa
Subterranean River National Park [PPUR] as the New Seven Wonders of Nature,
shall sponsor, organize and facilitate a CONCERT at the City Coliseum with
entertainer DANIEL PADILLA as the main performer;
WHEREAS, to ensure the efficient implementation of the said CONCERT, the
CITY GOVERNMENT shall provide funds to defray the expenses of the said
event;
WHEREAS, KINETIX, an event organizer, proposes to organize and
provide the necessary arrangement to efficiently carry out the said CONCERT;
WHEREAS, MYPHONE, as part of its promotional marketing strategy shall
likewise provide funding requirements for the said CONCERT;
NOW, THEREFORE, for and in consideration of the foregoing premises and
the terms and conditions herein stipulated, the parties agree as follows:

1. The Agreement:
This Agreement shall cover the staging of a CONCERT on NOVEMBER 27,
2014, at the City Coliseum, in celebration of the 3rd year founding
anniversary of the Puerto Princesa Subterranean River National Park [PPUR]
as one of the New Seven Wonders of Nature, with entertainer DANIEL
PADILLA as the main performer.
2. Total Contract Price of the event:
The contract price of the herein subject CONCERT is TWO MILLION FIVE
HUNDRED THOUSAND PESOS [P2,500,000.00]. Said amount shall cover
the performers fee and payment of event management services. (Not sure
as to the amount since we cant get hold of myphone personnel. Amount
indicated was what Mayor said during the meeting.)
3. Responsibilities of the CITY GOVERNMENT:
a) The CITY GOVERNMENT shall provide the partial contract price of the
CONCERT, which amounts to the event management fee, amounting to
Six Hundred Seventy Two Thousand Pesos (Php 672,000.00)
inclusive of 12% VAT. 50% of which shall be paid to KINETIX upon
contract signing and 50% upon completion of the agreement;
b) Shall be responsible in organizing, staging and supervising the November
27, 2014 CONCERT and shall prepare all usual and customary technical
and production logistics for the said event, such as venue preparation,
quality audio, visual and lighting system, LED wall and technical operators
and transportation of organizers;
c) Provide security arrangements within the City Coliseum premises;
d) Provide accommodation, transportation and security for the performer;
and
e) Declare Mr. Daniel Padilla as Adopted Son of Puerto Princesa and
Ambassador of the Puerto Princesa Underground River.
4. Responsibilities of the KINETIX CREATION INC.:
a) Ensure that Mr. Daniel Padilla will attend the CONCERT and perform in
accordance to the following schedule:

Mr. Daniel Padilla will attend the special session of
the City Council of Puerto Princesa to receive the city council
resolution declaring him as the Adopted Son of Puerto Princesa
and the Ambassador of the Puerto Princesa Underground River

Mr. Daniel Padilla will join the photo opportunity
with the City Officials and employees of the City Government of
Puerto Princesa at the office of the City Mayor

Mr. Daniel Padilla will join the 3 rd Year Anniversary
Concert at the Puerto Princesa Coliseum and will render five (5)
songs

b) Will provide professional event management services and over-all event

organizer for the entire duration of the Underground River Anniversary on
the above mentioned date;
c) Will supervise the subject CONCERT on November 27, 2014 from 7PM12AM;
d) Will supervise concert quality audio, visual and lighting system for the
whole duration of the entire event including LED wall and technical
operators;
e) Will supervise the stage set up including lights and sound, LED Wall (1)
and stage design;
f) Will provide performers for the above mentioned CONCERT which includes
Daniel Padilla, Devon Seron, Kyle Vergara, Kym Vergara, Kris Angelica,
Girbaud Limpin, Kenzo Ortiz, Mark Thompson, host and dancers.
g) Will provide video production of the event for documentation purposes of
the City Government;
h) Will assist the City Government for media releases on the following:
1) Radio plugs in Manila;
2) Post event special feature at Village People with the following
exposure:

(2)Mayors Page
(3)Underground River Section
i) Will submit post evaluation report no longer than one (1) week after the
event.
5. Responsibilities of MY PHONE:
a) MYPHONE shall provide the remaining contract price for the CONCERT
amounting to ONE MILLION EIGHOUSAND TWENTY-EIGHT Pesos
(Php 1,828,000.000) inclusive of 12% VAT. 50% of which shall be
paid to KINETIX upon contract signing and 50% upon completion of the
agreement;

6. DURATION AND HOURS:
a. The event management period contracted for this event shall be limited to
the dates and time for each day of use from Ingress to Egress as agreed
upon the stipulated in this Agreement.
b. KINETIX reserves the right to extend or limit open hours. Should The City
Government desire to change open hours, the KINETIX shall secure The
City Governments approval in writing of such changes at least 24 hours
prior to its effectively;
c. Ingress/Move-in and Egress/Move-out shall be accomplished within the dates
and hours stipulated. Overtime work beyond the agreed schedule shall be
subject to The City Governments approval and subject to the Overtime
rental charges.
