LEAVE AND LICENCE AGREEMENT

THIS LEAVE LICENCE AGREEMENT made and entered into at Mulund (West)
Mumbai on this 1st day of August 2014, BY AND BETWEEN:
Mr Anil Menda aged 38 Years & Mrs Mahima Anil Menda aged 36 Years, an Indian
Inhabitant, residing at 301, Woodstock, Yogi Hill, Mulund (W) the party of the FIRST
PART, hereinafter referred to as the LICENSOR (Which expression shall unless
repugnant to the context or meaning thereof be deemed to mean and include his
legal heirs, executors, successors, administrators and assigns)
AND
Vijay Singh Ahluwalia------------ aged 46 years, an Indian Inhabitant, residing at
-6/1504 Pristine Tower CHS Ltd, Vasant lawns, Of Pokharan Road No 2, Thane
west 400601, the party of the SECOND PART, hereinafter referred to as the
LICENSEE (Which expression shall unless repugnant to the context or meaning
thereof be deemed to mean and include his/her legal heirs, executors, successors,
administrators and assigns)

WHEREAS the Licensor is the owner of an Ofce bearing no. 427 on 4
th
foor of
the building known as AVIOR Nirmal Galaxy, and situate at LBS Marg,
Mulund (West), Mumbai 400080, admeasuring about 802 Sq. Ft. Built Area,
hereto for the sake of brevity known as the SAID OFFICE. The Licensee being
in the need of a commercial space for the purpose of carrying on his business
has approached the Licensor and the Licensor agreed to grant Leave and
Licence to the Licensee to occupy the said ofce for a period of 60 months.
AND WHEREAS the Licensor has agreed to give Leave and Licence to the
Licensee to use the said ofce only for the purpose of providing ofce space of
the Licensee on payment of such License fees or compensation for such period
and upon such terms and conditions hereinafter contained.
NOW THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND
BETWEEN THE PARTIES HERETO AS FOLLOWS:
1)The Licensor hereby grants to the Licensee and the Licensee hereby accept
from the Licensor, the License to occupy and use the said ofce for the Pest
Control & other related Business, in the name and style of Sterling Pest
Control Services Pvt. Ltd. The License shall be for a period of 5years (60)
months commencing from 1st day of August 2014 to 31st day of July 2019.
2)The compensation for the occupation and use of the said ofce for Sixty
months shall be Rs. 45000/- (Rupees: Forty Five Thousand Only) per month
for the frst Twelve months starting from 1
st
day of Licensed period i.e. of 1
st
August 2014, thereafter will increase to Rs 49500/-from the thirteenth
month i.e. 1
st
day of August 2015 to 31st day of July 2016 thereafter will be
Rs. 54000/-from 1
st
day of August 2016 to 31
st
day of July 2017, hereafter
the rent will be 58500/- from 1
st
day of August 2017 to 31
st
day of July 2018
and the rent for the fnal year of the agreement i.e. from 1
st
August 2018 to
31
st
July 2019 will be 63000/-The Licensee shall pay the monthly
compensation on or before 5
th
day of every month in advance. Consecutive
Default in payment of monthly payments for 3 months shall entitle the

Licensor to revoke and cancel the License and resume possession of the said
ofce without any further notice.
3)The Licensee has deposited with the Licensor a sum of Rs. 2,00,000/-
(Rupees: Two Lakh only) as security deposit to be held free of interest for the
above period of leave and license. Licensor has agreed to return the full
security deposit on the last day of this agreement or on the same day of
taking over the possession of the said premises.
4)The Licensee shall receive the receipt for the monthly compensation paid by
him and no amount shall be accepted to have been paid by him in absence of
any such written receipt executed by the Licensor.
5)The Licensee shall not assign, mortgage, charge, License, sub-let or
otherwise transfer the said ofce or any portion of it in any manner
whatsoever, the License being a personal one, restricted for use or
occupation of the Licensee and is neither transferable nor intended to be
transferable. The Licensee shall use the said ofce for his own purpose only.
6)The said ofce shall be used for own purpose only and that to for as the
ofce of the Licensee and for no other purpose whatsoever. Nothing in this
clause is construed as permitting any other person to use and occupy the said
ofce.
7)In addition to the monthly compensation as stipulated above, the Licensee shall
pay for Cable Charges, Telephone Charges and Electricity Charges used in the
said ofce as shown by the meter. and/or vehicle parking charges billed by the
society .

8)The Licensee shall use the said ofce with due care and caution and shall keep
and maintain the same in good order and condition.
9)The Licensee shall keep the interior of the said ofce, cause to keep and
maintain furniture, fxture and fttings, including electrical, sanitary and
plumbing fxture in good and tenantable condition, subject to reasonable wear

and tear. The Licensee however, shall not be responsible for any damage by
tempest, earthquake, fre, military, mob violence, act of God or any other
accident due to resistible forces beyond the control of the Licensee.
10)The Licensee shall not make any permanent/temporary structural changes in
the said ofce without the prior written consent of the Licensor during the
period of license. It is agreed that the Licensee shall display his name on the
exterior of the said ofce as per the existing rules followed in the said society.
11)The Licensee is however permitted to install telephone connection temporarily
during the period of license. The License shall alone pay all bills and other
charges for the telephone/s as per bill received thereof during the period of this
Licensee and remove the said telephone connection on expiration of this license
period.
12)The Licensee shall not do any act or deed which may cause nuisance and
annoyance to the Licensor or the occupants of other premises in the building
wherein the said ofce is situated.
13)The Licensor shall not be responsible or liable for any theft, loss, damage or
destruction of any property of the Licensee or of any other person lying in the
said ofce nor for any bodily injury or harm to any person in the said ofce from
any cause whatsoever.
14)The Licensor shall as member of the society, duly observe and comply with all
the rules, regulations and bye-laws of the society and the Licensee shall also to
the extent applicable to them observe and comply with such rules, regulations
and bye-laws.
15)The License hereby granted is for the Licensee and the Licensee shall not assign,
transfer or part with the possession of the said ofce or any portion thereof to
any person or party/parties.
16)The Licensee shall not at any time put any claim of tenancy or sub-tenancy or
any other right or title into or in respect of the said ofce under any law
presently in force and any laws which may be enacted hereafter and this

agreement shall not be construed to create any such right whatsoever in favor of
the Licensee.
17)The Licensor is at liberty to inspect the said Ofce any time either
herself/himself/themselves, or through her/his/their Authorized Agent or
Power Of Attorney, only after notifying the Licensee and allow the Licensee to
attend the inspection along with the Licensor, authorized agent and Attorney.
18)This agreement shall be governed under all applicable laws/rules/ notifcations
in force as on the date of this agreement and more particularly under the Indian
Contracts Act, 1872 and The Maharashtra Rent Control Act, 1999.
19)The Licensee shall vacate and give vacant possession of the said ofce to the
Licensor on expiry of this agreement, reasonable wear and tear accepted.
20) Upon the expiry of the period of this Agreement, if any of the electricity bill,
cable connection charges, Telephone Bill etc. and/or parking charges payable by
the licensee are unpaid, the Licensor shall retain Rs. 25,000/- or the unpaid
balance amount whichever is higher, from the aforesaid security deposit, which
shall be refunded on producing evidence of payment made for such unpaid
amount .
21)At the time of the Licensee vacating the said ofce, the Licensee shall be entitled
to remove all items of except fxtures and fttings belonging to the Licensor and
brought into the said ofce from time to time. The security deposit as provided
in clause no. (3) hereinabove will be returned to the Licensee on the handing
over vacant and peaceful possession of the said ofce to the Licensor, the
Licensee shall receive, from Licensor, collectively or either of the balance amount
or complete amount of security deposit (as the case may be) after deductions of
any dues as also all the arrears of charges due herein and money loss, if any,
sufered by the Licensor by reason of the operation (by the Licensee) of this
Agreement of Leave and License, beside the loss in terms of money sufered by
the Licensor on account of damage to the said ofce and/or ftting/fxtures
therein. If for any reason the Licensor is unable to refund the Security deposit of
Rs. 2,00,000.00 (Rupees: Two Lakh Fifty Only) within 7 days from termination

of this Agreement then the same shall carry interest @ 12% per annum from the
date termination till the date of repayment.
22)As per the orders from the Department Of Police the Licensee shall furnish the
details & further agree to co-operate in getting the No Objection Certifcate from
the local police station by appearing personally as and when called by the police
under which jurisdiction the Said Ofce is covered.

23)All the Letters, notices and other communications to be served upon the
Licensees or Licensor after the commenced of this License shall be deemed to be
efectively served if same is sent by registered post and addressed on the address
given hereinabove.
24)The juridical possession shall be deemed to be with the Licensor.
25)On account of any change or modifcation, amendments or promulgation of any
law or rules, if this agreement is to efect or prejudice either of the parties then
this agreement shall stand terminated before such change, modifcation or
promulgation of any law or rules becomes efective.
26)Any dispute is subject to the jurisdiction of the Court/Competent authority in
Mumbai.
27)It is agreed between the parties that the lock in period is 60 months from the
date of this agreement, in the event if the Licensee terminates this agreement
before the said lock in period then the Security Deposit of the Licensee shall be
forfeited by the Licensor. And in the event if Licensor terminates this agreement
before the said lock in period then the Licensor shall refund double amount of
the deposit money on the day of termination. Either party will give minimum
three month of notice of any such termination in advance after/before the lock
in period.
28)It is agreed between parties that the Licensee will do ECS for monthly rent to the
Licensors Bank Account in advance on 5
th
of every month.
29)Stamp duty & Registration charges and all out of pocket expenses shall be borne
by both the parties equally.

30)That the Licensee and her/his/their family members shall not obtain Ration
Card, Passport, Pan Card or any other proof of their own to establish their
Occupancy in the Said Ofce.
31)It is expressly understood by and between the parties that the Licensee can give
the address only for communication purposes to legal authorities before Income
Tax, Sales Tax and registrar of companies, however without to any claim on the
Licensors and/ or the premises. This address is only for the limited purpose of
communication by and between said department and the Licensee, and shall not
in case be linked with dues and / or levies and / or changes and / or
attachment of the said department or any other government authorities. The
licensee further agree and confrm that upon earlier determination and / or
termination of this Leave and License Agreement the Licensee shall remove this
address within 30 days from all places where this address given as company
address and no future communication shall be delivered to the said Premises
and provide with the copy of change of said address to the Licensor.
32)It is further understood and agreed by and between the parties hereto that the
Licensee will be represented by ----------- who is its authorized signatory and
that every act or thing done by the authorized signatory within the scope of the
authority conferred on him and all deeds or documents executed by him on
behalf of the Licensee shall be binding on the Licensee as if the same were
executed by the Licensee.
33)The Licensee shall at his own cost insure the furniture, fxtures and fttings
lying in the said ofce against the loss thereof by fre, accident and theft etc. for
the entire agreement period i.e. 5 years. The copy of the said insurance policy to
be given to the Licensor .
IN WITNESS WHEREOF the parties hereto have set and subscribed their respective
hands, the day, months and year frst hereinabove written.

Received from the Within-named LICENSEE Mr. Vijay Singh Ahluwalia a sum of
Rs. 2,00,000.00 (Rupees: Two Lakh Only), as Security Deposit, being interest free
deposit as per the terms and conditions mentioned in the Leave and Licence
Agreement entered between us in the following manner:
