ZPC Holdings / Zenith Products Companies Summary 1980 - 2014
My progressively successful financial career has primarily served one company (ZPC-Zenith), but under very
diverse corporate equity structures. Ownership history and my ascending roles within each include:
Privately Owned, Family Business Corporation Controller (1977-1986)
Management Team LBO VP Finance, Secretary & Treasurer (1986-1994)
NYSE, Fortune 500 Subsidiary - VP Finance, CFO (1994-2005)
Private Equity CFO & Board of Directors Member (2005-2014)

ZPC-Zenith is an international consumer goods manufacturer and distributor, with multi-plant operations and
over 500 employees globally. Major customers include multinational big-box retailers and an intensifying e-
commerce trade.

My ZPC-Zenith career began with corporate annual Net Sales at $11.0 million, and EBITDA levels at
$1.0 million, or 9.0%. Under my financial leadership, annual Net Sales grew to $197.3 million, while
EBITDA exploded to $45.3 million, or 23.0%.

My primary roles and responsibilities have been to:
Provide financial guidance as a key member of the executive management & strategic planning teams,
Drive change and operational performance excellence,
Develop & maintain strong internal controls and ensure compliance,
Oversee the propriety and priority of IT programing resources & of Capital Expenditures,
Provide financial leadership in advancing product development through formal stage-gate processes,
Interact with lenders, equity and auditors as appropriate,


Mentor, manage & direct all Financial, Accounting and IT functions, providing executive oversight on:

Public Accounting Experience 1977 1980
Big-4 auditing experience with a diverse client base, including multiple publicly traded manufacturing clients,
health-care clients, and a major State University. My public accounting & audit experiences provided my
strong background in GAAP reporting, and a solid foundation for my managerial and executive career.
MAJOR ACCOMPLISHMENTS

ZPC Holdings Corporation - New Castle, DE. A Charlesbank (Private Equity) Portfolio Company
CFO & Member Board of Directors 2005 2014
Successfully refinanced and recapitalized ZPC Holdings Corp only 10 months after new corporate
formation, with equity investors receiving a return in excess of 118% of original cash investments, while
retaining 100% equity positions. Coordinated effort with key Charlesbank directors.
Spearheaded management team efforts in successful acquisition, due diligence, financing and integration
of strategic target, India Ink. (Nov. 2007)
Secured financing for the two transactions noted above, adding over $83 million of senior debt to ZPCs
balance sheet, raising senior debt levels to a total of $148 million.
Expanded customer profitability metrics to include full sales loads and to measure each customers
margins by product categories and in SKU detail. Developed customer/category profit metrics to include
Contribution Margin, in addition to traditional Gross Margin.
Designed win/win bonus programs for sales/marketing/cross-functional team members based on
improvements to revised Net Sales/Contribution Profit metrics above.
Developed Weekly Cash Flow Forecast Models on rolling 13 and 26 week basis.
Directed profitable growth by streamlining operations and continuous improvement initiatives.
o Net revenue rose to $197.3 million, with EBITDA at $45.3 million (23.0%).
o Corporate EBITDA actually exceeded 23.0% over a continuous 24 month period.
Worked diligently with PE directors, investment bankers and other financial advisory services in past year
to refinance remaining senior debt (now at $63 million).

Zenith Products Corp. - Aston PA. & New Castle DE. A Masco Company (NYSE/ Fortune 500)
Vice President, Finance / CFO 1994 2005
Directed immediate implementation and compliance with all Masco Corporation reporting requirements,
including: Accounting Policies, Chart of Accounts, Budgets & Forecasting, Treasury, Tax & Risk
Management Policies & Procedures, and Monthly Business Review Letters (MD&As).
Recognized with Best Subsidiary Budget Award for 1997, granted for accuracy, planning & presentation at
the 1998 annual Masco Presidents Conference, and again at Mascos Financial Executive Conference.
Led Zeniths compliance in all Sarbanes Oxley (SOX) reviews and requirements (20022005).
Requested responsibility for companys Information Services, with IT Director becoming a direct report.
Previously, IT reported directly to the President. Promoted to CFO. (2003).
Directed ongoing corporate growth & profitability initiatives while improving working capital metrics and
KPIs. During Masco 12 year ownership period, annual net revenues rose from $61 million to $161 million,
and EBITDA expanded from $13 million to $32 million (both CAGRs prox. 8%).
In 2004-05, Masco made strategic decision to divest subsidiaries which did not fit neatly into Mascos
business platforms. This divestiture effort included Zenith. Orchestrated all CIM preparation, meetings,
and due diligence efforts, with Mascos Investment Bankers (Harris Williams & Co) and suitors.
Successfully closed $131 million sale transaction to private equity, Charlesbank Capital LLC. (Nov. 2005)


Zenith Products Inc. - Aston PA. Management Team LBO
VP Finance, Secretary-Treasurer 1986 1994
Promoted to VP Finance, and served LBO as Secretary-Treasurer.
Refinanced companys senior debt facility with PNC shortly after another commercial bank acquired
LBOs senior debt from PSFS- Meritor. (1990)
Managed continuous growth, expansion, and profitability, including:
o Identifying and overseeing the acquisition & integrations of 2 strategic bolt-on companies,
o Ensuring & directing the acquisition of existing neighboring property.
o During 7 year LBO era, net sales more than doubled, with EBITDA steadily improving from 13% to
21% levels. In final LBO year, 1993 net revenues reached $61.3 million, with EBITDA of $13.0 million.
Spearheaded corporate sales offering, serving as key contact between ownership team, investment banker
(Financo), and multiple suitors over the entire sale process from initial planning, to CIM preparation, to
meetings with potential buyers, to Due Diligence and Closing (mid 1993-early 1994)
Successfully closed company sale to Masco Corporation, a Fortune 500 / NYSE public company, in a
pooling transaction valued at over $75 million. (Feb. 1994)

Zenith Metal Products Inc. - Primos PA. & Aston PA. Private Family Ownership
Controller 1980 1986
Hired as Controller of growing consumer home goods manufacturer with annual Net Sales of $11 million,
generating $1.0 million EBITDA. Reported directly to President / Majority Owner. Responsible for all
accounting and financial reporting functions.
During first 9 months, oversaw IT systems conversions for entire Accounting area, including: Revenue
(Sales | A/R), Purchasing (A/P | Cash Disbursements), as well as Product Costing & Inventory Systems.
Restructured equity from two individual entrepreneurs into two multiple-family-member ownership
structure. Accomplished objectives of minimizing both current gift tax and long term estate taxes.
Thirteen months into Zenith tenure, devastating fire destroyed 90% of all manufacturing operations.
o Hired public adjusters, directed, submitted and settled all insurance claims with multiple insurance
carriers, to ensure companys continuing solvency & eventual recovery.
o Key member of post-fire management team that maintained sales and customer relationships through a
variety of creative, innovative production and sourcing alternatives.
Further ensured companys complete recovery by arranging construction loan for new manufacturing
plant & administrative offices, and negotiating long term debt and revolver facilities.
Supported corporate growth & profit improvement initiatives. In 1986, Net Sales topped $28.0 million,
with EBITDA reaching $3.6 million.
Joined with other management team members in successful LBO. (Dec. 30, 1986)
Cultivated relationship and arranged original LBO financing with new bank/lender (PSFSMeritor).

Promoted and advanced each year from Audit Staff level, up to Senior Auditor with daily on-site, in-
charge audit management responsibilities.
Passed Pennsylvania CPA exam & met minimum two year experience requirement to achieve active CPA
status. Inactive status since mid 80s.
