Sub.: Reply to Show Cause Notice Dated July 19, 2013for Non Compliance with Clauses
of Listing Agreement.

Dear Madam,

This is with reference to the above cited subject; we are in receipt of the same. In this regards,
we would like to state that we, as a listed company on BSE, are required to comply with the
various clauses of Listing Agreement. Ever since the company has been revoked from
Suspension, we are complying with the all the clauses of the listing agreement. Though, In
the past, we had received letters from the exchange for Non filling of the Share
Reconciliation Audit Report & Corporate governance Report, for the quarter ended March,
2013, which subsequently have been replied, thereby filed with the exchange. We have not
received any other letter(s) prior to the said letters dated May,28,2013, from the exchange.

In Further reply to the Show cause notice for not complying with the listing agreement, we
state here as under:

1. Compliances,as stated below, under Listing Agreement for the period ended quarter
March, 2013 quarter, has been already been done till receiving of the aforesaid
Notice.

a) Clause 35- Share Holding Pattern
b) Clause 41- Unaudited Quarterly Results
c) Clause 49- Corporate Governance Report
d) Regulation 55A of SEBI- Reconciliation of share Capital Audit Report
e) Half yearly certificate from PCS in compliance of clause 47(C)

The copies of each have been enclosed for your ready reference & records.

2. Due Compliances for the quarter ending June, 2013, i.e. Clause 35, Clause 49 of
Listing Agreement , Regulation 55A of SEBI(Depositories) Act- Reconciliation of
Share Capital Audit Report, quarter have also been complied.

3. Apart from above, the Company is making an effort to have non-imperfection and we
affirm that there shall be no delay in any fillings with the exchange, in the coming
future.We Shall be prompt in replying to all the correspondence received from your
good office. The BSE itself can be satisfied in terms of Compliances about the
Company.
