DEED OF ASSIGNMENT OF SHARES

AND TRANSFER OF RIGHTS AND INTERESTS

KNOWN ALL MEN BY THESE PRESENTS:
That I, Danilo T. Mercado III, Filipino, of legal age, married and with
address at 222 F. Blumentrit St., San Juan City, am the true, actual, legal and
registered owner of NINE HUNDRED (900) shares of stock of Masters in Defense
and Knives (MDK) Corporation, a corporation existing under the laws of the
Philippines.
That for a VALUABLE CONSIDERATION in the amount of One Hundred
Twenty Thousand Pesos (P120,000.00) which I have duly received to my full
and complete satisfaction, I hereby SELL, TRANSFER, ASSIGN and CONVEY as
I have hereunto SOLD, TRANSFERRED, ASSIGNED, and CONVEYED in a
manner absolute and irrevocable, my 900 shares and all my rights, title, and
interest as a subscriber to, and as incorporator of the above named
corporation, unto Edmundo T. Ongsiako, Jr, a Filipino, of legal age, with postal
address at 11B Amorsolo East Tower, Rockwell Condominium, Makati.
That by virtue of this ABSOLUTE SALE, TRANSFER, ASSIGNMENT and
CONVEYANCE, I hereby indorse the certifcates of the above shareholdings and
thereby authorize Edmundo T. Ongsiako, Jr. to record, register and efect the
necessary changes or statement with Masters in Defense and Knives (MDK)
Corporation in its Stock and Transfer Book and such other entries as its By-
Laws may prescribe and for the issuance of new stock certifcates and the
cancellation of the former certifcates.
That virtue of this ABSOLUTE SALE, TRANSFER, ASSIGNMENT and
CONVEYANCE I do hereby irrevocably constitute, name, and appoint Edmundo
T. Ongsiako, Jr or any of his duly authorized representatives to cause the
transfer of these stocks on the books of Masters in Defense and Knives (MDK)
Corporation
