Dear Rahul,

Confirming our discussions, I am pleased to offer you this letter to


provide contract service to our company IMSI India Pvt. Ltd., as
follows:

Title: Junior Engineer


Retainer Fee: 22,500/- pm
Out Station Allowance: 27000/-pm (Applicable only
when
Start Date: 10 Feb., 2008 approved in your
timesheet by your
Supervisor)
Location: Delhi (you may be relocated
anywhere
As per your work
requirement)

Conditions of providing professional services:

1. Independent contractor status: In the performance of


professional services, you will be acting in the capacity of an
independent contractor; the relationship of employer and
employee shall not exist between
IMSI and yourself. During this assignment you shall receive on the
job assignment through our client.
2. Medical Allowance: The Company will provide you with
Personal Accident Insurance of Rs 4.00 lacs. This cover is for you
only. The Company will provide you with Medical Insurance of Rs
3.00 lacs.
3. Working Hours: You will adapt to the working hours of our
clients. Overtime is not paid unless preapproved in advance and
in writing. All efforts will be made to conform to client
requirements for hours /day and days/week.
4. Client and IMSI Confidential Information: You shall not
divulge to any third party any information regarding the affairs or
business matters of our client or IMSI without prior written
approval. All information that comes to your knowledge by
reasons of your assignment with the company is deemed to be
confidential.
5. Resignation/ Termination: This contract will be subject to
termination at any time without any given notice by the company.
You will be required to give one month notice to company in
writing in case you resign from assignment. If any declaration or
information furnished by you to the company proves to false, you
will be liable to be removed from assignment without any notice
or compensation whatsoever.
6. Return of Company/Client Equipments: On termination of
employment and / or your resignation you will immediately give
up to the company/client all tools, accessories, formulae,
documents, specification,
books etc. of whatsoever nature in your custody, care or charge
and obtain clearance from the relevant person (S) office(s).on
production of which alone your dues, if any, will be settled by the
company. In the case of loss or damage to any of company/client
asset/equipment issued to you, the company has the right to
deduct the amount from your dues and also may initiate
necessary recovery action to settle the deficiency/damage.
7. Other Terms and condition: Your work in the company will
be subject to the rules and regulations of the company, as
promulgated and modified from time to time in relation to your
conduct, discipline and other
matters. All work will be performed transparently by you acting as
an IMSI professional. Only IMSI business card and identification
may be used with IMSI’s clients. The courts in New Delhi alone
shall have jurisdiction over any or all matters arising out of and/or
connected or related to this contract.
8. Payment: You shall submit an IMSI timesheet, on a monthly
basis, for the cycle from 16th to 15th for hours worked during the
previous month. Payment will be made to you monthly by
electronic payment to
Account setup by you at a Bank. Any payment questions should
be resolved by contacting payroll.ericsson@imsiglobal.com.

Your HR Formalities will be processed only on receipt of
