TheGovernmentofHaiti(GoH)andtheUSGovernmentthroughtheUnitedStatesAgencyforInternationalDevelopment(USAID)areinterestedinthedevelopmentofnorthernHaitiand
havealreadyinvestedincommoninfrastructurefortheCaracolIndustrialPark(CIP).Partofthedevelopmentplanhadpreviouslyincludedagreenfieldport(inFortLibert)forwhich
USAIDhascommissionedfeasibilitystudies(theFeasibilityStudy),includingsiteselection.Initialenvironmentalstudiesfoundthepresenceofcoralandotherpotentiallysensitivespecies
insomesiteswhichledtopublicreactionsagainstthegreenfieldportproject.
Intheendof2013/beginningof2014,USAIDconcludedthatagreenfieldoptioninFortLibertisnotreadyforaPPPandthatfurtherinvestigationwasrequiredregardingtheimprovement
ofoperationsintheexistingCapHaitienPort(CHP).Thisinvestigationwouldentailrehabilitationoftheportinfrastructure,improvedportservices,moreefficientcustomsservicesand
betterroadaccess,asashorttomediumtermalternative,whiledemandintheportshinterlandgrowstojustifyaninvestmentinanalternativefacility.BasedonUSAIDsandGoHs
decisiontofocusontheCapHaitienPortalternative,USAIDrequestedIFCtopartnerwiththemtosupportandadviseontheimplementationofaPPPprojecttoimproveoperationsand
infrastructureattheCapHaitienPort(theProject).Apreliminarysmallsizemarketfeedbackshowsthattheprojectcouldbeattractivetoprivateoperatorsundercertainconditions,in
particulargiventhefactthatUSAIDiswillingtofinancemostofthecapitalinvestmentrequiredfortherehabilitation.
AccordingtoconsultationswiththeGoH,portsareoneofthegovernmentsprioritysectors.TheGoHsgoalistoimprovethelegalandregulatoryframeworkofthissectorandinparallel
developatransactionfortherehabilitationoftheCapHaitienPortinfrastructure.TheportsectorreformisdirectlyhandledbytheDirectorGeneralofAutoritPortuaireNationale(APN),
thePortsNationalAuthority,andisbeingsupportedbytheInterAmericanDevelopmentBank(IDB).
AssignmentDescription
TheIFCsAdvisoryMandateisdividedintotwophases:
1.Phase1:(a)DueDiligence,whichwillconsistofmarketdemandassessment,technical,legal,environmentalandsocial,andfinancialanalysis,and(b)designandrecommendationof
potentiallegalstructuresforprivatesectorparticipation,aswellasatransactionstructuringproposaltotheGoHfortheProject.
2.Phase2:TransactionExecutionPhase,whichwillconsistofimplementationofaninternationalcompetitivebidprocesstoengageaprivateportoperator,includingapromotion
component.
AtthelaunchofPhase1,IFCintendstohirespecializedconsultantstocomplementitsinhouseskills,amongthematechnicalconsultantspecializedintheportsectorandwithknowledge
ofenvironmental&socialandclimatechangeissuesrelatedtoports.
TheIFCisnowseekingexpressionsofinterestfromtechnicalfirms.Keytasksofthetechnicalfirmtobeperformedareoutlinedbelow:
Phase1:
1.ReviewoftheexistingstudiesrelatedtotheportsectorinthenorthofHaitiandparticularlyinCapHaitien,includingseparatestudiesrelatedtothePortSectorReformbeingimplemented
byAPN.Thiswillincludereviewingexistingstrategic,commercialandeconomicanalyses,technicalandoperationalanalysesandalsoenvironmentalandsocialstudies.
2.Makerecommendationsonthetechnicalaspects,basedonthedocumentsreview,onallthedimensionstobeanalyzed:trafficandmarketcommercialitems,engineering,maritime,
environmentalandsocialandclimatechangerelatedissues.
3.DeveloptechnicaldesignspecificationsfortheProjecttobeusedduringconsultationswithallstakeholders,includingprospectiveprivatesectorbidders.Thosetechnicaldesign
specificationswillneedtotakeintoaccountthetransactionframeworkandwillhavetomakesensefromabusinessplanpointofviewforthefutureprivatepartnerunderthePPPcontract.
TheywillalsointegratethetechnicalworksthatAPNandUSAIDwillbeimplementinginparalleltothepreparationofthePPPtransaction.
4.CarryoutanEnvironmentalandSocialscopingstudyinlinewithGoodInternationalIndustryPracticeandIFCPerformanceStandardsonEnvironmentalandSocialSustainability.
5.CarryoutaClimateChangeassessment.
6.AssistIFCindraftingtheTransactionStructuringReport(TSR)tobepresentedtoGoHandUSAIDattheendoftheDueDiligencePhaseandattendthepresentationofittoGoH,
USAIDandotherkeystakeholders(e.g.,acommitteecalledPortsTaskForce).
7.Subjecttotheinformationandfeedbackfromtheconsultationperiod,underthecoordinationofIFC,developthedraftandfinaltechnicalandenvironmentalandsocialspecifications
and/ortheoperatingstandardsassistinadoptingthemintothedraftbiddingdocumentsandintotheoverallprocessfortherehabilitationoftheport.
Phase2:
8.ProvidetechnicalinputfortheInformationMemorandumandsupportIFC,USAIDandGoHwithtechnicalaspectsthatariseinmarketingtheprojecttopotentialoperatorsandinvestors.
9.Assistintheprequalificationofpotentialbidders,developmentofprequalificationcriteria,preparationoftechnicalcontentoftheRequestforQualifications(RFQ),andselectionofpre
qualifiedbidders.
10.AssistinthepreparationoftheRequestforProposals(RFP),designofthebidevaluationcriteria,theprocessofbidevaluation,andreviewofthefinalRFPforcompletenesson
technicalissues.
11.Assistinthetechnicalaspectsoftheinvestorsduediligenceprocess,includingcollectionandpreparationoftechnicaldocumentsforthedataroom,attendbiddersmeetingsif
necessary,andprepareresponsestoinvestorsquestionswithregardtotechnicalissues.
12.Assistintheevaluationofbidsfromatechnicalperspective,includingreviewofproposalsforcompliancewithRFPterms,andpreparationoftechnicalsectionoftheevaluationreport.
13.CoordinatewithIFC,USAID,GoHandtheotherconsultantsthroughoutthetransactionthroughfinancialclosure.
Firmrequirements
IFCnowinviteseligibleconsultantstoindicatetheirinterestinprovidingtheirservicesbysubmittingaresponsetothisRequestforExpressionofInterest(REOI).Pleasenotethat
consultingfirmsmayassociatewithotherinterestedfirmsorindividualstoenhancetheirqualifications.Firmsorconsortiaoffirmsthathavebeendeterminedtobequalifiedthroughthe
evaluatedresultsofthisfirststagemaybeinvitedtosubmitproposalsfortheRequestforProposals(RFP)thatwillbeissuedatalaterdate.
TheresponsespresentedbythefirmswillbereviewedandthoseconsultantsdeemedbestqualifiedinIFCsjudgmentwillbeshortlistedaccordingtothefollowingcriteria:
QualificationCriteriafortheFirm:Atleast3PPPprojectsontheportsector(portconcessions),ofwhichatleastoneprojectwithapublicentityasclientandatleastoneprojectwitha
Selectionandcontractingwillnormallybemadefromresponsestothisrequestforexpressionofinterest.Theconsultantwillbeselectedfromashortlist,subjecttoavailabilityoffunding.

QualificationCriteriaformembersoftheTechnicalConsultantteam:
ExperienceinworkingwithgovernmentclientsandtheiradvisorsinconjunctionwiththedesignofPPPtransactionsintheportsector
Experienceinpreparingregulatoryanalysisandmarketstudiestosupportportprojectsonbehalfofgovernmentdirectlyorthroughtheiradvisors
Experiencepreparingtechnical/engineeringstudiesonportprojects
ExperienceinenvironmentalandsocialimpactassessmentforportsandlargeinfrastructureprojectswithtrackrecordofprojectsdevelopedinaccordancewithIFCPerformance
StandardsandWBGEHSguidelines.Accesstopoolofexpertsforrelevantkeyareas(e.g.biodiversity).ExperienceinevaluationofClimateChangemitigationandadaptationforports
ExperienceworkingintheportsectorinLatinAmerica/theCaribbean/fragilecountries,andfluencyinEnglishandFrenchbykeystaff(atleasttheteamleader).
Responsesshallnotexceed25pages.Ifthesubmittedresponseexceeds25pages,IFCreservestherighttoreadonlythefirst25.
TheConsultantshalldemonstrateacapabilitytomeettheWorldBankGroupsVendorEligibilityCriteriaasfoundonwww.worldbank.org/corporateprocurement.
