scrow A$ent shall be entitled to continue so to refrain fro( actin$ until %i' the ri$hts of all interested parties shall

A$ree(ent, or should the scrow A$ent resi$n and the parties fail to select another scrow A$ent to act in its stead,
the scrow A$ent shall have the ri$ht to institute a bill of interpleader in an) court of co(petent 4urisdiction to
deter(ine the ri$hts of the parties*
#.% Com2ensation. scrow A$ent shall be entitled to reasonable co(pensation as well as rei(burse(ent for
its reasonable costs %e.ual to ,17*88 per chec# issued after the first 18 chec#s are issued' and e-penses incurred in
connection with the perfor(ance b) it of service under this scrow A$ree(ent %includin$ reasonable fees and
e-penses of scrow A$ent5s counsel' and the undersi$ned %other than scrow A$ent' a$ree to so pa) scrow A$ent
reasonable co(pensation and rei(burse scrow A$ent for reasonable costs and e-penses* The parties hereto a$ree

A. scrow A$ent shall (a#e no disburse(ent, invest(ent or other use of funds until and unless it has
collected funds* scrow A$ent shall not be liable for collection ite(s until the proceeds of the sa(e in actual cash
have been received or the Federal ;eserve has $iven scrow A$ent credit for the funds*
