Office, IBP Ro ad Batasan Pambansa Complex, Constitution Hills, Quezon City CONSTITUTION AND BY-LAWS OF PAG-ASA YOUTH ASSOCIATION OF THE PHILIPPINES, INC. PREAMBLE We, the officers and members of the Pag-asa Youth Association of the Ph ilippines, Inc. (PYAP, Inc.) imploring the aid of almighty God in order to build a just and humane society that promotes the total development of the out-of-sch ool youth and other disadvantaged youth to become self-reliant, economically pro ductive and socially responsible citizens, endowed with values and behavior to a ssist the government in promoting justice, freedom, love, equality and peace do ordain and promulgate this Constitution and By-laws. ARTICLE I Meetings SECTION 1. National Federation The National Federation meeting shall be held at the principal office at 4th Floor Program Management Bureau, DSWD Central Office , IBP Road, Batasan Pambansa Complex, Constitution Hills, Quezon City 1126 to be called by the National President every 1st week of June and 2nd week of Decembe r of each year. SECTION 2. Regional Federation the Regional Federation meeting s hall be called by the Regional President every 2nd week of the 2nd month of the quarter of each year. SECTION 3. Provincial/City Federation the Provincial Feder ation meeting shall be called by the Provincial President every 1st week of the 1st month of every quarter of each year. SECTION 4. Municipal/Barangay Federatio n the City/Municipal/Barangay President shall be called every last week of the m onth. During such meetings, the President shall render his monthly report to the members regarding the activities of the association. SECTION 5. Special meeting s may be called as the need thereof arises, by the Board of Trustees or the Pres ident or upon petition of 1/3 of the general membership; within jurisdiction. SE CTION 6. Notices Notices of the date, time and place of annual, semestral, quart erly, monthly and special meetings of the members shall be given either personal ly or by special delivery mail, at least two weeks before the date set for such meeting. In urgent cases, the notice may be communicated at least two days befor e the meeting personally or by telephone, or by fax, or by email, or any other f orm of communication if contact is not possible to be given by the authorized pe rson only or by the Focal Person. The notice of every special meeting shall stat e briefly the purpose of the meeting. No other business shall be considered at s uch meeting, except those that are stated in the notice. SECTION 7. Waiver of No tice Notice of meeting may be waived verbally and written by any members attendi ng it. Page 1 of 6 SECTION 8. Quorum A quorum for any meeting of the members shall be 50/100 plus 1 and a majority of such quorum may decide any question at the meeting, except th ose matters where the Corporation Code or other laws that requires the affirmati ve vote of a greater proportion. SECTION 9. Order of Business The order of busin ess of the National Federation Officers meeting shall be as follows: a. Proof of service of the required notice of the meeting, except when such notice is waive d by the members constituting a quorum. b. Proof of the presence of a quorum. c. Reading and approval of the minutes of the previous meeting, except when such r eading is dispensed with a majority vote of those present. d. Business Arising f rom the previous minutes of meeting e. Business of the Day f. Other Matters g. A djournment The Order of business at any meeting may be changed by a vote of a ma jority of the members present thereat. ARTICLE II Trustees SECTION 1. Board of Trustees The corporate powers of the association shall be ex ercised, its business conducted and its property controlled by the Board of Trus tees and the projects/activities will not be implemented without the majority si gnature of the Board of Trustees. SECTION 2. Qualification No members shall be e ligible for election to the Board of Trustees unless he/she has the following qu alifications: 1. Must be a Regional/Provincial/City/Municipal President of the P ag-asa Youth Association. SECTION 3. Disqualification of Trustees or Officers an d Members No member convicted by final judgment of an offense punishable by impr isonment for a period exceeding six (6) years shall qualify as a trustee or offi cer. ARTICLE III Officers SECTION 1. Officers The officers of the association shall be composed of the Pre sident, Vice President, Secretary, Treasurer, Auditor, Public Relations Officers (3 for the National Federation), and Business Manager. They shall be elected by the Board of Trustees from among themselves. SECTION 2. Qualification No member s shall be eligible for election to the Board of Trustees unless he has the foll owing qualifications: 1. An out-of-school youth not enrolled/not graduated in a four year degree course and vocational/technical course 2. Must be 15 to 24 year s old, single 3. Not employed (Open Employed/Self Employed) 4. If elected out-of -school youth but had the opportunity to go back to school or/and had been emplo yed after the election, he/she has to continue the term of office base on term l imit or until the end of his recent term. SECTION 3. Term of Office of Officers All officers of the association shall hold office for a term of three (3) years and/or until their successors were duly elected and qualified. If the President is Page 2 of 6 incapable of serving the organization, he should prepare and submit a resignatio n letter addressed to the body stating the reason of his resignation. The Vice P resident will automatically assume the office and the remaining term. If the Vic e president is also incapable, there should be a special election to fill up the vacant. If both positions (President and Vice President) are vacant, a recall e lection should be held. The incumbent officer can be re-elected for three (3) te rms as long as he/she qualified but not in President Position. However, the Nati onal President shall not be elected for the same position. SECTION 4. Manner of Election Election of officers shall be made through nomination by attending ther eat and shall be done through secret balloting. In case of municipal, provincial /city, regional and national federation, election of officers shall be among the president of each federation, to wit: Municipal Federation shall be among the p resident of Barangay PYA; & election of officers shall be conducted on the month of August. Provincial or City Federation shall be among the president of Munici pal Federation; & election of officers shall be conducted on the month of Septem ber. Regional Federation shall be among the president of Provincial or City Fede ration; & election of officers shall be conducted on the month of October. Natio nal Federation shall be among the president of Regional Federation; & election o f officers shall be conducted on the month of November. In case of a tie, there will be a recasting of vote. ARTICLE IV Function & Powers of Officers SECTION 1. President The President shall be the Chief Executive Officers of the association. In addition to duties as such, he shall preside in all meetings of the Board of Trustees and those of the members of the association. He/She shall execute all resolutions and/or decisions of the Board of Trustees. He/She shall be charged with directing and overseeing the activities of the association. He/S he shall have control over all members of the association, review and approve ex pense vouchers. Together with the Secretary and the Treasurer of the association , he/she shall present to the Board of Trustees and to the members the annual bu dgets. He/She shall submit to the Board as soon as possible after the close of e ach fiscal year, and to the members of each annual meeting a complete report of the activities and operations of the association for the fiscal year under his t erm. SECTION 2. Vice President The Vice President shall exercise all powers and perform all duties of the President during the absence or incapacity of the latt er. SECTION 3. Secretary The Secretary shall give all the notices required by th ese by-laws and keep the minutes of all meetings of all committees, in a book ke pt for the purpose. He/She shall keep the seal of the association and affix such seal to any paper or instrument requiring the same. He/She shall have custody o f the correspondence files and all other papers that are to be kept by the Treas urer. He/She shall maintain the member's register, have charge of the bulletin boa rd at the principal's office of the association. He/She shall also perform all suc h other duties and work as the Board of Trustees may from time to time assign to him/her. He/She is responsible making any communication/document intended for i nfo-dissemination and pass to Public Relation Officer. SECTION 4. Treasurer The Treasurer shall have charge of the funds, receipts and disbursements of the asso ciation. He/She shall keep all moneys and other valuables of the association in such bank or banks as the Board of Trustees may designate. He/She shall keep and have charge of the books of accounts which shall be opened to inspection by any member of the Board of Trustees, whenever required, an account of financial con dition of the association and of all transactions made by him/her as Treasurer. He/She shall also perform such other duties and functions as may be assigned to him/her from time to time by the Board of Trustees. He/She shall post a bond in such amount as may be fixed by the Board of Trustees. SECTION 5. Auditor He/She shall examine financial records, properties and audit money. He/She shall also p erform other functions as may be provided for by the Board of Trustees. Page 3 of 6 SECTION 6. P.R.O. (Public Relation Officer) He/She shall serve as information of ficer responsible for any activity with regards to dissemination of communicatio n letters and other necessary functions as may be provided for by the trustees. SECTION 7. Business Manager He/She shall be responsible for the planning of proj ects. Responsible for looking for venues, foods and etc. of the project to be un dertaken. He/She shall perform such other duties and functions as may be assigne d to him/her from time to time by the Board of Trustees. ARTICLE V Members SECTION 1. Qualification for Membership The qualifications are as follows: 1. Ou t-of-school youth (OSY) 1.1. Must be an out-of-school youth. 1.2. Must be 15 to 30 years old, single. 1.3. Even if the OSY has reached the age of 24, he/she can still be elected and continue to hold his/her office unless he/she got married. 2. In-school youth (ISY) 2.1 The ISY can enjoy the same privilege except being appointed nor elected as an officer. SECTION 2. Out-of-school youth 1. Not enrol led/graduate in four year degree course, Vocational /technical course SECTION 3. Rights of Members A member shall have the following rights: a. b. c. d. e. To e xercise the right to vote on all matter relating to the affairs of the associati on; To be eligible to any elective or appointive office of the association; To p articipate in all deliberations/meetings of the association; To avail of all fac ilities of the association; To examine all the records or books of the associati on during business hours. SECTION 4. Duties and Responsibilities of the Members A member shall have duties and responsibilities: the following a. To obey and comply with the by-laws, rules and regulations that may be promul gated by the association; b. To attend all meetings that may be called by the Pr esident; c. To pay membership dues and other assessments that may be imposed by the association. ARTICLE VI Suspension, Expulsion and Termination of Membership Suspension, expulsion and termination of membership/officership, shall be in acc ordance with the rules and regulations of the association such as follows: a. Co nviction of any offense Page 4 of 6 b. c. d. e. Three (3) consecutive absences in meetings with no valid reason When he/she got married Gross disrespect to the subordinate/superiors Violation of any provision s of this constitution and by-laws Any member of the association may file charges against a member by filing a writ ten complaint with the Secretary of the association. The Board of Trustees shall call a special meeting of the members to consider the charges. The affirmative vote of 1/3 of all the members of the association shall be necessary to suspend a member; Provided that where the penalty is expulsion, the affirmative vote of 2/3 of all the members shall be necessary to expel a member. Any member of the a ssociation who got married shall be automatically terminated. ARTICLE VII Funds SECTION 1. Funds The funds of the association shall be derived from dues and spe cial assessments of members, gifts, donations or benefits. SECTION 2. Fees and D ues Every member of the association shall, in addition to the membership fees, d ues and/or assessments that may be imposed by the association. SECTION 3. Disbur sements Withdrawal from the funds of the association, whether by check or any ot her instrument shall be signed by the Treasurer, Auditor and countersigned by th e President. SECTION 4. The fiscal year of the association shall be from January 1st to December 31st of each year ARTICLE VIII Corporate Seal SECTION 1. Form The corporate seal of the association shall be in such form as m ay be determined by the Board. ARTICLE IX Reports and Documentation SECTION 1. Reports and Documentation All PYAP at all levels shall submit semestr al accomplishment report (SAR) for the national officer and quarterly accomplish ment report (QAR) for the lower level of organization and other related reports to the respective federation offices at the city/municipality/provincial and Reg ional Offices where they belong. Likewise, the Regional federation shall furnish ed copy to the national office. There shall be a uniform or prescribed format of the accomplishment report from the Barangay to national level and such form sha ll be distributed by the Central Office. Page 5 of 6 ARTICLE X Alumni SECTION 1. Composition- All outgoing officers and members shall be automatically qualified as PYAP alumni. ARTICLE XI Amendments to the By-Laws SECTION 1. Amendments These by-laws, or any provision thereof, may be amended or repealed by a 2/3 vote National Board of Trustees and National Federation Offic ers in a National convention duly held for a purpose. SECTION 2. There shall be no amendments which shall be held within five (5) years immediately after the ra tification and adoption of this constitution and by-laws. Amended and ratified t his 6th day of July, 2011 in Social Welfare and Development Center for Asia and the Pacific (SWADCAP) Pasong Tamo Ext, Gate 3, Taguig City, Metro Manila, Philip pines by the affirmative vote of the undersigned officers representing a majorit y of the members of the association in a National meeting duly held for the purp ose and duly approved by the affirmative vote of the undersigned officers repres enting a majority of the members of the association in a National meeting duly h eld for the purpose on the said date. The adoption of this CBL shall take effect this 6th day of July, 2011.
