Applicant must ha1e Office /remises in prime location %ith all communication facilities
a1ailable 4i.e &elephone Computer 7 Internet facility.
An interest free and refundable security deposit to be paid as the company norms :for any
)tate Bs. !5"""."" and any location Bs.1""""."" as refundable; through DD < Che@ue in
fa1or of NDS EXPRESS payable at $u%ahati .
One time administration cum processing charge of Bs. !"""."" only :non5fundable; to be
paid in cash or through DD < Che@ue in fa1or of NDS EXPRESS payable at $u%ahati.
It is mandatory for the franchisee to register himself %ith )er1ice &ax authorities. It is
clearly understood that the franchisee himself %ill clear his income tax dues periodically
and as per time schedule. &he Company %ill in no %ay be responsible for any default on
the part of the franchisee %ho shall be directly ans%erable to the concerned $o1t.
Authorities.
&he franchisee has to operate from the allocated specified location by the company. Any
change in location or office has to be %ith prior appro1al of the company. Also franchisee
should intimate the company %ithin !C hrs in case of any changes in phone 0os < Email ID.
&he franchisee has to operate under specific presentation of brand image as described by
the company time to time. &he -ranchisee has to ensure compliance of all companys
policies related to brand image 7 publicity.
&he franchisee shall ha1e the right to use the name < 4ogo of the company only for
promoting the companys 'usiness during the period of agreement. It is clarified for
remo1al of the doubts that all the rights in such ad1ertising materials name board design
logo and trade mar. shall al%ays remain 1ested %ith the company and the franchisee shall
ha1e absolutely no right title or interest in the same.
&he company shall pro1ide to the franchisee the printed stationery items such as
consignments 0ote 'oo.s (anifests Deli1ery Bun )heet 4etter #eads 9isiting Cards
and 4abels 7 )tic.ers on actual cost basis.
&he -ranchisee %ould be responsible for safe 7 prompt deli1eries of all consignments
handed o1er by company to run him for deli1ery in their allocated areas and should submit
proof of deli1eries and undeli1ered consignments details %ith proper reasons to the
company before end of same day. Also the franchisee %ill ensure safe hando1er of
%hate1er Consignments boo.ed by them to the companys nearest #ub Office as explained
to them through Operation /olicy. In case of the loss by them at their or during transit the
franchisee alone %ill be liable to ma.e good the loss if any sustained by the customers If
for any reason %hatsoe1er the franchisee fails to deli1er the consignments in time they
alone %ill be responsible and liable for any loss or damage caused to the customer due to
late deli1ery of the consignments. &he -ranchisee hereby indemnify by the company
against loss if any caused to the customers on the account
&he -ranchisee %ill ensure that all consignments boo.ed under 0D) consignment note
should be connected to the company only. &he franchisee %ill also ensure that all boo.ings
made on 0D) Consignment note should be only for destinations ser1ed by 0D) as per
)er1iceable )tations list and as per circular for ne% stations gi1en time to time. &he
-ranchisee %ill ensure no contraband < illegal goods < haAardous or extra haAardous goods
are boo.ed by them. They will not boo any !oo"# prohibite" $n"er the law# of IATA.
&he company %ill raise -ortnightly In1oices to the -ranchisee against the Consignments
boo.ed by the -ranchisee and ser1ices for same ha1e been rendered by the company
according to the transshipment rates pro1ided by the company. &he -ranchisee %ill ensure
payments of due In1oices %ithin the allocated credit period as informed to the under
Accounting /olicy.
&he -ranchisee may gi1e credit to its customers < clients %hile boo.ing the consignments
entirely at their o%n ris. as to costs and conse@uences and the company shall not be
concerned %ith the same in any manner %hat so e1er. &he -ranchisees shall independently
reco1er the payment due and payable by the customers < clients to them for a consignment
boo.ed or pic.ed up by them.
&he -ranchisees shall be responsible for and bear all the expenses that they may be
re@uired to incur such as municipal taxes society charges or any other $o1ernment dues
telephone bills and all other o1erheads for conducting their business.
&he -ranchisees are the principal employers for the purpose of rele1ant la%s and regulation
of any go1ernment central and < or state local bodys < statutory bodys ha1ing ,urisdiction.
&he -ranchisees shall al%ays .eep the company indemnified against any liabilities <
proceedings < prosecution initiated by the go1ernment < local < statutory body or employees
engaged by the franchisees arising out of branch of such status rules and regulations etc.
on the part of the -ranchisees.
