1. Conditions. All quotations and tenders are submitted and all orders and contracts are
accepted subject to the following conditions to the exclusion of all others. In the event of any
conflict or inconsistencies between these conditions and the terms or conditions on a Buyers
enquiry, order or acceptance, these conditions shall prevail unless otherwise expressly
agreed and confirmed by the Seller in writing.
2. Quotations. All quotations are valid for 30 days unless otherwise stated on the quotation.
All quotations are subject to confirmation on receipt of order and items fromstock are offered
subject to being unsold when the order is received. Under no circumstances can the Seller
accept the cancellation of any orders received against quotations for non-standard items
manufactured to the Buyers instructions. The Seller reserves the right to refuse an order.
The Seller reserves the right to amend any error or omission in any quotation.
A minimum order value will apply at time of placing order.
3. Acceptance of Quotations. The acceptance of the Sellers estimate or tender must be
accompanied or immediately followed by written information to enable the Seller to proceed
with the order forthwith and a remittance for the amount of any deposit stipulated. The
Seller reserves the right not to commence work until official confirmation has been received.
4. Trade Discounts. All trade discounts are given by the Seller only on the strict
understanding that the goods are for resale by the Buyer. The Seller reserves the right to
render an invoice for the additional sumrepresented by such trade discount should the Seller
discover at any time, before or after delivery, that the goods are for the Buyers own use. No
trade discount granted by the Seller qualifies to be deducted from the gross amount due if
the Buyer does not make payment within the agreed payment terms.
5. Terms of Payment. Terms of payment are 30 days from date of invoice unless otherwise
stated, but the Seller reserves the right at any time before delivery to enquire as to the
Buyers credit standing and to demand cash before delivery if the Seller sees fit. The Seller
will require cheques to be cleared prior to despatching goods. Other terms of payment will
be as quoted at time of enquiry.
All machines are quoted and are invoiced on the basis of payment being made in full cleared
funds prior to despatch unless the Seller agrees otherwise in writing.
In the event of payment not being received by the Seller within the agreed terms of payment,
the Seller reserves the right to charge interest on all outstanding amounts at the rate of 3%
per year above the National Westminster Bank base rate accruing daily.
6. New Account. Any Buyer with whom the Seller has not previously done business, and who
wishes to open a credit account, should provide two first class trade references and Bankers
reference, and in default thereof our terms are cash against pro-forma invoice.
7. Prices. Unless specified by the Seller in the quotation or tender, the price quoted is ex-
works. If the Seller agrees to effect delivery the method of transport shall be at the Sellers
option. Delivery and distribution charges shall be an extra to the contract and shall
accordingly be paid by the Buyer to the Seller.
8. Price Fluctuation. The Seller reserves the right to invoice all goods at the price prevailing
at the date of despatch in accordance with our current price list or at the prices quoted plus
an addition to cover increased production costs from the date of the order to the date of
despatch.
9. Extra Cost. In the event of suspension of the work by the Buyers instructions or lack of
instructions, the contract price may be increased to cover any extra expense thereby incurred
by the Seller.
10. Cancellations by the Buyer. Orders shall not be cancelled or amended except with the
Sellers consent and upon terms which indemnify the Seller against loss. A handling charge
of 15% plus VAT and carriage will be levied where goods are returned for any reason other
than warranty claims.
11. Limits of Contract. Any goods or accessories supplied, or work carried out beyond the
scope of any contract are to be treated as extras to the contract and will be charged at
current prevailing prices and rates.
12. Specifications, Drawings etc. Any specifications, data, photographs, drawings,
descriptions and illustrations contained in the Sellers catalogues and descriptive literature,
forming part of the Sellers general product information or submitted with the Sellers
estimate or tender are approximate only and are intended merely to present a general idea
of the goods described therein and none of these shall form part of the contract. The Seller
reserves the right in executing orders to include at our option uncatalogued improvements.
All drawings and technical descriptions prepared by the Seller shall remain the Sellers
property returnable on demand and the copyright in them remains vested in the Seller and
shall not be infringed by copying, reproduction or disclosure without written consent from the
Seller.
13. Performance and Capability. Any performance facts or figures given by the Seller are
based upon the Sellers experience and are such as the Seller expects to obtain on tests. The
Seller accepts no liability if these are not obtained unless the Seller specifically agrees them
in writing. The Buyer assumes liability for the capacity and performance of the goods being
sufficient and suitable for his purpose, and for his premises being suited to the installation
and operation of the plant, machinery or equipment. The material composition of all
standard items is available on request if not already outlined in our descriptive literature.
The suitability of the application of any product for the Buyers own purpose is established
at the risk of the Buyer.
14. Despatch and Delivery. The time for delivery shall be reckoned from the date of receipt
by the Seller of complete instructions, approval of drawings and any required deposit etc.
necessary for the execution of the work. All reasonable endeavours will be made to despatch
or complete within the time stated, but the Seller shall not be liable for any loss or damage
due to late delivery, however caused.
The Seller must be advised within 3 days of the date of invoice if delivery of the goods has
not been effected. The Seller will be unable to assist with, and accepts no liability for loss
in respect of any claim after this period.
15. Acceptance of Goods. Every care is taken but it must clearly be understood that the
Sellers responsibility ceases with delivery to carriers, ex the Sellers works, after which no
liability attaches to the Seller in respect of loss, damage or delay, however arising, which
may subsequently occur. In the event of any evidence of damage to goods, the carriers
delivery note should not be signed and acceptance of receipt of the consignment should be
refused. A signature for receipt must not be given unless all items in the consignment have
been inspected thoroughly. The Seller will be unable to assist with any claim arising where
goods have been accepted and signed for in good condition. In any case, any query relating
to the condition of goods received must be referred to the Seller within 48 hours of receipt of
the consignment.
16. Title. Until payment is made in full by the Buyer the goods shall remain in the ownership
of and title shall remain vested in the Seller but the risk therein and all liability to third
parties in respect of the goods shall pass to the Buyer when loading of the goods onto the
carriers vehicle at the Sellers premises is complete.
In the event of failure by the Buyer to make full payment for the goods, the Seller shall be
entitled to claim the proceeds of sale of any such goods sold by the Buyer prior to full
payment being made to the Seller for all of the goods. A Buyer agrees by taking delivery of
the goods to store the goods in such a way the items are clearly identifiable as the property
of the Seller until full payment has been made to the Seller.
17. Consignment or Sale or Return. Goods supplied on consignment or on a sale or return
basis will be held at the Buyers risk and the Buyer accepts full responsibility for their
insurance and for any loss. Should such goods be returned to the Seller, the delivery charges
will be borne by the Buyer.
18. Custody of Goods. The Buyer is responsible for safe custody and storage of or damage
(however caused) to or theft of any goods, plant, material and tools used by the Seller for
installation purposes from the time such items are delivered to the site and notwithstanding
that property in the goods, etc. may not pass to the Buyer.
19. Default. Should default be made by the Buyer in paying any sum due under any order as
and when it becomes due, the Seller shall have the right either to suspend all further
deliveries until the default be made good or to cancel the order so far as any goods remain
to be delivered thereunder.
20. Conditions of Warranties. Save as hereinafter provided no condition or warranty is
expressed or is to be implied as to quality or fitness for any purpose or as to correspondence
with description or sample or as to merchantableness either with regard to the goods to be
supplied or as to any parts or material in their manufacture.
21. Guarantee. All goods are guaranteed against defective workmanship and material for a
period of 6 months from date of invoice, subject to it being used on a normal single shift
basis only, provided the Sellers liability in respect of any defect in any part of the goods
supplied proved to be defective is limited to making good by replacement or repair at the
Sellers option but free of charge and provided always that such defective part be returned
to the Seller. The Seller accepts no responsibility to consequential damages of any kind or
for any breakage or replacement necessary when due to wear or by reason of any negligence
or fault of the Buyers operator or any other person. In case of equipment or parts thereof not
of the Sellers manufacture, whether incorporated in the Sellers machines or not, the Buyer
is entitled only to such benefits as the Seller receives under any guarantee given to the Seller
in respect thereof. This guarantee shall not apply to any second-hand machines or parts
thereof, or consumable items.
22. Force Majeure. The Seller will not be liable for any delay in performing or failure to
perform any of its obligations under any contract for the supply of goods or services where
the delay is due to any cause outside its reasonable control. Such delay or failure will not
constitute a breach of the contract and the time for performance of the affected obligation
shall be extended by such period as shall be reasonable.
23. Insolvency of Buyer. If the Buyer defaults in paying any sum due or if any distress or
execution is levied upon the Buyer, its property or assets, or if the Buyer makes or offers to
make any composition with creditors or commits any act of insolvency or act which would be
an act of bankruptcy if committed by an individual, or if a petition be presented for a
Receiving Order in the case of an individual or liquidation in the case of a company or a
Receiver or Administrator is appointed to the Buyer, the Seller is entitled at any time
thereafter to determine any contract without derogation the Sellers right to recover money
due and damages.
In addition in such circumstances the Seller shall have the right to enter without obstruction
onto the Buyers premises to identify and uplift and remove any goods for which payment has
not been made in full by the Buyer to the Seller.
24. Exclusions and Liability. The Seller shall not be liable in respect of claims for damages
to the Buyer or third parties, either directly or indirectly, resulting from defects in design,
materials or workmanship. The Seller shall have no liability for any indirect or consequential
losses or expenses suffered by the Buyer however caused.
25. Health and Safety. All goods are sold and delivered on the strict understanding that the
Buyer will not use the goods until they are satisfied that the goods meet the Health and
Safety regulations required by law.
26. Severability. If any of these Conditions or any part is held to be invalid for any purpose,
it shall for that purpose be deemed to have been omitted but shall not prejudice the
effectiveness of the rest of these Conditions.
27. Legal Construction. The contract shall in all respects be construed and operated as an
English contract and shall be governed by English law.

Air bearing has a hard chromed spindle for long life, standard 5C collets.
The tooth rest finger is easily adjustable by turning a knurled knob on either
end of the tooth rest bracket.
Clearance angle collar marks angular setting easy-swivels universally for
radial relief sharpening.
Air bearing fixture is precision honed and capable of grinding to tight
tolerances.
Tools sharpened on an air bearing fixture cut smoother, the spindle floats on
friction fingersensitive control for sharpening end mills as small as 2mm,
sharpens all over-periphery, end teeth, notches, flute faces.
Air bearing fixture is easily mounted to FC-32A grinder.

FEATURES
Semi-Universal Dividing Head is a simplified type of Universal Index Center and can be used for direct and indirect dividing. No
accessories for the differential dividing and spiral work are included, but the whole construction of the dividing head and tailstock
are identical with those of the universal type.
The unit has a Direct Indexing Plate with 24 holes enabling the direct division of 2, 3, 4, 6, 8, 12 and 24. Three further Indexing
Plates are provided as standard to facilitate indirect dividing from 2 to 50 and also most useful divisions up to 380.

with greater precision and efficiency than has been possible before. The center face can be tilted from a horizontal position of

INDEXING POSSIBILITIES
DIRECT - With the front index plate of 24 stages are possible 2, 3, 4, 6, 8, 12 and 24 direct divisions. Other direct indexing plates
up to 36 divisions can be supplied as extra equipment.
SIMPLE - Indirect indexing can be carried out with the help of dividing plate with holes on both sides being obtainable all divisions
from 2 to 50 and a great number up to 490.
DIFFERENTIAL - The differential indexing is possible in any number from 2 to 500 divisions including prime numbers, by means
of the dividing plate combined with the gears train.
SPIRAL MILLING - Spiral Milling can be performed by transmitting the table feed of the universal milling machine to the driving
spindle of the Dividing Head by properly chosen change gears.
