STATUTES

OF DEUTSCHE STIFTUNG WELTBEVLKERUNG (DSW)


AS AMENDED ON 1st JANAUARY 2015

(1) ThenameoftheFoundationis"DeutscheStiftungWeltbevlkerung
(DSW)".
(2) Itisanincorporatedfoundationwithlegalcapacityandregisteredofficein
Hannover.

PurposeoftheFoundation
(1) ThepurposeoftheFoundationisthepromotionofdevelopmentco
operationaswellasthepromotionofscienceandresearch,particularlyin
theareasofpopulationpolicy,voluntaryfamilyplanningandrelatedpublic
relationsactivities.
(2) Suchpurposeshallbeachieved,amongothers,by:
(a) Promotionandimplementationofprojectsandprogrammesin
developingcountriesthatcontributetosustainablepopulation
development;
(b) Publicrelationsactivitiesanddisseminationofknowledgerelated
tothecausesandimpactsofpopulationdynamics,especially
populationgrowthindevelopingcountries,ontheglobalfight
againstpoverty,andonsustainabledevelopment;
(c) Promotionofandengagementinresearchactivitieswhichfocuson
populationdynamics,especiallyonpopulationgrowthindeveloping
countriesand
(d) PromotionofEuropeanandglobalcooperationinthefieldof
populationdynamics,particularlyindevelopingcountries.

Charitablenature
(1) TheFoundationdirectlyandexclusivelyservespublicbenefitpurposes
withinthemeaningofthesection"Taxprivilegedpurposes"oftheGerman
FiscalCode[Abgabenordnung,AO].
(2) TheFoundationactsaltruisticallyanditdoesnotpursueitsowneconomic
goals.TheAssetsoftheFoundationshallnotbeusedforanyotherpurposes
thanthosestipulatedbytheseStatutes.
(3) TheFoundationshallbeentitledtoperformitsdutiesthroughaides
[Hilfspersonen]withinthemeaningoftheGermanFiscalCode(AO),tothe
extentthatsuchdutiesarenotperformedbytheFoundationitself.
(4) Nolegalornaturalpersonshallbefavoredbyexpendituresthatareforeign
tothepurposeoftheFoundationorbyunreasonablyhighcompensations.

(5) TheFoundersandtheirrelativesshallreceivenograntsfromthe
Foundation'sassets.

EndowmentFunds
(1) TheEndowmentFundsconsistoftheinitialAssetsoftheFoundation
(Euro255,645.94)andadditionalendowmentcontributionsalready
effected.Theexistingamountshallbekeptundiminishedonapermanent
basis.
(2) TheEndowmentFundsshallbeinvestedinaccordancewiththe
Foundation'sinvestmentpolicy.
(3) TheEndowmentFundsmaybeincreasedthroughendowment
contributions.
(4) TheFoundationshouldestablishfreeandearmarkedreservesin
accordancewithapplicablelawforfoundationsandshallbeentitledto
transferfreereservestoitsbasicassets[Grundstockvermgen].
(5) NolegalclaimexiststoanybenefitsfromtheFoundation.
(6) TheFoundationshallbeentitledtoactasatrusteeforfoundationsthat
havenolegalcapacityandtotakeoverthemanagementoffoundationsthat
havelegalcapacityandpursueasimilarpurpose.

AssetsoftheFoundation
(1) TheFoundationshallfulfillitsduties
(a) fromearningsontheEndowmentFunds;
(b) fromcontributions,unlessthesearespecificallyearmarkedbythe
contributorfortheincreaseoftheEndowmentFundsonly,and
(c) fromincomereceivedfromtheprovisionofservicestothirdpartiesor
fromspecialpurposebusinesses.
(2) AssetssubjecttoSection5Para.(1)shallnotbeallocatedforanyother
purposesthanthosestipulatedbytheseStatutes.

OrganisationalStructureoftheFoundation
(1) ThestatutorybodiesoftheFoundationare:
(a) theSupervisoryBoard
(b) theExecutiveBoard,and
(c) theAdvisoryBoard.

(2) Duringhis/hertermofoffice,amemberofastatutorybodyshallnotserveon
anyotherstatutorybodyatthesametime.
(3) WithinthemeaningoftheseStatutes,"Founders"arethoseindividualswho
haveagreedtotransfertheinitialAssetsoftheFoundationintheendowment
contractorhavemadeanendowmentcontributionnolaterthan31stMarch
1992.ChildrenofFoundersshallhavethesamerightsastheFounders.

SupervisoryBoard
(1) TheSupervisoryBoardshallconsistofaminimumoffive(5)andamaximum
often(10)members.Itshallbemadeupofexpertsfromdifferentfields,
includingatleastonepersonwitheconomicexpertiseandonewithspecialist
knowledgeintheareaoftheorganisationsoperations.ThefirstSupervisory
BoardshallbeconstitutedbythemembersoftheformerExecutiveBoard,
whowillnotbemembersofthenewExecutiveBoard,andthedurationof
membershipshallcorrespondtothedurationofmembershipintheformer
ExecutiveBoard.
(2) TheSupervisoryBoardshall,bysimplemajority,electaChairpersonanda
ViceChairpersonamongstitsmembersforatermofthree(3)years.
Reelectionispossible.
(3) TheFoundersshallbeentitledtoserveontheSupervisoryBoardforan
unlimitedperiodoftime.
(4) TheSupervisoryBoardshallcomplementitselfthroughcooptationorre
electionbyathreequartermajority;theconcernedmemberofthe
SupervisoryBoardshallhavenovoteinsuchelection.
(5) ThetermofofficeofthemembersoftheSupervisoryBoardshallbefouryears.
Reelectionispossible.Tenureofofficeshallenduponexpiryofthetermof
office,uponresignation,whichispossibleatanytime,orupondeath.A
memberoftheSupervisoryBoardmaybedismissedforgoodreasonbya
threequartermajorityoftheSupervisoryBoardonlyaftergivingthemember
concernedreasonableopportunitytoexpresshis/herviews.
(6) MembershipoftheSupervisoryBoardishonorary.Membersofthe
SupervisoryBoardareentitledtoreimbursementoftheiractualand
reasonableexpenses.

ResponsibilitiesoftheSupervisoryBoard
(1) TheSupervisoryBoardshallprovideadvice,supportandsupervisiontothe
ExecutiveBoardinaccordancewithapplicablelawandtheStatutesofthe
Foundation.
(2) TheSupervisoryBoardisprimarilyentrustedwiththefollowing
responsibilities:
(a) TomonitorcompliancewiththeFounders'intention;
(b) TodeterminetheFoundation'sbasicstrategicorientationinagreement
withtheExecutiveBoard;
(c) Toapprovetheoperationalplan;

(d) Toadoptthefinancialstatementsandapprovetheestablishmentof
reserves;
(e) Toelecttheauditor;
(f) Toappoint,dismiss,andapprovetheactionsoftheExecutiveBoard;
FoundersmayonlybedismissedfromtheExecutiveBoardforgood
reasonandtoprotecttheFoundationfromharm;
(g) ToapprovetheRulesofProcedureoftheExecutiveBoard;
(h) ToapprovetheinvestmentpolicyfortheEndowmentFundsin
conjunctionwiththeExecutiveBoard;
(i) ToresolveanyamendmentstotheStatutesoftheFoundation,to
requesttheliquidationormergeroftheFoundationwithanothertax
privilegednonprofitorganisationinagreementwiththeExecutive
Board,and
(j) Toelect,reelectanddismissthemembersoftheSupervisoryBoard;
FoundersshallonlybedismissedfromtheSupervisoryBoardforgood
reasonandinordertoprotecttheFoundationfromharm.
(3) TheSupervisoryBoardmayinteraliaandactingonproposalofand
followingconsultationbytheExecutiveBoard,setuppermanentor
temporarycommitteestoaddressspecificsubjectareasorspecialissues.
(4) TheChairpersonoftheSupervisoryBoardrepresentstheSupervisoryBoard
totheExecutiveBoard.
(5) TheSupervisoryBoardshallonlybeheldliableinthecaseofintentionalor
grosslynegligentbreachofitsdutyofcare.

ProceedingsoftheSupervisoryBoard
(1) TheSupervisoryBoardshallbeconvenedbytheChairpersonasneeded,
butnolessthanonceayear,subjecttoaperiodofnoticeofthreeweeksand
settingforththeagendaofthemeeting.
(2) ResolutionsoftheSupervisoryBoardshallbetakenbysimplemajority,
exceptincasesregulatedotherwiseorincasessubjecttoSection14ofthese
Statutes.Intheeventofatie,theChairpersonshallhavethecastingvote.
(3) ExceptasinthecaseprovidedforinSection9,Para.(4),lastsentence,the
SupervisoryBoardshallhaveaquorumwhenatleastfifty(50)percentof
themembersoftheSupervisoryBoardincludingtheChairpersonorthe
ViceChairpersonarepresent.Failuretoobservetheprocedureforcallinga
meetingshallbedeemedremediedifallmembersarepresentandno
objectionismade.
(4) IftheSupervisoryBoardisnotquorate,anothermeetingoftheSupervisory
BoardshallbeconvenedforthwithandinaccordancewithSection9,
Para.(1).ThepresenceoftheChairmanshallthenbedeemedsufficientto
constituteaquorumregardlessofthenumberofmemberspresent,
providedthatthishasbeenexpresslyindicatedintheinvitation.
(5) Ifnoobjectionismadebyamember,resolutionsmaybepassedbypostal
vote,faxortelephonevote,providedthattelephonevotesareconfirmedin
writingwithoutunduedelay.Thisshallnotapplytoresolutionssubjectto
Section14oftheseStatutes.

(6) Minutesoftheoutcomesofmeetingsandresolutionsshallberecordedand
signedbytheChairpersonofboththeSupervisoryBoardandtheExecutive
Board.Suchminutesshallbedeemedapprovedifnoobjectionshavebeen
madebyanymemberwithinfourweeksfollowingdispatchtothemembers
oftheSupervisoryBoard.
(7) TheViceChairpersonoftheSupervisoryBoardshallreplacethe
Chairpersonintheeventofhisorherabsence.Internally,theVice
ChairpersonshallbeobligedtoactonlyifandwhentheChairpersonis
unabletoact.

ExecutiveBoard
(1) TheExecutiveBoardshallconsistofaminimumoftwo(2)andamaximum
ofthree(3)members.AChairpersonshallbeappointedbytheSupervisory
Board.IftheExecutiveBoardconsistsofthree(3)members,theSupervisory
Boardshallappoint,besidestheChairperson,theViceChairpersonofthe
Board.Reappointmentispossible.TheExecutiveBoardshallserveinan
honorarycapacity.Itsmembersareentitledtoreimbursementoftheiractual
andreasonableexpenses.TheExecutiveBoardshallprincipallymanagethe
affairsoftheFoundationinitsownresponsibilityandshallbeaccountableto
theSupervisoryBoardanditsstrategicdirectives.ThefirstExecutiveBoard
shallbeconstitutedbythemembersofthecurrentExecutiveBoard,the
respectivedurationofmembershipcorrespondingtothedurationoftheir
membershipontheformerExecutiveBoard.TheFoundersshallbeentitled
toserveontheExecutiveBoardforanunlimitedperiodoftime.
(2) TheExecutiveBoardshallbeappointedbytheSupervisoryBoard.Re
appointmentsarepossible.ThetermofofficeofamemberoftheExecutive
Boardisthree(3)years.
(3) TheExecutiveBoardshallrepresenttheFoundationinalldealingswiththird
partiesandinlegalproceedings.Ithasthestatusofalegalrepresentative.
EachmemberoftheExecutiveBoardshallholdthepowerofsole
representation.AmemberoftheExecutiveBoardmaybeexemptedfromthe
limitationsofSection181oftheGermanCivilCode[BrgerlichesGesetzbuch,
BGB]byresolutionoftheSupervisoryBoard.
(4) TheExecutiveBoardshallbeconvenedasneeded,butnolessthantwicea
year,subjecttoaperiodofnoticeofthree(3)weeksandsettingforththe
agendaofthemeeting.Minutesoftheoutcomesofthemeetingsand
resolutionsoftheExecutiveBoardshallberecordedandsignedbythe
ExecutiveBoard.Furthermore,theExecutiveBoardshallattendthemeetings
oftheSupervisoryBoard.
(5) TenureofofficeofamemberoftheExecutiveBoardshallenduponexpiryof
thetermofoffice,byresignation,whichispossibleatanytime,orbydeath.A
memberoftheExecutiveBoardmaybedismissedforgoodreasonbyathree
quartermajorityoftheSupervisoryBoardatanytimeonlyaftergivingthe
memberconcernedreasonableopportunitytoexpresshis/herviews.

ResponsibilitiesoftheExecutiveBoard
(1) TheExecutiveBoardshallassumethedaytodaymanagementofthe
Foundation'saffairsinaccordancewithapplicablelaw,theStatutesofthe
Foundation,theRulesofProcedureandtheFoundations'policies.This
includes,butisnotlimitedto,obtainingallnecessaryapprovalsofthe
SupervisoryBoardasprovidedforintheseStatutes.
(2) ResolutionsoftheSupervisoryBoardshallbetakenbysimplemajority.In
theeventofatie,theChairpersonshallhavethecastingvote.
(3) TheresponsibilitiesoftheExecutiveBoardinclude,butarenotlimitedto,
thefollowing:
(a) IssuanceoftheRulesofProcedureoftheExecutiveBoard;
(b) IssuanceandupdateoftheinvestmentpolicyfortheEndowment
Funds;
(c) ManagementoftheEndowmentFundsinaccordancewiththe
applicableinvestmentpolicy;
(d) Preparationoftheoperationalplan,theannualreportandtheannual
financialstatements;
(e) ProperutilisationoftheAssetsoftheFoundationinaccordancewith
theStatutes;
(f) EstablishmentofreservesinaccordancewithSection4,Para.(4)of
theseStatutes;
(g) Employmentofstaffand
(h) Issuanceofstandardsandpolicies.
(4) TheExecutiveBoardmaydelegateresponsibilitiesandgrantthepowerof
representationfortheFoundationtoanExecutiveDirector.Ifthisisthe
case,theExecutiveDirectorshallbeabletocarryoutthetransactions
delegatedtoher/himonhisown,withinthescopeoftheprovisionsofthese
Statutesandincompliancewiththeoperationaldirectiveslaiddownbythe
ExecutiveBoard.TheExecutiveDirectorshallbeaccountabletothe
ExecutiveBoardandboundbyitsinstructions.He/shehasthelegalstatus
ofaspecialrepresentativewithinthemeaningofArticle30oftheGerman
CivilCodeandshallpromptlynotifytheSupervisoryBoardofanymaterial
matters.Furthermore,insuchcasetheresponsibilitiesoftheExecutive
Boardshallbeextendedtoincludetheappointment,determinationofthe
remunerationandsupervisionoftheExecutiveDirector.Additional
provisionsareprovidedintheFoundation'soperationaldirectivesandthe
RulesofProcedureoftheExecutiveDirector.TheExecutiveDirectorshall
beentitledtoparticipateinthemeetingsoftheExecutiveBoardandthe
SupervisoryBoard,unlesstheExecutiveBoardortheSupervisoryBoard
resolvestheexclusionoftheExecutiveDirectorfromthemeetingby
majorityinordertodiscussmattersrelatedtohim/her.
(5) TheExecutiveBoardshallnotifytheSupervisoryBoardofanymaterial
matters.
(6) TheRulesofProcedureoftheExecutiveBoardareonlyeffectiveifinwriting
andsubjecttoapprovalbybothbodies(SupervisoryBoardandExecutive
Board).TheyshallbesignedbytheChairmenofbothbodies,thereupon
enteringintoeffect.

(7) ThemembersoftheExecutiveBoardshallonlybeheldliableinthecaseof
intentandgrossnegligence.

AdvisoryBoard
(1) AnAdvisoryBoardmadeupofreputablefiguresofpubliclifeshallbe
appointedtosupportandadvisetheSupervisoryBoardandtheExecutive
Board.Itshallhaveaminimumoffour(4)andamaximumof
ten(10)members.ItshalladvisetheSupervisoryBoardandtheExecutive
BoardonthebasicorientationoftheFoundation'sactivitiesandonspecific
issues,particularlyasrelatedtotheachievementoftheFoundation's
purposes.ThemembershipoftheformermembersoftheAdvisoryBoard
shallcontinue.
(2) ThemembersoftheAdvisoryBoardshallbeappointedjointlybythe
SupervisoryBoardandtheExecutiveBoardbyathreequartermajority.
(3) TenureofofficeofamemberoftheAdvisoryBoardshallendby
resignation,whichispossibleatanytime,orbydeath.Amemberofthe
AdvisoryBoardmaybejointlydismissedforgoodreasonbytheSupervisory
BoardandtheExecutiveBoardbyathreequartermajorityonlyaftergiving
thememberconcernedreasonableopportunitytoexpresshis/herviews.
(4) ThemembersoftheAdvisoryBoardshallbeinvitedtoallmeetingsofthe
SupervisoryBoard.
(5) MembershipoftheAdvisoryBoardishonorary.MembersoftheAdvisory
Boardareentitledtoreimbursementoftheiractualandreasonable
expenses.

Operations
(1) Thefinancialyearcorrespondstothecalendaryear.
(2) TheExecutiveBoardisobligedto
(a) Promptlynotifythecompetentsupervisoryauthorityforfoundationsof
anyalterationintheconstitutionofanybodyoftheFoundation,and
(b) Submittheannualfinancialstatementtothesupervisoryauthorityfor
foundationswithinfivemonthsafterclosingofthefinancialyear
includingastatementofassetsandliabilitiesandanarrativereporton
theachievementofthepurposeoftheFoundation.

AmendmentsoftheStatutesandLiquidation
(1) TheSupervisoryBoardshallpassresolutionsonamendmentsofthe
Statutesbysimplemajority.AnyamendmentsoftheStatutesregardingthe
purposeoftheFoundation,mergerswithotherfoundationsorliquidation
oftheFoundationmustberesolvedbytheSupervisoryBoardacting
unanimously.Anysuchmeasuresrequiretheapprovalofthecompetent
supervisoryauthorityforfoundations.
(2) UponliquidationordissolutionoftheFoundationorforfeitureofitstax
privilegedpurposes,anyEndowmentFundsremainingafterpaymentofthe
Foundationsliabilitiesandcollectionofallpayablesshallatthechoiceof
theSupervisoryBoardbedistributed:
(a) Toacorporatebodyunderpubliclawor
(b) Amongothertaxprivilegedcorporatebodieswithsimilarobjectivesfor
thepurposeofpromotingdevelopmentcooperation(primarilyinthe
fieldoffamilyplanning).
AslongastheFoundationmaintainsitstaxprivilegedstatus,the
implementationofanyresolutionontheuseofsuchfundsafterliquidation
ordissolutionoftheFoundationrequiresthepriorobtainmentofa
clearancecertificate[BesttigungderSteuerunschdlichkeit]fromthe
competenttaxauthority.
