BYLAWS OF THE SAN FRANCISCO PEDESTRIAN ADVISORY COMMITTEE

AMENDED April 8, 2014


MISSION STATEMENT PSAC has been charged with providing expertise on issues concerning pedestrian safety, convenience, ambiance, and planning as well as advocating for pedestrian safety by engaging the public, Board of Supervisors and other relevant agencies. To better engage these entities, PSAC has documented their observations about the current state of pedestrian safety in San Francisco and their recommendations for improvements. It is in the public interest to officially recognize walking as an important component of our transportation system, and as a key component to creating livable and suitable communities. The Pedestrian Safety Advisory Committee, composed of concerned and informed residents, was established to provide insight into issues concerning pedestrian safety, convenience, ambiance and planning.

Article I. Establishment: In accordance with the provisions of the San Francisco Administrative Code Sections 5.20 and 5.21, the Pedestrian Safety Advisory Committee (PSAC) is hereby established.

Article II. Purpose a. Maintain the publics safety as the top priority b. Recommend ways to improve the ambient environment and convenience in order to encourage pedestrianism as a healthful transportation activity c. Make pedestrian safety recommendations to the Board of Supervisors and other City departments d. Develop concepts and review policies and planning efforts for pedestrians, such as safety, traffic calming, and sidewalk and crosswalk treatments e. Make recommendations on funding opportunities and priorities to the Board of Supervisors, the SFMTA, the Citizens' Advisory Committee and other departments, commissions, boards and agencies f. Review and make recommendations to the Planning Commission on policies and programs related to pedestrians in the Master Plan of the City and County of San Francisco g. Report to the Board of Supervisors on an annual basis, with quarterly appearances before the Board as needed, on statistics on pedestrian injury and fatality statistics, causes of pedestrian injuries and fatalities, recommendations for changes in policies, funding and enforcement and other pertinent issues h. Support development of the Better Streets Plan, in conjunction with city agencies and community input, which will offer a comprehensive review of the policies, procedures, practices and physical infrastructure of the city that affect pedestrians, and will also provide recommendations to make walking safer and more convenient through sidewalk improvements, new city policies, educational programs, promotional efforts and transit access

Article III. Membership a. The committee shall consist of 23 voting members appointed as follows: A. Two representatives from pedestrian safety organizations B. Two representatives from senior or disabled organizations C. One representative from bicycle or non motorized wheeled personal transport organizations D. One representative from transit or environmental organizations E. One representative from child advocate or school support organizations F. One representative from a public health organization G. Two at large representatives H. Eleven persons appointed by individual members of the Board of Supervisors I. Two members appointed by the Superintendent of Schools, one of whom shall be a parent and one a student b. The tenure of members varies by seat per the San Francisco Administrative Code

Article IV. Meetings Section 1 A. The PSAC shall hold monthly meetings on the second Tuesday of every month B. Special (optional) meetings may be called by the Chair and be held outside of City Hall C. Notice of meetings and agendas shall be sent to members not less than five (5) days before such meetings Section 2 A. A majority of members in good standing shall constitute a quorum for the transaction of business at regular monthly meetings B. The Chair shall facilitate meetings and set the agenda C. Roberts Rules of order will be used for assistance Section 3 A. Regarding email and communications rules of order in accordance with the Sunshine Ordinance, members are not allowed to send chain emails to more than two other members. Emails to numerous PSAC members from a member of PSAC shall constitute a violation of the Sunshine Ordinance. B. Members of the press and persons that are not members of PSAC must not be contacted on behalf of the Committee without the consent of the Chair. C. Items for consideration may be introduced by members during the Items to be Considered at Future Meetings section of each agenda. In addition, suggestions for agenda items may be sent directly to the Chair. However, members must not send out item suggestions or arguments to

numerous members of PSAC in efforts to negotiate a consensus because that would constitute a violation of the Sunshine Ordinance.

Article V. Officers Section 1 The officers of the PSAC will be the Chairperson, Vice Chairperson and Secretary Section 2 A. Officers will be elected at the January Meeting each year B. Officers will be elected for one-year terms C. Nominations for officers shall be made from the floor during the December meeting and elections held at the January meeting. Section 3 Officer Duties A. Chairperson shall preside over committee meetings, plan monthly agendas, represent PSAC before agencies and at other activities, or designate another member to do so. B. Vice Chairperson shall in absence of the Chairperson facilitate meetings. When the Chairperson is in attendance, the Vice Chairperson shall make sure the audio works in the meeting room and perform additional duties as assigned. The Vice Chairperson shall take minutes in the absence of the Secretary or request the assistance from a PSAC member. C. Secretary shall take minutes, send the draft minutes directly and only to the Chairperson within seven days following each meeting, and oversee record keeping of the PSAC. D. Minutes shall accurately reflect the content of the meetings and not selectively reflect any individuals personal agenda.

Article VI. Sub-Committees Section 1. Sub-Committees may be established by the chair of PSAC or by the vote of the majority of the members of PSAC.

Article VII. Parliamentary Authority Section 1. Robert's Rules of Order, and the Ralph M. Brown Act shall govern all meetings and sub committees of PSAC. Section 2. Members must abide by Sunshine Ordinance rules at all times.

Article VIII. BYLAWS Section 1. The committee may amend the bylaws at any regularly scheduled meeting by vote of a majority of the members in good standing and that a written notice of the new proposed bylaws are emailed to members not later than five days before the regularly scheduled meeting.
