Definitions

2or the '0r'ose of this Teaming Agreement( !*0stomer# sha%% mean a c0stomer identified in a Teaming 1ro6ect 7ched0%e+ !1ro6ect Agreement s$ sha%% mean the agreement s$ entered into bet&een the 'arties and8or a *0stomer '0rs0ant to &hich 'rod0cts and ser"ices &i%% be 'ro"ided as 'art of a 1ro6ect 0'on acce'tance of a 1ro'osa% by a *0stomer. s0ch as a 'rime contractor agreement. %icense agreement or s0bcontractor agreement+ !1ro6ect# sha%% mean a s'ecific *0stomer 1ro6ect described in a Teaming 1ro6ect 7ched0%e &hich re%ates to 'rod0cts and8or ser"ices offered by A/* *9+ and its /0siness 1artner+ !1ro'osa%# sha%% mean one or more 'ro'osa%s 're'ared for a *0stomer regarding a 1ro6ect+ !Teaming 1ro6ect 7ched0%e# sha%% mean a sched0%e e:ec0ted by both 'arties in the form of 7ched0%e hereto+ 2. Scope

The 'arties agree to ∨ together on an e:c%0si"e basis to 're'are a 1ro'osa% for each 1ro6ect for &hich the 'arties e:ec0te a Teaming 1ro6ect 7ched0%e '0rs0ant to this Teaming Agreement+ Either 'arty may refer b0t it is not ob%igated to do so$ any 'resent or 'ros'ecti"e c0stomer to the other for '0r'oses of generating a 1ro'osa% '0rs0ant to this Teaming Agreement+ 9nce the 'arties ha"e e:ec0ted a Teaming 1ro6ect 7ched0%e. the teaming arrangement bet&een 'arties to de"e%o' 'ro'osa% s$ for c0stomer 'ro6ects s$ as described in a Teaming 1ro6ect 7ched0%e sha%% contin0e 0nti% the occ0rrence of one of the fo%%o&ing(

either 1arty is 0nab%e to meet the re<0irements of the 1ro6ect= the 1ro'osa% is re6ected or the 1ro6ect is not a&arded to either of the 'arties b0t is instead a&arded to a third 'arty= the *0stomer &ithdra&s. cance%s or terminates the 1ro6ect= e:ec0tion of 1ro6ect Agreements by the 'arties= m0t0a% agreement of the 'arties+

Proposals

The 1arties &i%% 0se reasonab%e efforts to create a m0t0a%%y acce'tab%e 1ro'osa% for each 1ro6ect for s0bmission to and acce'tance by the *0stomer+ Each 'arty &i%% contin0e to &or; to&ard this ob6ecti"e thro0gh any and a%% disc0ssions and negotiations concerning the 1ro6ect 0nti% s0ch time as the 1ro6ect ceases to be co"ered by this Teaming Agreement+ >'on the reasonab%e re<0est of the other. each 'arty &i%% ma;e a"ai%ab%e a reasonab%e n0mber of management. mar;eting. technica% or other 'ersonne% to assist in the 're'aration of the 1ro'osa% and to faci%itate any disc0ssions &ith the *0stomer re%ated to the 1ro6ect+ In addition. 0'on the reasonab%e re<0est of the other. each 'arty &i%% 'ro"ide a''ro'riate soft&are. training and other materia%s and information in connection &ith a 'artic0%ar 1ro'osa%+ Any soft&are &hich is 'ro"ided here0nder sha%% be go"erned by the terms and conditions of the M9> bet&een the 'arties if a''%icab%e$ or s0ch other &ritten agreement accom'anying the soft&are as may be 'ro"ided by the 'arty s0''%ying the soft&are+ 4. Coordination

The 'arties &i%% decide &hich indi"id0a% s$ &i%% ser"e as coordination s$ for the 're'aration and s0bmission of the 1ro'osa% to *0stomer for the 0tmost interest of sec0ring the 1ro6ect+ The 'arties &i%% m0t0a%%y agree on their res'ecti"e res'onsibi%ities in 're'aring the 1ro'osa% and de%i"ering it to the *0stomer+ Each 'arty m0st re"ie& and a''ro"e those 'ortions of the 1ro'osa% &hich re%ate to it. as &e%% as the &or; it is e:'ected to 'erform. 'rior to s0bmission of the 1ro'osa% to the *0stomer+ 5. Costs

>n%ess other&ise agreed to by the 'arties in &riting. each 'arty &i%% bear a%% costs. ris;s. e:'enses and %iabi%ities inc0rred by it re%ating to this Teaming Agreement+ Neither 'arty sha%% ha"e any right to any com'ensation or reimb0rsement of any ;ind from the other 0nder this Teaming Agreement+ 6. Acceptance of Proposal

In the e"ent that the *0stomer acce'ts the 1ro'osa%. the 'arties &i%% &or; in good faith to e:ec0te the necessary 1ro6ect Agreements+ 2or e:am'%e( a$ In the e"ent the *0stomer acce'ts the 1ro'osa% &ith /0siness 1artner as the 'rime contractor. the 'arties &i%% negotiate in good faith to e:ec0te a 'rime contractor agreement &ith /0siness 1artner as the 'rime as soon as 'racticab%e+ In that e"ent. /0siness 1artner and the *0stomer &i%% enter into an agreement go"erning /0siness 1artner?s and A/* *9+ de%i"ery of the 1ro6ect+ In the e"ent the *0stomer acce'ts the 1ro'osa% &ith A/* *9+ as the 'rime *ontractor. the 'arties &i%% negotiate in good faith to e:ec0te a

A%% inte%%ect0a% 'ro'erty rights o&ned by a 'arty 'rior to the date of this Teaming Agreement sha%% remain &ith s0ch 'arty+ E:ce't as e:'ress%y 'ro"ided herein. neither 'arty sha%% gain by "irt0e of this Teaming Agreement any %icenses or rights of o&nershi' to any co'yrights. 'atents. trade secrets. trademar;s or other inte%%ect0a% 'ro'erty o&ned by the other+ If the 'arties decide to 0nderta;e any 6oint de"e%o'ment '0rs0ant to this Teaming Agreement. the 'arties &i%% enter into a se'arate agreement to address s0ch &or;+ 8. er! and er!ination

This Teaming Agreement sha%% remain in effect 0nti% terminated in accordance &ith the terms hereof+ Either 'arty may terminate this Teaming Agreement at any time in the e"ent of a materia% breach by the other 'arty that has not been c0red &ithin thirty 30$ days? of &ritten notice describing the breach+ In addition. either 'arty may terminate this Teaming Agreement immediate%y if there is no Teaming 1ro6ect 7ched0%e in effect+ ". Confidentiality

Each 'arty ac;no&%edges and agrees that thro0gho0t the term of this Teaming Agreement. that it may recei"e confidentia% and sensiti"e b0siness and technica% information of the other 'arty+ *onfidentia% information e:changed bet&een the 'arties re%ating to the s0b6ect matter of this Teaming Agreement sha%% be go"erned by the terms and conditions of the se'arate confidentia%ity agreement attached hereto as 7ched0%e 2+ 1#. $i!itation of $ia%ility

Neither 'arty &i%% ha"e any %iabi%ity for any s'ecia%. indirect. incidenta%. conse<0entia% or e:em'%ary damages in connection &ith this Teaming Agreement+ The foregoing %imitations sha%% not a''%y to each 'arty?s rights 0nder a''%icab%e inte%%ect0a% 'ro'erty %a&s or to any breach of the confidentia%ity ob%igations abo"e+ 11. Pu%licity

Neither 'arty &i%% iss0e any 'ress re%ease or other '0b%ic statement regarding this Teaming Agreement or any 1ro'osa% &itho0t the other 'arty?s 'rior &ritten a''ro"a%+ 12. &onsolicitation

D0ring the term of this Teaming Agreement and for one year thereafter. neither 'arty &i%% so%icit for em'%oyment or hire any em'%oyee of the other 'arty assigned to &or; on a 1ro'osa% or a 1ro6ect &itho0t the other 'arty?s 'rior &ritten consent+

Nothing contained in this Teaming Agreement sha%% be constr0ed as creating a 6oint "ent0re. 'artnershi' or em'%oyment re%ationshi' bet&een the 'arties. nor sha%% any 'arty ha"e the right or a0thority to create any ob%igation or commitment on beha%f of the other+ Neither 'arty may assign or other&ise transfer this Teaming Agreement. in &ho%e or in 'art. &itho0t the other 'arty?s 'rior &ritten consent. 'ro"ided that either 'arty may assign or de%egate a%% or 'arts of its right or ob%igations 0nder this Teaming Agreement to an affi%iated com'any+ Notices de%i"ered 0nder this Teaming Agreement m0st be gi"en by 'ersona% ser"ice. o"ernight co0rier. registered mai% or facsimi%e &ith hard co'y confirmation$ and &i%% be effecti"e &hen recei"ed+ This Teaming Agreement contains the entire 0nderstanding of the 'arties &ith res'ect to the transactions and matters contem'%ated hereby. s0'ersedes a%% 're"io0s or contem'oraneo0s comm0nications. 0nderstandings and agreements &hether ora% or &ritten$. and cannot be amended e:ce't by a &riting signed by both 'arties+ This Teaming Agreement &i%% be constr0ed in accordance &ith the %a&s of Ma%aysia+ Those terms. inc%0ding b0t not %imited to confidentia%ity. &hich &o0%d by their nat0re s0r"i"e any termination in accordance &ith their res'ecti"e terms+ The 'arties ha"e ca0sed this Teaming Agreement to be e:ec0ted by their d0%y a0thori5ed re'resentati"es+
