CONDITIONS OF SALE
*. The sale is made by UNITED OVERSEAS BANK (MALAYSIA) BHD (hereinafter called =the Assignee>! in the exercise of the rights and powers conferred upon the Assignee in pursuance of the L()* A+,--.-*/ C0. A112+*.-*/ A*3 D--3 (4 A112+*.-*/ 5(/6 3)/-3 /6- 5/6 3)7 (4 O8/(5-,, 2007 executed by the Assignor in fa:our of the Assignee and is made subject to all conditions and category of land use, expressed or implied or imposed upon or relating to or affecting the Property and subject to the terms and conditions contained herein. -ubject to the reser:e price, the highest bidder being so allowed by the Auctioneer shall be the Purchaser but the Auctioneer reser:es the right to regulate the bidding and shall ha:e the sole right to refuse any bid or bids without gi:ing any reason for such refusal. The Auctioneer reser:es the right to alter or add to these <onditions of -ale at any time prior to the sale. In the case of any dispute as to any bid, the Auctioneer may at his own option forthwith determine the dispute or put the Property up again for sale or put the Property at the last undisputed bid or withdraw the Property from auction sale. As from the time of the auction sale, the Property shall be at the sole ris1 of the Purchaser as regards to any loss or damage by fire or other accident or otherwise or any restrictions4in4interest, easements, leases, tenancies, occupiers, charges, ca:eats, co:enants, liabilities arising'entered after the auction sale. The Purchaser shall deem to ha:e inspected the Property and therefore admit the identity and the =as is where is basis> of the Property purchased by him with that comprised in the muniments offered by the Assignee as the title of the Property upon the e:idence afforded by the comparison of the description in the particulars and muniments respecti:ely. The Purchaser shall bear and pay all fees and expenses including but not limited to all legal fees, stamp duty, search fees and registration fees in connection with, incidental to or pursuant to the Assignment and all other documents necessary for effecting the transfer or assigning the beneficial ownership in the Property to the Purchaser. The Property is sold subject to all existing easements, leases, tenancies, occupiers, charges, ca:eats, pre:ious sale and purchase, pre:ious assignment, co:enants, liabilities subsisting thereon or thereo:er and the Purchaser shall be deemed to ha:e full 1nowledge of the state and condition of the Property. The Assignee has no notice or 1nowledge of any encroachment or that the 2o:ernment or other authority has any immediate intention of ac6uiring the whole or any part of the Property for roads or any impro:ement schemes and if such encroachment shall be found to exist or if the 2o:ernment or any local authority has any such intention, the same shall not annul any sale or shall any abatement or compensation be allowed in respect thereof. The Property is belie:ed and shall be ta1en to be correctly described and is sold subject to all express conditions, restrictions4in4interest, easements, leases, tenancies, occupiers, charges, ca:eats, pre:ious sale and purchase, pre:ious assignment, co:enants, liabilities (including but not limited to liabilities to local authorities incurred but not ascertained and any rates made but not demanded!, encumbrances and rights, (if any!, subsisting thereon or thereo:er without any obligation arising to define the same respecti:ely and the Purchaser shall be deemed to ha:e full 1nowledge of the state and conditions of the Property and no error, mis4statement, omission or mis4description shall annul the sale nor shall any compensation be allowed in respect thereof. In the e:ent of the sale being set aside for any reasons whatsoe:er by the Assignee or by an 9rder of court or consent not being obtained by the Purchaser from the ?e:eloper (if applicable! or any other rele:ant authorities (if applicable! (other than that due to any act of default and'or omission by the Purchaser! this sale shall become null and :oid and be of no further effect and the Assignee shall refund the deposit and other monies (if any, paid herein towards account of the purchase price by the Purchaser to the Assignee! to the Purchaser free of interest less costs and fees incurred by the Assignee in connection with or relating to the sale PROVIDED ALWAYS THAT the Purchaser shall ha:e prior thereto returned to the Assignee all documents, duly intact, which may ha:e been deli:ered pursuant to the sale, and if the Property has been effecti:ely assigned to the Purchaser, the Purchaser shall ha:e effecti:ely re4 assigned the Property bac1 to the Assignee. The Purchaser shall not be entitled to any claim and demand whatsoe:er against the Assignee, the -olicitors, the Auctioneer or any other party on account thereof. A certificate by an officer of the Assignee :erifying such expenses and'or fees shall be final and conclusi:e and shall be binding on the Purchaser. 8pon refund by the Assignee under this clause, the Purchaser shall ha:e no other or further claims, demands whatsoe:er in nature and howsoe:er caused against the Assignee, its -olicitors and the Auctioneer or their respecti:e ser:ants or agents. The Property shall be sold subject to the consent from the rele:ant authorities (if applicable!. In the e:ent the consent from the ?e:eloper and'or other rele:ant authorities shall be granted subject to conditions which are not acceptable to the Assignee, the Assignee shall be entitled to terminate the sale in its absolute discretion whereupon the sale shall be terminated and the Assignee shall refund all monies paid by the Purchaser towards the purchase price free of interest less all costs and fees incurred by the Assignee in connection with or in relation to the sale herein PROVIDED ALWAYS THAT the Purchaser shall ha:e prior thereto returned to the Assignee all documents, duly intact, which may ha:e been deli:ered pursuant to the sale and if the Property has been effecti:ely assigned to the Purchaser, the Purchaser shall ha:e effecti:ely re4assigned the Property bac1 to the Assignee. In the e:ent that the sale is terminated for any reasons whatsoe:er, the Purchaser if :acant possession of the Property has been deli:ered, shall redeli:er :acant possession of the Property to the Assignee at the costs of the Purchaser immediately upon such termination. 3or the purpose of these conditions, the time allowed by the conditions for the payment of the balance of the purchase money shall be deemed to be the essence of the contract.
