Artist-Agent Agreement

This Artist-Agent Agreement is entered into this ___day of __________20____, by and between _______________________ (hereinafter referred to as the Artist), whose mailing address is: ________________________________________________________________________________ (Address) (City) (State) (Zip) (Country) and Collectors Artists (hereinafter referred to as the Agent) whose mailing address: ________________________________________________________________________________. (Address) (City) (State) (Zip) (Country) Recitals WHEREAS, the Artist is an established artist of proven talents; and WHEREAS, the Artist wishes to have the Agent represent them in marketing certain rights enumerated herein; and WHEREAS, the Agent is capable of marketing the artwork produced by the Artist; and WHEREAS, the Agent had approved the quality of the art and wishes to represent the Artist; NOW, THEREFORE, in consideration of the foregoing premises and the mutual covenants hereinafter set forth and other valuable consideration, the parties hereto agree as follows: Agreements 1. Agency. The Artist appoints the Agent to act as their non-exclusive representation of their art online with the right to cancel according to the terms in Paragraph 9 below. 2. Promotion. Agent will promote the Artist by offering sales or special offers online (both of which will be negotiated with the Artist prior to being offered online). 3. Handling the Art. The Artist shall provide the Agent with images of the originals to be posted on the Agents website. These images shall remain the property of the Artist. The images will removed when they have been sold. If the Artist sells any of the artwork Agent has agreed listed for sell on their behalf, Artist is responsible to tell Agent as soon as the art has been sold, so that Agent can promptly remove the image from their website. 4. Commissions. The Agent shall be entitled to a thirty-five percent (35%) commission from the total purchase price of each sale secured by the Agent during the term of this Agreement. It is understood by both parties that no commission shall be paid on any sale rejected by the Artist or for which the Artist fails to receive payment, regardless of the reason payment is not made. Agent will deduct their

commission from the payment received from the purchaser and the remaining balance will be paid to Artist at the time Artist delivers the piece(s) of art to the Agent to ship to the purchaser. 5. Accountings. Agent will present Artist with an invoice at the sold art is delivered to the Agent. If requested, Agent shall also provide the Artist with semiannual accountings showing all assignments for the period, the fees paid, expenses incurred by the Agent, the dates of payment, the amounts on which the Agent's commissions are to be calculated, and the sums due less those amounts already paid. 6. Inspection of the Books and Records. The Agent shall keep the books and records for all sale(s) for a period of three years and shall permit the Artist to inspect the books and records during normal business hours, when given one weeks notice from the Artist. 7. Termination. This Agreement may be terminated by either party by giving thirty (30) days written notice to the other party. 8. Assignment. This Agreement shall not be assigned by either of the parties hereto. It shall be binding on and inure to the benefit of the successors, administrators, executors, or heirs of the Agent and Artist. 9. Liability. Artist agrees Agent is not liable if any of Artists artwork does not sell. 11. Dispute Resolution. Any disputes in excess of $10,000.00 (the maximum limit for small claims court in California) arising out of this Agreement shall be submitted to binding arbitration before the Joint Ethics Committee or a mutually agreed upon arbitrator pursuant to the rules of the American Arbitration Association. The Arbitrator's award shall be final and judgment may be entered in any court having jurisdiction thereof.

12. Notices. All notices shall be given to the parties at their respective addresses set forth above. 13. Independent Contractor Status. Both parties agree that the Agent is acting as an independent contractor. This Agreement is not an employment agreement, nor does it constitute a joint venture or partnership between the Artist and Agent. 14. Amendments and Merger. All amendments to this Agreement must be written. This Agreement incorporates the entire understanding of the parties. 15. Governing Law. This Agreement shall be governed by the laws of the State of California only. IN WITNESS WHEREOF, the parties have signed this Artist-Agent Agreement as of the date first above written.
