TERMS OF EMPLOYMENT Your employment forAccen

ture Services Private Limited (Companyo r Accenture) will be governed by Company's policies,asmodified,fr om time to timeand at Companys sole discretion,upon notice to you.The terms and conditions

contained herein(Terms of Employment)must be read as a part ofall ofthe Companys current policies.These Terms of Employment and the policies shall be subject to modifications,from

time to time,upon noticeto you. 1.Probation 1.1You shall be on probatio n for a period of onehundred and eighty (180) daysfrom theeffectivestart date of your employment

with Company.Company may, in its sole discretion,at anytimeextend this period of probation for an additional period of ninety(90) daysupon notice to you.1.2You acknowledge and a gree that Company

hasoffered you employmentbased onthe specificinformation and records furnished by youoron your behalf. You will provide or arrange to have providedanyinformati on and/or grant any

consent or permission require d by Company and/or its agentsfrom time to timeto verify any such informationand/or records and/or perform anybackground and/or reference check

s. If,at any time, Company be lieves,in its sole discretion,that there is a discrepancyor inaccu racyin orwith respe ct toanyinformation furnished by you or on your behalf, includinganyinformati

on, documents or certificatesprovided as a proof of your qualifications and experience,orifyoufail to cooperate with Company and/or its agents inconducting such verification and/or backgroundand/or

reference checks, Company may, in its solediscretion, elect toterminate orsuspend your employment immediately.1.3Unle ss otherwise communicated to you by Company,the

probation period shall expire one hundred andeighty(180) days afteryour effective start date,unless the probationperiod is extended for anadditional ninety (90) dayperiod, in which case, the probation period s

hall expire two hundre d seventy(270) daysafter youreffective start date.1.4Notwithstan ding anything contai ned herein, duringyo ur probationperiod,Com pany may terminate your employmentupon

thirty (30) days notice to you, withorwithout cause, and withorwithout st ating anyreasons whatsoever.1.5If you desire to terminate your employment d uringthe probationperiod,you shall provide

Companythirty (30) dayspriorwritten notice with reasons for such termination. 2 . D u t i e s 2.1The roles, responsibilities and duties appropria te toyour designationoryour employment, will

bespecified byCompa nyfrom time to time. Companymay at anytime,in its sole discretion,uponnotic e toyou, alter or otherwise modifythese roles,responsibilities a nd duties. Further, at anyt

ime, youmaybe required to provide services, directly or indirectly, toCompanyand its af filiatesand their empl oyees, contractorsand clients. 3.Hours of W ork

3.1A working day shall comprise ei g h t ( 8 ) h o u r s , irrespe ctive of shifts,and a break for an hour(in theaggregate).3.2You maybe required to work on a shift basi s. Shiftsmaybe scheduled across twe nty-

four (24)hours aday, s even (7)days a week and threehundred andsixtyfive (365)days a year, subject to applicablelaws. Company may, at any time and in its solediscretion, change theshift timings upon

notice toyou.3.3Company may at any time,in its sole discretion,requ ireyou to work beyond eight (8) hoursa dayupon notice to you.

4.Place of Empl oyment 4.1You acknowled ge and agree that you may beassigned, transferred or deputed to offices,departments or units of Company and/orits affiliatesand/ortheir contractors and

clients, whether in Indiaorabroad. In t he event of any such assignment,transfer or deputation, you may be required toconsent to and/or agree to certain other agreements or policies applicable to such an assignment,

deputationortransfer. 4.2In the event of any assign ment, transfer or de putationof your services, your salary and other benefits may be adjusted in acc ordance with Compan ys policieswith respect to such an

assignment, transfer or deputation. 5.Traveland Ex penses 5.1You may be req uired to travel, whether inoraroundIndia or overseas, in connection with your employmentwith

Company upon short noticeto you.While travellingf orwork,your expenses and costs inconnection with such travel and any other expensesincurred by you during the course of your employment

will be reimbursed in accordance withthe current travel and expense policy of Company.You are expected to keep your passport valid at alltimes. 6.Salary and Be nefits

6.1Your compensat ionwill be reviewed on an ann ual basisand your sala ry maybe adjusted, de pendingupon various factors, including yourperformanceduri ng the preceding performance period.
