TV Agreement regarding Broadcasting / Transmission rights

Preface: Rights Owner is owner of all exploitation rights regarding the contractual audio-visual recordings (hereinafter called video clips). Streetclip is especially active in the domain of the contractual video clips transmission rights on the contractual video clips under the terms and conditions agreed hereunder. The parties agreed in following: 1 Rights Owner herewith grants Streetclip the non-exclusive right to broadcast the contractual video clips worldwide on Web-TV (TV-program through the internet), terrestrial TV and On-Demand broadcasting for the contractual purposes (broadcasting rights). Streetclip is explicitly entitled to use or let use any known and available technology. Streetclip will broadcast/transmit the contractual video clips only via the so-called Streaming-technology. At this time no download possibilities regarding the contractual video clips will be offered to the users. In the event such offer will be integrated on the internet presence of Streetclip the parties will enter into a separate agreement. Furthermore Streetclip is entitled to duplicate the contractual video clips for security reasons (security copy) and archive purposes. The video clips will not be handed over to third parties/third persons. Under no circumstances Streetclip is obligated to broadcast/transmit the contractual video clips. Furthermore there are no guarantees about certain number of transmission/broadcast-rotation of the contractual video clips. The decision about time, duration and numbers of broadcast of the video clips is the own decision of Streetclip. For the avoidance of doubts the parties clarify that Rights Owner will have no remuneration for the broadcast/transmission of the video clips under this agreement. 2 The music on this video is copyright protected: yes ___ / no ___ (please mark) If yes, please notate GEMA/MCPS/Copyright-No.: __________________ For the avoidance of doubts the parties clarify that payments to copyrights societies shall be born by Streetclip.

(* in the event of more videos, please add a separate list which each sheet signed again to this agreement). 4 The rights under this agreement will be transferred for a period of 2 years upon signature of this agreement and delivery of the contractual video clips. If not cancelled by the rights owner in written form latest 2 months before end, the contract will be valuable for one more year after. 5 Rights Owner confirms that he is entitled to enter into this agreement. Rights Owner especially guarantees towards Streetclip that he is in possession of all necessary rights regarding all participants and other rights owners in the contractual video clips, especially regarding artists, producers, directors, camera-men etc. Rights Owner holds free and harmless (indemnify) Streetclip in regards of the above mentioned guarantees from all claims of third parties including reasonable attorney fees. 6 The agreement is subject to German law. Place of jurisdiction for all claims arising out of this agreement is Speyer (Germany) as far as permissible. No change or amendment of this Agreement shall be binding unless confirmed by both parties in writing. If a provision of this Agreement, wholly or partly, becomes invalid, the remaining provisions remain unaffected thereby. The invalid provision shall be replaced by a valid provision which comes closest to the economical purpose of the invalid provision.

General informations for delivery

Delivery with data carriers or tape material are only accepted in formats mentioned above and with a complete filled and signed Broadcast-Agreement send by post (no email or data transfer!) to the address below. Usually the clips will be broadcasted at their original length. In the event a video clip will exceed a duration of 4:20 minutes, Street Clip is entitled to shortened the specific video clip on its own discretion. Street Clip is also entitled to refuse the broadcast/transmission of video clips without giving any reason. Advice: Photos of the artist of the video clip together with a little information about the artist/band helps and will make it easier to mention the band during the presentation. __________________________________________________________________________
