Our Role in the Piling Market


ROMTECH is the UKs premier supplier of pile reinforcement. This includes: Factory manufactured pile cages to BS 7123 Cage Former Systems for the rapid, accurate site steelfixing option to UK CARES Technical Approval Document TA5/5010 : 2005 Loose rebar, rings and helical to BS 4449:2005 LOLER Compliant offload / stillage system to avoid working at height on the trailer deck. Safe Splice Safety orientated Pile Cage fastening system for the Rotary Piling Technique All factory prefabricated pile cages conform to UK CARES Assessment Schedule 10 by which we mean that we design the fillet welds between bands and cage rebars to give an acceptable factor of safety for cage lifting and installation. We inspect finished cages in order to ensure cage compliance against this temporary works design. All factory tackwelds comply with UK CARES Assessment Schedule 6 ensuring against rebar embrittlement so reducing site liability during pile trimming. ROMTECH produces CAD drawings of rebar cages prior to contracts starting. This enables prior approval of the actual cage to be used, as well as being a works instruction, a site inspection instruction and finally an as-built record of the steel components within the pile. We at ROMTECH are used to working between the late arrival of design information and the unremitting deadline of imminent cage delivery. Whichever ROMTECH product option is selected, our aims are to ensure product compliance with the latest Health and Safety Legislation, high site productivity and freedom from metallurgical defects; the whole package presenting itself as a cost-effective solution. Should future sites demand solutions which are beyond the scope of our existing product lines, then we would work with site to either modify these or develop fresh solutions. We regularly attend sites and carry out toolbox talks to personnel and compile Method Statements in order to ensure correct product usage. Finally, ROMTECH is well-versed and experienced at operating within such a demanding environment. The use of Bulldog grips was prohibited because of the hazards of manually fitting them with operators hands passing inside both the trapped-off and suspended pile cages. Defines the exact cage format by producing a working drawing using customer contract documents. This usually takes place a few days prior to delivery of the relevant cage type and enables all parties to progress forward from the original contract rebar drawing/schedule stage. The drawing will cover the scheduled main and transverse reinforcing bars and cage dimensions but can also include lifting points, skid spacer locations, debonding isofoam, sonic coring/inclinometer pipes and couplers. Where clamped cage formers are used, the drawing will state the recommended torque setting.

Rock Bolting

Ground Anchors and Piles can be used to provide Global Stability in an Earthworks structure. They (unlike Soil Nails) are actively loaded from the onset. Temporary uses include tie backs to sheet piles, and temporary works stabilisation of open excavations during contract period.

Installed on a grillage, lightly-loaded, with a short shank length and without pre-tensioning. Hollow self drill option is quick and easy to install (drill, flush and grout in one operation). Harder drill bit (eg. Tungsten Carbide Button Bits) are also available. The product is also suitable for connecting friable surface material to hard substrate.

Micro Piling

Spile Applications

Stabilises existing structures through underpinning where installation access (both horizontal and vertical) is limited. Principle is that of single central bar and ability to couple this. Other applications include the upgrading of strip footings, stanchion bases and Network Rail power gantry bases.

Stabilise shallow depth ex-foliated rockface by tying back to the stable rock above, in preparation work for N.A.T.M. technique. Hollowbar format provides conduit for grouting. Exposed ends can be used to bolt on and support further reinforcement layers.

ROMTECHs Hollow Bar system is a continuously threaded left handed steel bar which can be drilled and grouted into loose, unstable and collapsing ground. The steel is a hollow configuration to allow for simultaneous drilling and grouting, a technique designed for eliminating the need for pre-casing, therefore increasing the installation rate. Produced from hollow steel tubular raw material, the bar is cold rolled into a standard ISO rope thread during which the formation of steel is enhanced, providing the yield strength. ROMTECH Geotechnical supplies components for stressing and testing soil nails either to buy or to hire. The photograph below shows a typical layout, but we can also supply specialist equipment such as electric pumps, various jacking columns and specially manufactured frames to your specification. The anchor traction tests are made with a hydraulic cylinder (6) which is set under pressure by a hydraulic manual pump (9). The relative force is indicated on a manometer in tons. More exact values (5%) can be obtained using an additional dynamometer box. The entire system is easily to transport, simple to handle and needs neither compressed air not current. Preparation

Tie backs Due to the high variety of steel qualities and diameters, our threadbar system can fulfil the requirements of the different tie rod construction designs in an optimal way. Main applications of tie rods are bracing for embankments, sheet-pile, shed-roof and frame structures, as well as tie back retaining walls.

Pre-stressed Soil and Rock Anchors Anchors are elements which introduce compression forces into the ground through tension members. For this, the anchorage head conducts the forces into the grouted body, which transfers the load safely into the surrounding material. Main areas of applications of Pre-stressed soil and rock anchors are slopes, embankments, excavations as well as cavern and tunnel construction. Anchor with single and double corrosion protection components: Threadbar Dome Nut Anchor Plate Pipe Socket Smooth Sheathing Cement Grout Spacer Injection and Protection Cap Corrosion Grease Vent Cap Corrugated Sheathing End Cap Post Tensioning System There has been a continuous development of the threadbar product into the various post tensioning applications inherent in glued, segmental bridge construction. Such techniques using various methods of cantilevering and incremental launching rely on the post tensioning bars for the longitudinal and transverse connection of segments both in the temporary and permanent sense. The ease of installing and stressing threadbar lends itself to applying a triaxial stress field to the concrete. This, as a means of crack control makes threadbar a prime candidate for marine applications.

Care should be taken when transporting the nails to the fabrication yard and from the yard to the borehole. The nails should be adequately supported (bracing or support at a maximum distance of 1.5 - 3.0m depending on diameter of bar) so as not to damage the pre-grouting. 2. To avoid bending the bar by lifting it, check carefully and if necessary, reduce distance of support. 3. During transport, the nails should be laid flat on suitable transport and with supports between the layers of nails. Care should be taken not to knock the nails so as to avoid the pre-grouting cracking. 4. The nails can be lifted and transported by crane with a brace of lifting device on the air-sided end of the bar (ring nut etc.). Take care that by lifting the bar does not bend and the end does not slip on the ground. All cages are labelled for ease of identification, and are supplied with a layout drawing for accuracy and speed of placement. Splice bars are loose-tied inside the relevant cage Prefabrication offers a reduction in the need for skilled labour, which can lead to a reduction in programme, a reduction in waste caused by unforced errors, and an improvement in site Health and Safety. A key benefit of ROMTECH prefabrication is that semi - skilled site operatives are able to install cages in a few hours rather than the normal 1-2 days of the loose rebar option. Deliveries can be phased to an agreed programme: this being particularly useful in tight or restricted sites. Colour coded labels can be factory fitted for easy site identification of delivered components. Using customers General Arrangement (GA) and Reinforced Concrete (RC) drawings and schedules, we identify the opportunities for rebar prefabrication where appropriate. By liaising with The Engineer, we are able to provide alternative solutions which offer commercial cogency in terms of programme and site productivity. In addition, fewer prefabricated components of known weight & size, mean fewer, better organised site operations, leading to significant benefits in site Health and Safety. Such objectives are achieved for groundbeams by detailing for maximum prefab cage length with a minimum of loose rebar cage to cage connections. The provision of factory welded skid spacers provides soffit support to beam cages off the blinding and avoids the site fitting of separate spacer units. The colour coding of prefab beam elements, as depicted on the ROMTECH layout plan, offers the possibility of rapid, accurate site - installation. In addition, the LOLER - compliant cage offload system allows the consignment to be removed without the need to climb onto the vehicle deck. ROMTECH Shear Ladders avoid the usual sausage link detail which requires loose rebar upper and lower reinforcement layers in two way spanning suspended slabs. This product therefore permits the use of heavy prefabricated mesh layers above and below while furnishing both an adequate punching shear resistance in the finished slab and an effective means of spacing upper and lower mesh around the column head. In the case of retaining walls and suspended slabs, ROMTECH can offer the options of various bar diameters and centres, staggered bar locations and flying ends within its individual prefabricated mesh or mattress units. The main site benefits of these features are a reduced site installation period, an alleviation of congestion at laps and a reduction of the working at height element.

Beamform Permanent Formwork


Developed in the mid nineties by Construction professionals, Beamform is manufactured from high density expanded polystyrene which ensures robustness for back filling purposes. In excess of one million units have been successfully installed to date. This simple, one component system, is an ideal solution for numerous formwork applications and utilises unskilled labour with no specialist plant requirements. Beamform is ideally suited for use with ROMTECH prefabricated cages and offers significant time savings on construction program cycles, with minimum waste, when compared to traditional methods and other sacrificial systems. Available Ex-stock, delivered to site palletised, Beamform is supplied in heights ranging from 350mm to 750mm in 50mm increments and may be stacked where depths of pilecaps or beams exceed the maximum unit height. Beamform by nature is light but strong, allowing easy positioning by one unskilled person, who will be able to install in excess of 250m per day, safely and quickly. The correct installation is helped by the tongue/grooved ends for the self location of adjacent units; this complying with Best Practice Guidelines relating to formwork. Formwork must have a continuous line and shape before, during and after the concrete pour The inherent strength of Beamform allows the excavated material from site to be reinstated as backfill, rather than importing material at an additional cost. Since Beamform is installed after the reinforcement, specified cover is achieved by the use of Grippa Plate Spacers which clip on to the links. Once backfilled safe, unimpeded access for all other trades working on site results. The speed of installation ensures that open trenches, subject to adverse weather conditions become a thing of the past. Although initially being designed for use below ground on sites with ring beams and pile caps, the versatility of Beamform has meant that users have enjoyed the same benefits above ground, on toe beam rafts, pad foundations, stepped footings, radius beams, unreinforced foundations (to save otherwise wasted concrete) and reinforced concrete slabs. Method statements are available on request for all applications of this easy to use, versatile formwork system, but general use in a groundbeam situation would incorporate the following steps. 1. Blind bottom of trench. 2. Place spacer bars onto cured blinding. Lift prefab cages into place and connect cage ends using integral loose tie bars. Clipon Grippa Plate spacers to ensure the correct side cover. 3. Offer Beamform units up to spacers. Units will self locate against each other with tongue/grooved ends, cutting units to suit where necessary (save off-cut for use elsewhere where possible). 4. Backfill behind units to hold in place, leaving safe unimpeded access for following trades. 5. Pour concrete. For new users, we offer a free of charge on-site demonstration, which includes site operative training on the correct usage of the product. During many years of supplying Beamform, we have rarely been on site longer than an hour; unskilled site operatives quickly grasping the simplicity of its concept and applications.

Since Beamform is 120mm thick, the customer will be able to stack units where depths exceed the maximum height available (750mm). This is achieved quickly, safely, accurately and very easily. An example of how this works is shown below, where Beamform was used on a Hypermarket development which had 900mm deep pile caps and 600mm deep beams to the perimeter of the new store. From General Arrangement (GA), Reinforced Concrete (RC) drawings in conjunction with Bar Schedules, we were able to do a complete take-off of Beamform units, prefab cages and required spacers. The Beamform units are installed in the normal manner as previously described. Where the units are stacked around the pilecaps they tie in to the units on the beams with the tongue/grooved ends. In this instance, by utilising ROMTECH prefab cages and Beamform, the Contractor not only recovered a two week programme slippage, but completed the pour of the perimeter beam foundation three weeks ahead of programme, without losing any quality on the finished product. Since completing this contract, the Contractor has continued to use both ROMTECH prefab cages and Beamform on all suitable projects. Indeed, this company builds in the speed of installation advantages over traditional methods when tendering for work; thus giving them a distinct advantage over competitors. A further way in which we can demonstrate the flexibility of Beamform is in its utilisation to form toe beams at a raft edge. The pictures below show a semi detached house plot on a major UK house builders site. The house builder was concerned with the program delays and waste being generated by using traditional methods of construction (strip/bent mesh, Z bars, straight rebar and standard sheets of mesh). This particular house type required 4-5 days to complete, allowing concrete to cure between 2 pours, with materials costing 562 (6 uses allowed on timber formwork) and labour costing 606 (Total cost of 1168). The ROMTECH solution was to re-design the house type to incorporate prefabricated toe beam cages, Beamform permanent formwork and mesh manufactured to suit the house type as an improved method of construction. Approval was given on the re-design by both the Structural Engineer and the NHBC. The material cost for these components was 771 and these were installed in 1 day at a labour cost of 230 (Total cost of 1001). Since there were 150 houses on this site to complete, with varying house types, it soon became apparent to the house builder that our method was the way forward. This was proved by the fact that the savings on this house type alone, due to the change in the method of construction, meant that the remaining plots of this type (21No), were in effect FREE OF CHARGE. The effect on programme, (4 plots of this type prepared Monday to Thursday and all poured Friday), meant that the following trades were not competing for space, plant or other machinery. The financial savings to the house builder relating to finance and interest charges were such that this is now their preferred method of construction. The differences between the two forms of construction can clearly be seen from the photographs below. These show how modern methods of construction in conjunction with Value Engineering, off-site Prefabrication, Best Practice and ROMTECH Groundworks experience can clearly demonstrate that the cheapest price is not always the best value.

Beamform is one of the most adaptable, versatile, easy to use, quick to install and environmentally friendly permanent formwork systems available today. The benefits of using Beamform as the preferred method of groundbeam formwork are extremely varied and are shared by the Client, Contractor and Groundworker. These parties can be confident that they are using a product which has been successfully used for the past decade, is suitable and fit for purpose, reduces waste, reduces programme, reduces the need for skilled tradesmen and improves Health and Safety. The pictures below demonstrate just how flexible and adaptable Beamform really is, whilst still maintaining concrete cover without any loss of quality in the finished foundation. Radius beams are no more difficult than straight beams. If necessary units can be scored on their outside face to open up to follow the line of the reinforcement. Stepped beam units are sufficiently strong and stiff so as to sit across connecting beams at step ends. They can be propped or tied into place using lacer bars allowing the stepped foundations to be monolithically poured. As well as being stacked, units can be stood on end. 2 units 750mm deep giving a formwork panel size of 1m x 1.5m. Acute or obtuse angles and triple pile caps are easy to install without the need for special corner pieces. Units can be used in un-reinforced trenches to save on wasted concrete. Single site operatives are able, with minimum supervision, to install in excess of 250m of Beamform per day

Clay Heave

Compressible Material Solutions


Clay heave is the term given to the expansion of clay material due to increase in moisture content and can be caused by the re-hydration of desiccated soil, climate, water courses, vegetation/tree roots or the removal of overburden resulting in volume increase. Solutions to clay heave are either to suspend structures above the expansive soil or incorporate anti-heave materials. Anti-heave materials can either be collapsible/bio-degradeable cellular materials or compressible materials. ROMTECHs solution to potential clay heave problems is to offer our Clients compressible material in the form of Clayshield and Castellated Clayshield. CLAYSHIELD Clayshield is manufactured from expanded, low density EPS and is normally used below and to the sides of ground beams, and fixed to the walls in deep trench foundations. It has been designed to form a buffer between the soil and the structure, compressing with the soil movement and thus alleviating the pressure on the foundation. It is light, easy to install in all weathers, does not degrade, is resistant to water, is unaffected by extremes in temperature, remains effective for the life of the building and can either be supplied in sheets, or cut to suit the depth of foundation and beam sides. Various thicknesses are available from 50mm upwards to ensure the correct void requirement is achieved. Clayshield products are not recommended for use below floor slabs since this could result in serious damage to the slab when clay heave occurs. CLAYSHIELD PRESTIGE ROMTECH Groundworks are able to offer our Clients the latest innovation to be developed with regard to ground movement solutions, Clayshield Prestige. Clayshield Prestige is the next generation of Clayshield, having a highly resilient polypropylene layer bonded to the inner face of the board, to protect it before and during the installation process. External and internal corners are achieved quickly by simply cutting the board to the depth of the polypropylene layer. The Clayshield Prestige can then be bent around the corners as shown in the photos below, with the polypropylene ensuring that the board is held together and no concrete is lost during the pour. Clayshield Prestige is available pre-cut to suit the depth of the foundations or in sheet form to be cut on site, in the same thicknesses as normal Clayshield board. The development of a new fixing tool which enables deep fill trench protection to be installed, without the need for site operatives to enter the trench, completes the package.

Fillshield
ROMTECH Fillshield, manufactured from EPS, is another proven product within the Groundworks portfolio and is aimed predominantly at Civil Engineering Contractors for use in road or embankment construction. When constructing roads in difficult ground conditions, subsidence is often a problem. EPS is a lightweight, nondecaying, low water absorbing material, which prevents the effects of ground movement, and has several advantages over traditional material such as bark, sawdust or clay aggregate. Fillshield EPS will act indefinitely as an effective construction material during the lifetime of the project. ROMTECH Fillshield is available in 5 different grades to suit different applications, with compressive strengths ranging from 55kPa to 200kPa. None flame retardant grades are supplied as standard, in blocks of 2400 x 1200 x 600mm or 1600 x 1200 x 600mm, but flame retardant grades are available upon request. Availability is approximately 10 days, dependent upon grade, quantity and delivery address. THERMAFLOR

THERMAFLOR PART L INSULATED SUSPENDED SLAB SYSTEM


Thermaflor is a new, innovative product in the ROMTECH Groundworks portfolio of fast track build solutions. Manufactured on one of the largest EPS machines in the UK, Thermaflor has been developed to comply with Part L Building Regulations Insulation of Ground Floors, to suspended slabs initially, although trials are currently being carried out on ground supported slabs and sites with Clay heave potential. Accepted by the NHBC as complying with their standards, approved and certified by the British Research Establishment (Report RCB326A Thermal Performance of Ground Floor Design), Thermaflor offers a considerable reduction in the construction program and an improvement in Health and Safety. A 50sq.m suspended slab can be installed and poured in 8 hours, as opposed to the 40 or more hours that are needed for a conventional pot and beam insulation and screed floor, due to the very much reduced but simplified stages of construction. The inherent benefits of this are a reduction in programme, reduced finance charges for the developer, reduced labour costs for the groundworker (unskilled labour used), improvement in Health and Safety (units are light to handle and require no plant to lift into place) and a reduction in the amount of oversite to be removed. Thermaflor is available ex-stock and is made up of three component parts; a perimeter edge piece (150mm x 120mm x 1m), a raft unit (1m x 1m x 200mm) and an infill strip (250mm x 50mm x 1m); allowing quick and easy quantification. Thermaflor is available in 4 different densities to withstand loadings from 5 12.5kN/sq.m and is delivered to site palletised for ease of storage. THERMAFLOR PART L INSULATED SUSPENDED SLAB SYSTEM


Once the foundations are poured and the inside skin of blockwork completed to DPM level, (less the thickness of the slab), the face brickwork can be brought up to or past DPM to act as an outside edge shutter. The services can be installed and the oversite firmly compacted to 200mm below the bottom of the slab level. Installation of the Thermaflor now takes place in the following manner:1. Working from the inside face of blockwork. Take an Edge Block module, saw it in half and place the cut edge into the corner of the blockwork. Place Edge Block Modules along the face of blockwork until the next corner is reached. At this point taking the off-cut block from the first placing, cut to fit tightly (15mm oversize) into corner. Repeat the operation, this time cutting a new Edge Block module to fit squarely against the Edge Block already laid, into corner.

There will now be a continuous row of Edge Block modules forming insulation around the inside face of blockwork.

2. Place a Thermaflor raft unit into each corner with the overlap ledges sitting squarely onto the Edge Block modules previously installed. Place further raft units from each corner towards the centre of the proposed slab. If they do not meet exactly, cut to suit as before (Thermaflor has a unique edge and lap profile allowing easy, quick and accurate placing without the need of skilled labour or plant associated with other methods).

Once all raft units are installed, there will remain a cruciform gutter. These are infilled using the infill panels provided, cutting to suit as previously.

3. The future slab now has a continuous layer of insulation as well as a permanent shutter on which to pour the concrete. Insulation can now be placed into the wall cavity at a level which is above the proposed slab upper surface. The DPM or other membranes may be laid (to specification) directly onto the Thermaflor. Then mesh can be placed on suitable spacers ready for concreting.

Reinforcement Connection
The STARTABOX System

The STARTABOX System is a rapid, safe method of achieving high quality reinforcement connections in a structural concrete joint without formwork damage. It consists of specially selected high yield reinforcement steel conforming to BS 4449 housed in a perforated case with a tear-off plastic cover which protects the reinforcement until it is required for use. Speed STARTABOX is quickly nailed into the formwork. There is no need for timeconsuming drilling and cutting of the formwork. The formwork can be easily struck and re-erected thereby reducing intervals between pours. Safe The steel starter bars are housed within their case until ready for use. There are no protruding bars which may corrode or become damaged and present a hazard to workmen. Cost The formwork suffers no damage and therefore may be re-used many times. This contrasts with normal stop-ends which only offer one use. Quality Traditional stop-ends often suffer grout loss. STARTABOX is nailed to plain formwork and does not suffer the same problem. This means that STARTABOX will deliver a high quality construction joint every time. Site Take off and scheduling service available

Curved STARTABOX STARTABOX can be manufactured to a customers desired internal or external radius. A typical situation would be the use of STARTABOX in the construction of launder channels in round tanks in the water treatment industry. STARTABOX with Integral Waterstop (STARTASTOP) STARTABOX can be manufactured incorporating a hydrophilic waterstop strip on both the internal and external face of the casing. This is especially useful for construction joints in below ground situations or within water retaining structures. The hydrophilic strip used is passed for use in potable water situations. STARTABOX Coupler Combinations Where reinforcement bar diameters or congestion of reinforcement bar restricts the use of STARTABOX. We can manufacture and supply a reinforcement bar coupler system. These couplers can be detailed in conjunction with STARTABOX and can even be included in the same joint detail. STARTABOX Cross Wall Connection Where two walls bisect each other STARTABOX can be manufactured to accommodate the pull out bars for both faces of a wall in one single strip. The ROMTECH Groundworks division were asked by one of our regular Clients to try to speed up the construction program on one of their sites, which had started late due to last minute design changes. As a regular user of our fast track products, particularly Beamform permanent formwork, they knew that they could make up this time, but realized from past experience, that tying concrete spacer blocks onto pile cap steel was a slow, labour intensive process. What they needed was a simple, quick solution, and could we help? The problem we needed to overcome related to how to achieve the specified cover to pile caps, which were designed with T16 (anti-bursting), T20, T25 & T32 bars and ground beam intersections which had T16 top splice bars and T20 bottom splice bars, when no suitable spacers were available to clip on the bars (due to the large bar diameters). Our solution was to manufacture a hang-on ladder spacer utilising the skid spacers which we incorporate into our cage formers. These were manufactured with a hook designed to hang on the mid external anti-bursting bar around the pile caps, with a width to give the best possible standard size to suit the different pile cap sizes on site. After initial site testing for suitability, the client placed an order and successfully used these to speed up the construction program. The pictures below show a pile cap of size, 2.4m x 1.5m x 0.75m, for which the manual tying of the specified square bar spacers onto the cage sides was taking an hour for two persons. Our hang-on ladder spacers were taking under a minute to position in place, for a whole base. Beamform was installed in 5 minutes and backfilling took 15 minutes. Our client has since placed further orders for this engineered product on other selected sites which were experiencing similarproblems.

ROMTECH Limited Terms And Conditions Of Trading 1. Interpretation In these Conditions (unless the context otherwise requires) the following words shall have the following meanings: Buyer means a person to whom the Seller supplies or is to supply Goods and Services pursuant to a Contract; British Standards means those standards set by the British Standards Institute applicable to the Goods and Services; Conditions means these terms and conditions of sale; Contract means a contract for the sale of Goods and Services made by or on behalf of the Seller with a Buyer; Goods means the goods which the Seller supplies pursuant to a Contract; Services means the services which the Seller provides pursuant to a Contract; Seller means ROMTECH Limited a company registered in England and Wales under number 3719493 whose registered office is at Eastaern Avenue, Trent Valley, Lichfield WS13 6NR; Working Day means any day from Monday to Friday (inclusive) which is not Christmas Day, Good Friday or a statutory holiday in England. 2. General 2.1 These Conditions are to apply in preference to and supersede any terms and conditions referred to offered or relied on by the parties whether in negotiation or at any stage in the dealings between the Seller and Buyer with reference to the Goods to which this Contract relates. They represent the entire agreement between the parties. Without prejudice to the generality of the foregoing the Seller will not be bound by any standard or printed terms furnished by the Buyer in any document unless such terms are accepted in writing by a duly authorised executive of the Seller. No oral variation of these Conditions can be agreed in any circumstances. 2.2 Any representations made prior to the formulation of the Contract, including any literature, descriptions, specifications, oral or written statements or any combination, the Buyer hereby acknowledges were not relied on by him. The Buyer hereby acknowledges that he has not entered into this Contract on the basis of any representation, made oral or in writing, by the Seller, its employees or agents and that he therefore relied on his judgment alone when entering into the Contract. 2.3 In the event of delivery being delayed by fire, accident, strikes, lockouts, delay in receipt of materials or bought-in goods or any other Condition beyond the reasonable control of the Seller, a reasonable extension of time for delivery shall be granted and the Buyer shall pay such reasonable extra charges as shall have been occasioned by the delay. However, the Seller shall have the right to suspend or terminate the Contract, on giving written notice. During any period of such suspension the Seller shall have the right to terminate the Contract, subject to further notice in writing. Where the Contract is suspended by the Seller all obligations imposed on either party by the contract shall be held in abeyance for the period of such suspension. Where the Seller elects to terminate the Contract, such termination shall not affect liabilities on the Buyers part which fell due before termination. 2.4 Any quotation is without engagement and is subject to written confirmation by the Seller on receipt of order. 2.5 The Sellers quotation (if any) is made on the understanding that the whole of the quantity of the Goods and/or Services quoted for will be ordered and supplied. Cancellation of all or part will not be valid unless accepted by the Seller in writing in which case the Seller will be entitled to revise its quotation. 2.6 Prices quoted are based upon current conditions, costs of labour, materials and statutory charges and are subject to increase without notice to take account of variations of alterations in the same. The Seller accordingly reserves the right to adjust the invoice in the event of any increase in the cost of materials, transport or of labour and/or take account of any other costs, which may arise as a result of legislation or by reason of any other event unknown to the Seller at the date of the quotation. 2.7 The following provisions shall apply to all Goods supplied: 2.7.1 There will be a minimum charge of 100.00 per invoice. 2.7.2 Any orders or call-offs consisting of Rebar under 8 tonnes per delivery or Fabric under 2 tonnes per delivery will attract an additional lump sum charge of not less than 50.00. 2.7.3 There will be an additional minimum charge of 60.00 per crane off-load delivery. 2.7.4 All other deliveries to a value of less than 400.00 will be subject to a minimum carriage charge of 50.00 per delivery. 2.7.5 Where the Buyer requests that the Goods be dispatched by Courier Express, TNT, British Rail, Red Star or similar means, carriage will be charged and payable at an agreed cost. 2.7.6 Any charges referred to in Condition 2.7.2 or 2.7.3 above shall be in addition to the Sellers standard carriage charges. 2.7.7 Rebar schedule amendments notified after receipt of original schedule will be charged at 25.00 per amendment or a lesser figure as may from time to time be agreed. 2.7.8 The Seller reserves the right to make a waiting time charge for the time during which a lorry making a delivery is held on site in excess of a period of one hour. 3. Delivery 3.1 Contract dates for the delivery or collection of the Goods or performance of the Services are to be accepted by the Buyer as estimates only and no action will lie for failure on the Sellers part, however caused, to meet any such dates. 3.2 Where the Buyer fails to accept delivery of the Goods, or fails to arrange for their collection at the agreed time, then the risk in such Goods is to lie with the Buyer and the Seller may, without prejudice to any other rights it may have, make such of the following provisions as it considers appropriate: 3.2.1 Store the Goods at the Buyers expense. 3.2.2 Insure the Goods at the Buyers expense. 3.2.3 Make additional charges for any further transport costs. 3.2.4 Proceed to sell the Goods, on giving written notice to the Buyer, and any loss suffered shall be debt owed by the Buyer to the Seller as though it were part of the invoice price. 3.2.5 Maintain a lien on any property of the Buyer with a right to sell any such property which is in the Sellers possession, until such time as the Buyer has paid in full all amounts outstanding. Where the Seller exercises its rights to sell, it will account to the Buyer for any surplus after allowing for all amounts outstanding and for any costs and expenses incurred in relation to the goods. The foregoing provisions are also to apply where delivery or collection of the goods has been delayed or deferred at the Buyers request, even though the Seller may have agreed to such request 3.3 Where the Goods have been received by the Buyer, whether or not such receipt of is acknowledged in writing, the Buyer hereby agrees that he will be deemed to have examined the Goods and to have accepted that they meet fully the obligations imposed by this Agreement on the Seller. 3.4 The following shall apply as to the place of delivery: 3.4.1 The place of delivery shall be such place as has been previously expressly agreed or implied, or where there is no indication, it shall be the Buyers usual place of business. 3.4.2 Where the place has been previously agreed, the Seller may, at its absolute discretion, agree to a request for alteration, the Buyer being responsible for any additional costs involved. 3.4.3 The foregoing provisions are without prejudice to the Sellers rights to change any place of delivery previously agreed. The Seller will bear any costs necessitated by such change by deduction from invoice price or other means, except where such changes arise from circumstances for which the Buyer could reasonably be held responsible. 3.5 Where a change of place is necessitated for reasons for which the Buyers is properly held responsible, and in the opinion of the Seller no suitable alternative place can be determined, then the contract may be terminated at the discretion of the Seller and in this event an action may be maintainable against the Buyer as a breach of Contract. 3.6 At the cost of the Buyer the Seller will arrange for the transportation of the Goods as the Buyers agent to the Buyer by a haulage company Such transportation costs shall be included on the invoice to the Seller for the Goods 3.7 Unless otherwise expressly agreed, the Seller may effect delivery in one or more instalments. If delivery is effected by instalments, each instalment shall be treated as a separate Contract.

3.8 Section 32(2) of the Sale of Goods Act 1979 does not apply and the Seller is not required to give the Buyer the notice specified in section 32(3) of that Act. 4. Warranty And Liability 4.1 Liability for short delivery, defective Goods, damage in transit or faulty workmanship will not be considered unless notification in writing is received by the Seller as follows: 4.1.1 In the case of Goods delivered by the Seller their servants or agents to site, or to the premises of the Buyer, within seven days of such delivery and on condition that the Goods so delivered shall be retained as delivered and made available for inspection by or on behalf of the Seller for a reasonable time after such notification. 4.1.2 In the case of materials collected from the Seller by or on behalf of the Buyer, within seven days of such collection and on condition that the materials so delivered shall be retained as delivered and made available for inspection by or on behalf of the Seller for a reasonable time after such notification. 4.1.3 In the case of Services carried out by the Seller on site, within seven days of the execution of such Services and before being concreted and/or permanently incorporated in the structure. 4.2 For the purposes of this Condition time shall be of the essence and in the absence of such notification as aforesaid the quantity and condition of the Goods delivered or collected as the case may be shall be deemed to be in all respects correct and satisfactory. 4.3 Except as set out in these Conditions, all conditions, warranties and representations, expressed or implied by statute, common law or otherwise, in relation to the supply, non supply or delay in supplying the Goods and Services are excluded to the extent permitted by law. 4.4 Steel reinforcement will be supplied in accordance with the relevant British Standard and applicable standards of UK CARES (or its successor body). Other Goods and Services will be supplied to the Sellers usual quality standard. No warranty as to fitness for purpose is to be implied for any Goods or Services. Tools, jigs or any other special equipment used in the course of manufacture or supply shall remain the property of the Seller. 4.5 It is agreed that a film of rust or mill scale on reinforcement will not constitute grounds for rejection. 4.6 No representation or statement made or purporting to be made by any person on the Sellers behalf shall be binding unless subsequently confirmed in writing by the Seller. 4.7 The Sellers liability in respect of any defective Goods or Services supplied by them or faulty workmanship regarding which a valid claim has been made under Condition 14 hereof will be limited to the delivery to site at the Sellers expense of Goods to replace the defective Goods or re-perform the Services or the remedy of the faulty workmanship and will not extend to any other damage or loss suffered by the Buyer. In particular, but without prejudice to the generality of the foregoing, the Seller will not be liable for loss of profit, damage to plant or for any expenditure incurred on goods supplied or remedial works performed or any consequential or special loss or damage sustained by the Buyer nor for any liability to a third party which the Buyer may incur. 4.8 Nothing in these Conditions shall exclude or restrict any liability: 4.8.1 death or personal injury resulting from negligence; or 4.8.2 breach of the obligations arising from section 12 of the Sale of Goods Act 1979; or 4.8.3 fraud or deceit. 4.9 Whenever any third party, including any prosecuting authority, brings an action or intends to bring an action against the Seller as a result of any actual or alleged criminal offence, tort, breach of contract by the Buyer, then the Buyer undertakes to provide the Seller with a complete indemnity in relation to such action. The Buyer shall also indemnify the Seller, to the full extent of any liability incurred, that arises from any negligent act or omission on the part of the Buyer, whether such liability results from litigation or any settlement reached by the Seller with or without the Buyers consent or howsoever. 5. Risk And Title 5.1 All risk in relation to the Goods and Services passes to the Buyer on collection of the Goods by the haulage company pursuant to Condition 3.6. However, this provision is without prejudice to the provisions of Condition 5.2 relating to the Sellers reservation of title. 5.2 Property in the Goods shall not pass to the Buyer until the entire invoice price under the Contract or under any other Contract between the Seller and the Buyer, has been paid in full and this provision is to apply to associate or subsidiaries of either party. Until such a time the Buyer holds such Goods as bailee on the Sellers behalf subject to the provisions following: 5.2.1 The Goods will be stored separately and be identifiable as belonging to the Seller subject to requirements of normal usage. 5.2.2 The Goods are covered by the Buyers policy of insurance and he will assign the benefits of such policy to the Seller at its request. 5.2.3 Any monies received by the Buyer for Goods supplied to him by the Seller will be retained in a separate account and he will hold such monies as trustee on the Sellers behalf. 5.2.4 The Goods are to be maintained in a usable condition. 5.2.5 The Seller shall be entitled to enter any premises where the contract goods are stored and take possession of such Goods at any time before full payment is received. 5.2.6 Where the Goods, or any part of such Goods, are incorporated with any other goods, the Buyer will make every reasonable endeavour to ensure that the title in such goods (or in goods that may result from the incorporation of the contract goods), passes to the Seller and the foregoing provisions of this clause shall be considered to apply to such goods. 6. Export Sales 6.1 If the Goods are sold CIF or FOB or on the basis of other international trade terms, the meaning given to such terms in the International Chamber of Commerce INCOTERMS (as revised from time to time) shall apply, except where inconsistent with any of the provisions contained in these Conditions. 6.2 The Buyer shall secure the price of any Goods sold under an international supply contract as defined by section 26 of the Unfair Contract Terms Act 1977 by establishing in the Sellers favour an irrevocable letter of credit on terms satisfactory to the Seller immediately upon receipt of the Sellers acceptance of an Order and confirmed by a UK bank acceptable to the Seller. 7. Payment 7.1 Payment for Goods and Services shall be made on or before the end of the calendar month following the month of delivery or collection and payment for Goods and Services shall not be delayed if the Goods supplied are not used nor shall payment be delayed pending settlement of any claim against the Seller and accordingly the Buyer shall not be entitled to any right of set off against the purchase price. Non-compliance with the Sellers payment terms shall entitle the Seller to withhold future deliveries and / or labour forthwith. The Buyer shall not be entitled to withhold or delay the whole or any part of payment on the grounds of insufficient or no proof of delivery unless the Buyer has given written notice within 7 days of the invoice date requiring proof of delivery. The delivery note/invoice copy receipted on behalf of the Buyer or such other reasonable evidence as may be produced shall be sufficient proof of delivery for this purpose. The Buyer shall otherwise be entitled to require proof of delivery. In the event of payment not being made in accordance with the provisions of this clause then: 7.1.1 The Seller will be entitled to an indemnity from the Buyer for all direct labour, legal and other costs incurred in the recovery of amounts which become overdue and; 7.1.2 Payment for all other goods supplied to the Buyer by the Seller shall forthwith become due for immediate payment. 7.2 The Seller shall (if applicable) add to the price of the Goods and Services, and the Buyer shall pay, an amount equal to any VAT or other sales tax or duty applicable from time to time to sales or supplies of such Goods and Services. 7.3 If the Buyer fails to pay any amount due to the Seller under any Contract on the due date, interest shall be added to such amount at the rate of 4% over the base rate for the time being of Barclays Bank plc for the period from and including the date of receipt (whether before or after judgment). 7.4 If, in the Sellers view, the Buyers credit-worthiness deteriorates before delivery of the Goods or performance of the Services, the Seller may require payment in full or in part of the price prior to delivery or performance, or the provision of security for payment

by the Buyer in such form as is acceptable to the Seller. 7.5 The Seller reserves the right to alter or withdraw at any time any credit allowed to the Buyer. 7.6 The Seller may offset any amount owing to it from the Buyer against any amount owed to the Buyer by the Seller. 8. Infringements Of Third Party Rights 8.1 The Seller is not liable to the Buyer if the Goods or Services infringe or are alleged to infringe the rights of any third party if such Goods or Services are supplied pursuant to an international supply contract as defined by section 26 of the Unfair Contract Terms Act 1977. 8.2 If at any time it is alleged that the Goods or Services infringe the rights of any third party in the UK or if in the Sellers reasonable opinion such an allegation is likely to be made, the Seller may at its option and its own cost: 8.2.1 modify or replace the Goods or re-perform the Services in order to avoid the infringement; or 8.2.2 procure for the Buyer the right to continue using the Goods or benefit from the Services; or 8.2.3 repurchase the Goods at the price paid by the Buyer less depreciation at the rate the Seller applies to its own equipment. 8.3 If any claim is made or action brought or threatened which alleges infringement of the rights of any third party: 8.3.1 the Buyer shall notify the Seller as soon as it becomes aware of any such claim; 8.3.2 the Seller shall have control over and, at its own cost, shall conduct any such proceedings in such manner as it shall determine; and 8.3.3 the Buyer shall provide all reasonable assistance as the Seller may request. 8.4 The Buyer shall indemnify the Seller against all loss, liability and cost which the Seller incurs in carrying out any work required to be done on or to the Goods or in relation to the Services in accordance with the Buyers requirements or specifications which give rise to any infringement or alleged infringement of the rights of any third party. 8.5 If the Seller or its employees or agents design the Goods or perform the Services pursuant to a commission from the Buyer (whether to fulfil a Contract or otherwise), any intellectual property rights created in relation to such Goods or Services shall vest in the Seller and the Buyer shall do or procure the doing of all such further acts and execute or procure the execution (as a deed or otherwise) of all such documents as may from time to time be necessary to give full effect to this Condition 8.5. 9. Termination 9.1 The Seller may terminate or suspend the Contract by notice in writing without liability to itself, but without prejudice to any liability on the Buyers part accruing before such termination or suspension and treat the Buyer in breach of contract, in the following circumstances: 9.1.1 the Buyer being in breach of any obligation under a Contract or these Conditions; 9.1.2 a meeting being convened, a petition presented, an order made, an effective resolution passed, or notice given for the Buyers winding up or dissolution (other than for the sole purpose of amalgamation and reconstruction); or 9.1.3 an application being made, or resolved to be made by any meeting of the Buyers directors or members, for an administration order in relation to it or any party gives or files notice of intention to appoint an administrator of it or such an administrator being appointed; or 9.1.4 an incumbrancer taking possession, or a receiver or manager or administrative receiver being appointed, of the whole or any part of the Buyers assets; or 9.1.5 the Buyer ceasing or suspending payment of any of its debts or being unable to pay its debts as they fall due within the meaning of section 123 of the Insolvency Act 1986; or 9.1.6 a proposal being made for a composition in satisfaction of the Buyers debts or a scheme or arrangement of its affairs including a voluntary arrangement within the meaning of part I of the Insolvency Act 1986. 9.2 On termination of a Contract pursuant to Condition 2.3 or 9.1, any indebtedness of the Buyer to the Seller shall become immediately due and payable and the Seller is relieved of any further obligation to supply Goods or perform Services to the Buyer pursuant to that Contract. 10. Confidentiality And Specifications 10.1 The Buyer shall treat all product, customer or business information, drawings, designs and specifications submitted to it by the Seller as confidential and shall not disclose it to any third party without the Sellers prior written consent or use it for any purpose except where authorised to do so by the Seller. 10.2 Condition 10.1 does not apply to information which: 10.2.1 is at the date of disclosure or becomes at any time after that date publicly known other than by the Buyers breach of this Condition; 10.2.2 can be shown by the Buyer to the Sellers satisfaction to have been known by the Buyer before disclosure by the Seller to the Buyer; 10.2.3 is or becomes available to the Buyer otherwise than from the Seller and free of any restrictions as to its use or disclosure; 10.2.4 is required to be disclosed by law. 10.3 All drawings, designs, specifications and other particulars of dimensions or weight submitted by the Seller are approximate only and the Seller accepts no liability for any deviation from them, nor for any errors, omissions or other defects in any such materials not prepared by the Seller. 11. Assignment 11.1 The Buyer may not assign or deal in any way with all or any part of the benefit of, or its rights or benefits under, a Contract without the prior written consent of the Seller. 11.2 The Seller is entitled at any time to assign or deal with the benefit of any Contract, or sub-contract any work relating to any Contract. 12. Notices Any notice given by one party to the other in connection with a Contract must be in writing and may be delivered personally or by pre-paid first class post and in the case of post will be deemed to have been given two (2) Working Days after the date of posting. Notices shall be delivered or sent to the last known addresses of the parties or to any other address notified in writing by one party to the other for the purpose of receiving notices in connection with a Contract. Each party may specify by notice to the other a particular individual or office holder to whom any notices served on it are to be addressed, in which case a notice shall not be validly given unless so addressed. 13. Severance 13.1 If any of these Conditions is found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, such invalidity or unenforceability shall not affect the other Conditions which shall remain in full force and effect. 13.2 If any of these Conditions is so found to be invalid or unenforceable but would cease to be invalid or unenforceable if some part of the provision were deleted, the provision in question shall apply with such modification as may be necessary to make it valid and enforceable. 14. Third Parties A person who is not party to a Contract shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of such Contract. This condition does not affect any right or remedy of any person which exists or is available otherwise than pursuant to that Act. 15. Waiver The rights and remedies provided by any Contract may be waived only in writing and specifically, and any failure to exercise or any delay in exercising a right or remedy by the Seller shall not constitute a waiver of that right or remedy or of any other rights or remedies. A waiver of any breach of any of the terms of a Contract or of a default under a Contract shall not constitute a waiver of any other breach or default and shall not affect the other terms of such Contract. 16. Variation No variation or alteration of any of the provisions of a Contract or these Conditions shall be effective unless it is in writing and signed by or on behalf of each party. 17. Governing Law And Jurisdiction 17.1 A Contract and any matter arising from or in connection with it shall be governed by and construed in accordance with English law. 17.2 Each party irrevocably agrees to submit to the exclusive jurisdiction of the English courts over any claim or matter arising from or in connection with these Conditions.
