CONSTITUTION AND RULES OF KAY PARK BOWLING CLUB

1. NAME The Club shall be known as Kay Park Bowling Club and herein referred to as the Club. 2. PURPOSE AND OBJECT The object of the Club is to provide facilities for and promote participation of the whole community in the sport of bowling. The procedure for granting membership to new applicants will be decided by a majority vote on Committee. 3. OFFICE BEARERS A President, Vice President, Captain, Secretary and Treasurer, along with 15 other members shall be elected and shall form and constitute a Management Committee (herein referred to as the Committee). Included in the membership of the Committee shall be the elected members of East Ayrshire District Council for the two local wards (formerly wards 5 & 6) as Ex-officio playing members. For the purpose of meetings, the presence of 7 Committee Members at any General Committee Meeting shall constitute a Quorum.

4. COMMITTEE OF MANAGEMENT The Committee shall have the full power to transact all business of the Club, including power to borrow funds for the benefit of the Club. The Committee shall be elected at the first Annual General Meeting of the Club, who shall retire every two years but shall be eligible for re-election at the Annual General Meeting. The Committee shall meet once a month, the time and place of the meeting to be arranged at each meeting. 5. CALLING OF MEETINGS The President or any two members of the Management Committee shall have the power to call a meeting of the Committee giving fortyeight hours notice of such meetings. A Special General Meeting of the Club shall be called by the Secretary in the following cases:a) Upon the direction of the Committee and in accordance with such direction. b) On a requisition signed by 20 of the members stating the special object thereof. Notice of such meetings shall state the business to be presented and shall be posted on the notice board in the Club premises in the same manner as notices of the Annual General Meeting not less than 21 days before the date of the meeting. No business other than that specially stated in the notice shall be considered.

6. RETIRAL OF COMMITTEE MEMBERS Any member of the Committee of Management who wishes to retire early may do so on submission of his/her request in writing to the President. Any member, being absent for 4 consecutive meetings of the Committee without giving apologies shall be deemed to be retired. 7. INITIAL MEMBERSHIP There shall be 180 playing members of the Club being 120 men and 60 women; in addition there shall be 120 associate or non-playing members who shall enjoy the facilities of the pavilion at Strawberrybank Road, Kilmarnock. All members of the Club shall be elected by the Committee of Management. The form of the application shall be determined by the Committee. No member of this Club, except an ex-officio member may hold membership of another bowling Club. 8. MEMBERSHIP Application for membership of the Club shall be made by application form which shall be proposed and seconded by existing members of the Club. All application forms must be posted on the notice board in the Club for a period of 14 days. Any objections to the proposed applicant must be lodged in writing with the Secretary within the subscribed period of 14 days.

Membership of the Club shall be open to all persons irrespective of ethnicity, nationality, sexual orientation, religion or beliefs; or of age, sex or disability except as a necessary consequence of the requirements of bowling as a particular sport. The Club may refuse membership or expel from membership only for good and sufficient cause, such as conduct or character likely to bring the Club or sport into disrepute. Appeal against such a decision may be made to the Clubs members and decided by a majority vote. 9. MEMBERSHIP FEE The annual membership fee shall be fixed at the Half Yearly General Meeting. The fees shall be payable as per the AGM decision on the dates stipulated by the Committee. In the event of the fee not being paid, the member shall be deemed to be in arrears and shall be excluded from the Club premises. 10. ACCOUNTS The Treasurer shall be responsible for ensuring proper accounts and books are maintained covering all transactions and showing the financial affairs and intromissions of the Club. The Committee shall ensure that a bank account is opened in the name of the Club and that the statement of accounts shall be presented to the Committee quarterly. The financial year shall run from the last working

day in September every year, notwithstanding the date of the Constitution. The Committee shall have the power to appoint Auditors for the purpose of auditing the Clubs accounts. The President, Secretary and Treasurer shall be held responsible to the Committee for all Club money entrusted in their care during their term of office. 11. ANNUAL GENERAL MEETING The Annual General Meeting of the Club shall be held in December of each year for the purpose of considering and approving the Annual Accounts for the preceding year. In addition, a report from the President shall be made to the meeting. The meeting will also vote on the election or re-election of Office Bearers and Committee Members. A Quorum of members at the Annual General Meeting shall be thirty. At all meetings of the Club, including the Annual General Meeting, the President shall have a casting vote. Proxy votes shall not be recognised at any Annual General Meeting. 12. RESIGNATION Members wishing to leave the Club shall tender their resignations in writing to the Secretary to be received no later than 28 days prior to the Annual General Meeting. Any resignation submitted after this date may result in the membership fee being levied against that person.

13. DISCIPLINE AND EXPULSION It shall be competent for the Committee at any meeting called for such purpose in terms of rule 5 to expel or discipline any member who has been found, in the opinion of the Committee, to have been guilty of misconduct which is detrimental to the Club and the sport of bowling and shall justify expulsion or discipline. 14. LIABILITY OF MEMBER Each member shall be liable for his proportion of any debt incurred by the Committee on behalf of the Club.

15. ADMISSION OF VISITORS Every member, including Associate Member, shall be entitled to admit two visitors with him/her at any time to the Club premises (subject to variation as mentioned in rule 14). The member is personally responsible for ensuring that the visitors are signed into the visitors book placed in the entrance hall and shall at all times be responsible for the conduct and behaviour of his/her visitors. A Bowling Member is entitled to the privileges of three games per season playing with a visitor. 16. ETIQUETTE All members are expected to observe the normal rules of etiquette especially regarding obscene and foul language. Any such breach of this rule shall be dealt with under rule 13. 17. PLAYING OF GAMES Every Playing Member of the Club shall be obliged to play at least 6 Competitions, excluding Wappenshaws, in any one season. In the event of that number not being played without good cause shown, the Committee may call upon that member to tender his/her resignation. 18. TIES All ties played at the Club, the first party drawn on the list must give two dates for the tie to his opponent. These dates shall not be consecutive

and must be at least two clear days in advance. The dates shall be entered on the competition sheet placed on the Club notice board. In the event of failure of either party to fix a date and time, it shall be within the power of the Match Secretary to fix a date and time for the game to be played, and should either party fail to appear at the due date and within thirty minutes of the time specified, the game shall be awarded to his/her opponent. 19. ELECTION OF SKIPS Skips for the ensuing season shall be elected by the members who are present at the Annual General Meeting. All nominations must be made at the meeting and no written nominations will be accepted. 20. LOCKER KEYS Members shall be afforded locker space in the Club premises at a fee to be fixed at each Annual General Meeting. Each member shall be responsible for his locker key and shall return same to the Membership Secretary in the event of his/her resignation or his/her expulsion. 21. FOOTWEAR All members playing on the green must wear appropriate bowling shoes. Bowls should be placed and not dropped on the green. Members are requested to see that the turf and banks are in no way damaged.

22. ALTERATIONS OF RULES The rules made hereunder may only be amended or rescinded at an Annual General Meeting or a Special General Meeting of the Club called by the Committee in terms of rule 5, providing that notice of any proposed amendment or rescission be set out in the notice calling the said meeting. The Rules are deemed to form part of the Constitution of the Club. 23. DISSOLUTION The Club shall not be dissolved except at an Annual General Meeting or a Special General Meeting. Notice of any motion to dissolve the Club shall be given in the notice calling the meeting and intimated to all members at least seven days prior to the meeting. The motion may not be approved unless voted for by two thirds of the Playing Members present at the meeting. In the event of the dissolution of the Club, any assets remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed among the members of the Club, but shall be given or transferred to one or more of the following approved sporting or charitable bodies:1. A registered charitable organisation(s). 2. Another Club which is registered CASC.

1. 2. Name The Club shall be called Kay Park Bowling Club. Interpretation In the following rules The Club means the Kay Park Bowling Club. The Committee means the Committee of Management of the Club appointed under the Constitution and the following rules. The funds of the Club shall not be appropriated to any purpose other than the maintenance of the property, premises and furnishings of the Club and the furtherance of the objects of the Club as specified in the Constitution. a) Membership of the Club shall be limited to Ordinary Members, Associate Members and Honorary Members. b) Ordinary membership and Associate membership be confined to persons who are 18 years of age and over. c) In the event of the establishment of a Junior membership, members under 18 years of age will be afforded the facilities of the Club with the exception of purchasing or consuming alcoholic liquor or playing game machines. d) Honorary Members. The Club may in General Meeting, as a mark of particular esteem or

appreciation of distinguished or meritorious service to the Club, elect any person to be an Honorary Member. There shall be a maximum number of 5 Honorary Members at any one time. 5. a) Members shall cease to be members by failure to comply with section 9 of the Constitution. b) Members shall cease to be members by failure to comply with section 13 of the Constitution. c) Members shall cease to be members by resignation (section 12 of the Constitution). The Committee shall have the full powers necessary for carrying out the objects of the Club and the Management of the Club business and affairs including without prejudice to the said generality. To fill vacancies in their number that may occur, including Office Bearers. A member of the Committee so appointed shall hold office in terms of section 4 of the Constitution. To appoint Convenors to organise functions. Such Convenors shall account to the Treasurer for all money gathered in at such functions. President, Vice President, Secretary and Treasurer of the Club, and who shall hold the same on behoof of the Club as Trustees exofficiates. To make such bye-laws for the running of the Club as they shall deem proper and all such byelaws as made, altered or added to in terms of this article shall be binding on all members

unless and until set aside by a General Meeting, always providing that such bye-laws shall not be in conflict with the Rules and Constitution of the Club. The Committee shall meet at least once monthly throughout the year. Seven members shall form a Quorum. The Committee shall have the power to fix the hours of the daily opening and closing of the Club and to control, subject to the provision of the Licensing (Scotland) Acts and other legislation or orders applicable or which may become applicable to the Club, in the supply of refreshments to members. The hours during which liquor may be supplied in the Club are those permitted under the said Acts. 8. The President, and in his absence the Vice President, shall preside over all meetings of the Committee and if both are absent a member of the Committee shall be elected by the meeting to preside. The person so presiding shall have a deliberative as well as casting vote. The Treasurer shall pay all money received by the Club from any source whatever to the credit of an account to be opened in the name of the Club at such bank as the Committee may direct, and shall, when required to do so, render to the Committee an account of any money received and expended by him.

The financial year shall end on the last working day of September each year and the accounts of the Club shall be presented not later than one month thereafter to an auditor who shall not be a member of the Committee and who shall be appointed at the Annual General Meeting for each year for the ensuing years. A copy of the accounts together with the Auditors report thereof shall be made available for inspection by members at least seven days prior to the Annual General Meeting. 9. The Trustees shall have the power at the request of a majority and Quorum of the members in Special General Meeting convened for the purposes, to hold, purchase or take charge of any heritable property on behoof of the Club or to sell the same or borrow on the security of the same.

10. The Trustees shall take out due insurance over the property and furnishings of the Club and third party liability as may be required or as the Committee deem fit. 11. The Annual General Meeting shall comply with section 11 of the Constitution. 12. At each General Meeting or Special General Meeting, the President, whom failing, the Vice

President shall preside, or in the absence of both another member of the Committee shall be elected by the meeting to preside. The person so presiding over the meeting shall have a deliberative as well as casting vote. 13. a) At each Annual General Meeting compliance with section 11 of the Constitution shall be adhered to. b) Any other business conducted may be submitted by the Committee or any other member, provided that such member has given due notice of the business he wishes to be discussed at least 21 days prior to the date fixed for the Annual General Meeting. c) On a requisition signed by 20 of the members, notice of such meetings shall state the business to be presented and shall be posted on the notice board in the Club premises in the same manner as notices of the Annual General Meeting not less than 21 days before the date of the meeting. No business other than that specially stated in the notice shall be considered. 14. Visitors The Committee may from time to time make such bye-laws as they shall deem fit for introduction by members or visitors. A member may introduce up to 5 visitors for certain functions as stipulated by the Committee. 15. Restrictions as to the sale of alcoholic liquor no member of the Committee and any manager or

servant employed in the Club shall have any personal interest in the sale of alcoholic liquor therein or on the profits arising from such sale. 16. No Alcoholic liquor shall be sold or supplied for consumption outside the premises at the Club except to a member on the premises and for his own consumption. 17. No alcoholic liquor shall be supplied in the Club to any person under 18 years of age. 18. A visitor shall not be supplied with alcoholic liquor in the Club premises unless on the invitation and in the company of a member and that the member shall, upon the admission of such visitor to the Club premises or immediately upon being supplied with such liquor enter his/her own name and name and address of the visitor in the Visitors Book (being a book kept for the purpose and which shall show the date of each visit). 19. All games will be played under Scottish Bowling Association rules. 20. No excisable liquor may be brought into the Club premises or onto the green of the Club premises for consumption on the Club premises or the green by a member or a visitor or a member.
