CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS: This Contract of Lease, made and executed this __, day of __________, 2013 at the Provincial Capitol Hall, Capitol Compound, Sta. Cruz, Laguna, by and between: The PROVINCIAL GOVERNMENT OF LAGUNA , a local government unit [LGU] with office address at the Provincial Capitol Compound located at Santa Cruz, Laguna, represented herein by its Governor, HON. JEORGE E.R. EJERCITO ESTREGAN; and, hereinafter referred to as the FIRST PARTYLESSOR; and -

SIXTO B. VILLARIA, JR., of legal age, single/married, a Filipino citizen, and residing at ____________________________________________; and, hereinafter referred to as the SECOND PARTY LESSEE; W I T N E S S E T H: WHEREAS, the FIRST PARTY - LESSOR is the owner of the LEASED PREMISES situated at RECS Village, Brgy. Bubukal, Santa Cruz, Laguna; WHEREAS, the FIRST PARTY-LESSOR has allowed and agreed to lease a portion of the property exclusively for the purpose of commercial use (canteen stall) for a period of one (1) year commencing on ______________________ up to ________________________; NOW, THEREFORE, for and in consideration of foregoing premises and mutual covenants of the parties therein, the FIRST PARTY-LESSOR hereby conveys and delivers unto the SECOND PARTYLESSEE, by way of lease, property herein below-described subject to terms and conditions set forth hereunder, to wit: 1. That the SECOND PARTY-LESSEE shall pay to the FIRST PARTY-LESSOR at the agreed rental rate of TWO THOUSAND PESOS (P2,000.00)/ every month; 2. That the SECOND PARTY-LESSEE shall pay one (1) month advance rent and one (1) month deposit rent unto the FIRST PARTY-LESSOR, in the total sum of FOUR THOUSAND PESOS (P4,000.00); the deposit to be applied as security for payment of rentals in arrears and other expenses or charges that the SECOND PARTY-LESSEE may owe in favor of the FIRST PARTY-LESSOR; Page 1 of 5

3. That the payment of herein agreed standard monthly rentals shall be uninterrupted; and, shall be paid/remitted on a regular basis to the Office of the Provincial Treasurer every 10th day of the month; such regular monthly rent/lease payments shall actually commence after herein one (1) month advance rent shall have been actually used and/or consumed; 4. That all foodstuff/viands for sale by the SECOND PARTY-LESSEE shall only be brought to the leased canteen premises when the same are already cooked and ready for sale; however, upon prior notice and consent of the FIRST PARTY-LESSOR, the LESSEE may be allowed to use a gas stove only to keep the food warm; 5. That in case there is necessity to cook within the premises, the SECOND PARTY-LESSEE shall only be allowed to cook using such gas stove with appropriate safety device; 6. That charges for electricity usage and/or consumption shall be for the sole account of the SECOND PARTYLESSEE; and, as such, the SECOND PARTY LESSEE shall be responsible for payment of every kilowatt hour consumption/capacity based on the present and prevailing electricity rate as determined by the local electricity supplier/distributor, such as, the Manila Electric Company [MERALCO]. The SECOND PARTY-LESSEE hereby guarantees prompt payment of any and all charges heretofore mentioned as they may fall due and/or become demandable. Any delay in payment thereof shall constitute material breach of herein agreement sufficient to cause immediate unilateral rescission thereof by herein FIRST PARTYLESSOR; 7. That the SECOND PARTY-LESSEE has the responsibility to maintain cleanliness and orderliness of the whole leased premises, including, the space[s] provided for all clients/consumers; 8. That the SECOND PARTY-LESSEE shall be responsible for the remuneration of all of his helpers/assistants; 9. That the SECOND PARTY-LESSEE and all other space occupants are prohibited from performing, exhibiting and/or displaying disgraceful, malicious and/or highly immoral acts/practices within herein leased premises; 10. That the SECOND PARTY-LESSEE or his representatives are prohibited to exhibit unfair practices, i.e. whistle/wave, to encourage costumers;

11. That the FIRST PARTY-LESSOR and/or any authorized representative hereby reserves the right with due notice to ensure that the leased premises is being maintained in good and tenantable conditions, to enter and inspect any part of the leased premises during reasonable hours of any delay; and, as often the need therefore might arise; 12. The premises shall be used exclusively for commercial purposes only and shall not be used whatsoever for residential or in any illegal or unlawful activity such as using the water supply for washing the clothes and keeping materials, chemicals and other matters considered as fire hazards or nuisance to the premises. In the event that, at any time during the term of this contract, the property is used for any purpose other than that stated above, or the SECOND PARTY-LESSEE conducts any activity other than what is necessary or related to the purpose allowed herein, the FIRST PARTY-LESSOR has the right to automatically rescind the Contract; 13. That parties hereby agree specifically that herein lease is exclusively granted to herein SECOND PARTYLESSEE only; and, the latter shall not assign or transfer any of its rights under herein Contract nor sublease or sublet all or any part of the premises without prior written consent of herein FIRST PARTY-LESSOR, which consent, on the other hand, shall not be unreasonably withheld; 14. That the SECOND PARTY-LESSEE shall not make alterations and charges and changes in the premises without the prior written consent of the FIRST PARTYLESSOR, and all permanent improvements introduced by the SECOND PARTY-LESSEE upon the premises shall accrue in favor of the FIRST PARTY-LESSOR without right of reimbursement; 15. That payment for Notarial Fee and/or other expenses of the contract shall be at the cost of and be paid by the SECOND PARTY-LESSEE; 16. That violation of any of the terms and conditions of this contract shall ipso facto cause termination/rescission of this lease; 17. That all legal actions arising from this Contract shall be brought before the proper courts in Santa Cruz, Laguna, all other venues being expressly waived, and the party at fault shall be liable to the other for damages, and costs, and expenses of litigation, including attorneys fees;

18. In the event that any provision of this agreement is declared null and void by a court of competent jurisdiction, the remaining provisions shall continue to be in force and legally binding on the parties; 19. This Contract supersedes any and all agreements and understanding, oral or in writing, entered into between the parties, and may not be modified, amended, or altered hereinafter, except, by written instrument duly signed by the parties hereto. 20. This CONTRACT OF LEASE shall be valid and binding between the parties, their successors-in-interest and/or assignees.
