SALE AGREEMENT THIS AGREEMENT FOR SALE is made and entered on this, 24th June 2012 24/06/2012] at Bangalore

between:1. Sri. B. MUNIRAMASWAMY, Aged about 54 years, S/o.Late.Byrappa, Represented by his SPA Holder. Sri M.Suresh 2. Sri. M.SURESH, Aged about 27 years, S/o.Sri.B.Muniramaswamy, Prop: M/s Adithya Builders & Promoters. Both are residing at: No.16 and 17, Sri Dhiva Krupa Nilaya Chikkakallasandra, Subramanyapura Main Road, BANGALORE - 560 061, Hereinafter called the VENDOR, (Which expression Shall Wherever the context so admits or so requires, shall mean and include all their heirs, legal representatives, successors-in-interest, executors, administrators, assigns, etc.,) of the ONE PART:-

IN FAVOUR OF:Mr. Nanduri Phani Kumar, # 207, Subhodaya Enclave, No.578, 25th Main, Next to PF Office, Ideal Homes, Rajarajeshwari Nagar, BANGALORE 560 098 PAN NO: ACNPN 9133 E Hereinafter called the PURCHASER (Which expression Shall Wherever the context so admits or so requires, shall mean and include all his heirs, legal representatives, successors-in-interest, executors, administrators, assigns, etc.,) of the SECOND PART; WHEREAS, the VENDORS are the absolute owner of Converted Land bearing Sy.Nos.12/1, 12/2, 12/3 and 14/8, situated at Kambipura Village, Kengeri Hobli, Bangalore South Taluk, which is his self-acquired Property. WHEREAS Smt B.Indira Devi sold the converted land bearing Sy.No. 12/1, measuring 4 Acre 17 Guntas, and 2 Guntas Kharab, to Sri B. Muniramaswamy and Sri. M. Suresh, the VENDOR herein, through a Registered Sale Deed vide Document No.2433/2010-11, of Book-I, stored in CD. No. RRND 39, dated: 03.11.2010, registered in the Office of the SubRegistrar, Rajarajeswarinagar, Bangalore. AND Sri.Sannakavalappa and others sold the Land bearing Sy.No.12/2, measuring 2 Acre 7 Guntas, Sy No.12/3, measuring 00-06 Guntas and Sy No.14/8, measuring 00-24 Guntas, to Sri B.Muniramaswamy and Sri. M.Suresh, the VENDOR herein, through a Registered Sale Deed vide Document

No.2474/2007-08, of Book-I, stored in CD. No.RRND 9, dated: 28-01-2008, registered in the Office of the Sub-Registrar, Rajarajeswari Nagar, Bangalore. WHEREAS, the Vendor herein has applied for the conversion of Sy.No.12/1, measuring 4 Acre 17 Guntas, of Kambipura Village from agricultural purpose to non-agricultural residential purposes and she has paid the necessary conversion charges to the concerned authority, dated: 03-01-2009 and on receipt of the necessary conversion charges, the Special Deputy Commissioner, Bangalore District has passed an order converting the property bearing Sy. No.12/1 of Kambipura Village, from agricultural to non-agricultural residential purposes, vide Conversion Order bearing No.ALN. (S) S.R. (K) 130/2008-09. WHEREAS, the Vendors herein have applied for the conversion of Sy.No.12/2, measuring 2 Acre 7 Guntas, of Kambipura Village from agricultural purpose to non-agricultural residential purposes and he has paid the necessary conversion charges to the concerned authority, dated: 03-01-2009 and on receipt of the necessary conversion charges, the Special Deputy Commissioner, Bangalore District has passed an order converting the property bearing Sy. No.12/2 of Kambipura Village, from agricultural to non-agricultural residential purposes, vides Conversion Order bearing No.ALN.S (S) S.R. (KO) 131/200809. Sy No.12/3 and 14/8 of Kambipura Village, from agricultural to nonagricultural residential purposes, vide Conversion Order bearing No.ALN.S (S) S.R.(KO) 131/2008-09, dated: 20-01-2009. WHEREAS, Sri B.Muniramaswamy and Sri. M. Suresh, the VENDORS herein, thus became the sole and absolute owners of Converted Land bearing Sy.Nos.12/1, 12/2, 12/3 and 14/8, situated at Kambipura Village, Kengeri

Hobli, Bangalore South Taluk, who formed a residential layout in the said lands and approached the Bangalore Development Authority to release the Sites for sale and the said Bangalore Development Authority, released the Sites under the said Scheme and issued the Commencement letter vide No.BDA/TPM/PL09/4560/2010-11, dated : 14.02.2011 and the vendor have obtained the release order for the 40% sites through vide document no BDA/EM/TA-II/T-103 dated 01-06-2012 Thus the VENDORS have acquired the absolute, clear, marketable title; right and interest over the said Sites and except him, none else have any rights, title or interest over it. WHEREAS the VENDORS are in need of money for their family, legal and domestic necessities and to invest the proceeds elsewhere for his family benefit and as such the VENDORS have offered and agreed to sell the Schedule Property to the PURCHASER making the following representations:1. That the VENDORS are the absolute owners of the Schedule Property and that none else has any title, right, interest or share therein. 2. That the Schedule Property is not subject to any attachment, litigation or other encumbrances. 3. That he has not entered into any kind of agreement of sale, memorandum of understanding or arrangement to transfer the Schedule Property except to the present PURCHASER. 4. That the Schedule Property is having a clear and marketable title and acting on the said representations, the PURCHASER have agreed to purchase the Schedule Land on the following terms and conditions:

I.

SALE PRICE: 1. The Sale price fixed and settled at Rs.16,20,000/- (Rupees Sixteen Lakh Twenty thousand Only). The PURCHASER has on this day paid an advance of Rs.4,05,000/- (Rupees Four Lakhs five thousand only), by way of cheque bearing no 830722 Dated 24/6/2012 Of HDFC Bank, Mumbai Branch, Bangalore in favour of M/s.Adithya Bu The balance sale consideration of Rs.12,15,000/- (Rupees Twelve Lakhs Fifteen thousand only) shall be payable at the time of Registration of Sale Deed or within in the stipulated time.

II.

TIME FOR COMPLETION OF SALE: date

The Sale transaction shall be completed within 30 days from the of this agreement. III. TITLE/VENDORS OBLIGATIONS:

a. The VENDORS shall make out a good, clear marketable title to the Schedule Property at their own cost. b. The sale of Schedule Property shall be free from all kinds of acquisition, charges, liabilities of any kind and all the outgoing liabilities, claims, charges, Taxes & cesses in regard etc., SHALL be

cleared and paid by the VENDORS up to date of the registration of the Sale Deed. c. All the photo copies of the original title deeds, documents (inclusive of all receipts of taxes and cesses) and other connected deeds shall be handed over to the PURCHASER at the time of registration of Sale Deed. IV. POSSESSION: That the VENDORS have retained the possession of the Schedule Property themselves and it shall be handed over to the PURCHASER at the time of Registration of Sale Deed. EXPENSES: The PURCHASER shall bear the cost of stamp duly, registration charge and any other incidental expenses for registration.

NOMINATION: The VENDORS shall execute the Sale Deed in the name of the agreement holder or his nominees of the PURCHASERs only.

VII.

CLEARANCES. Etc., The VENDORS shall produce the following documents to complete the

sale: a. b. c. d.

Sale Deed of the Schedule Property. Approved Plan and Release order. Up-to- date encumbrance certificate. And any other legal documents which are legally required for registration for Sale Deed.

VIII. BREACH: a. That in the event of the VENDORS committing default of any of the conditions binding them under this agreement, the VENDORS shall refund the entire advance amount within seven days of the date of default to the PURCHASER or PURCHASER can get the Sale Deed registration in their favour from the court of law. b. That in the event of the PURCHASER committing default of any of the conditions binding them under this agreement, the VENDORS shall return entire advance paid within seven days of the date of default by the PURCHASER. Thereafter shall be at liberty to sell the property to any person at their own choice.

:: SCHEDULE PROPERTY :: All that piece and parcel of residential Property bearing SRI SHANKARA, Vacant Site No 17, carved out of converted land bearing Sy.Nos.12/1, 12/2, 12/3 and 14/8, situated at Kambipura Village, Kengeri Hobli, Bangalore South Taluk, duly converted vide conversion order Nos. (1) No.ALN.S (S) S.R.(KO) 131/2008-09. Dated: 03-01-2009, (2) ALN. (S) S.R.(K) 130/2008-09, dated: 03-01-2009, (3) ALN.S (S) S.R.(K)131/2008-09, dated: 20-01-2009, issued by the Special Deputy Commissioner (Revenue), Bangalore District, Bangalore and approved by Bangalore Development Authority (BDA) vide document No.BDA/TPM/PL09/4560/2010-11, dated : 14.02.2011, situated at KAMBIPURA VILLAGE, Kengeri Hobli, Bangalore South Taluk, measuring: East To West: 48 Feet On Northern Side And On Southern Side 42 Feet, North To South : 30 Feet On Eastern Side And Western Side 30 Feet, In All Are Measuring. 1350 Square Feet.

And bounded as follows: EAST BY WEST BY NORTH BY SOUTH BY : : : : Road Road Site No. 18 Site No. 16
