A Message From The Chairman

Dear Reader, Last year was a historic year for Daimler. We celebrated the 125th anniversary of our founders invention of the automobile and set numerous sales and financial performance records. Once again our 27,700 employees here in North America played a significant role in our global success, while paving the way for future growth in this region in our passenger car, commercial truck and financial services businesses. In a word, Mercedes-Benz was hot in North America in 2011! Bolstered by the launch of six new modelsincluding our third-generation Alabama-built M-Class sport-utilitywe set all-time annual sales records in 2011 in Canada, the U.S. and Mexico. As we sell more vehicles here, our manufacturing presence and employment grow in kind. This year well start the production of the new generation of the GL-Class in Tuscaloosa. In 2014 well start production of our C-Class car there. In cooperation with our partner RenaultNissan, we will also start production of fourcylinder engines in Dechard, Tennessee that will power our C-Class cars. We continued to build out the industrys broadest offerings of

green mobility solutions with the introduction of our new family of fuel-efficient, directinjection engines, the ongoing rollout of our B-Class fuel-cell cars, smart electric drive city cars and the expansion of our car2go carsharing service. Meanwhile, our Mercedes-Benz R&D North America facilities in Michigan, Oregon, New Jersey and California forge ahead with design, research and advanced engineering initiatives that are critical to our future. They recently helped drive the launch of our second-generation mbrace system, which features state-of-the-art vehicle connectivity technologies. Daimler Trucks North America (DTNA), headquartered in Portland, Oregon, remains king of the road as the leading manufacturer of Class 6-8 commercial vehicles in North America. In response to increased customer demand for Freightliner and Western Star brand trucks, last year DTNA added nearly 3,000 employees to the workforces at our truck manufacturing facilities in the U.S. and Mexico. We also increased the production of Sprinter vans in South Carolina by 70 percent.

Affirming our commitment to green technology in commercial vehicles, DTNA sales of hybrid and clean natural gas vehicles have now both eclipsed the 1,400 mark. In fact, DTNA has sold over 5,200 hybrid and natural gas trucks and specialty vehicles to date. Daimler Financial Services, Mercedes-Benz Financial and Daimler Trucks Financial rank among North Americas most respected automotive financial institutions. Weve also stepped up our activities in the auto insurance field to better serve our customers. In sum, Daimlers presence in North America is stronger than everand growing. Our Commitment to North America

Daimlerone of the worlds most successful automotive companiesowes its continued growth in no small part to its strong presence in North America. We are proud to contribute to the economies of the United States, Canada and Mexico, and to bring our commitment to excellence to our customers, employees and communities in the region. About 10 percent of our global work force27,700 peopleis employed here in North America, and the number keeps growing. Just last year, we added close to 3,000 jobs at our Freightliner and Western Star Trucks manufacturing plants in the United States and Mexico. Even in an economic downturn, Daimler continued to invest in trusted products which generate employment and drive innovation. In early 2011, North America became the first market outside Japan to offer the Fuso Canter. This medium-duty commercial truck redefines the business vehicle, bringing quality, strength and durability at a low cost of ownership.

Another major initiative announced in 2011 is the planned expansion at MercedesBenz U.S. International, our Alabama-based manufacturing facility where the M-, R- and GL-Class vehicles are built. Daimler plans to invest $2.4 billion in the plant by 2015 for production launches of Mercedes-Benz SUVs and passenger cars, and for overall capacity expansion. On the environmental front, Daimler is a vital part of the solution for sustainable automotive mobility in North America. Our growing list of green technologiesfrom our successful BlueTEC emissions technology to our smart fortwo electric drive carsare helping reduce pollution and protect our natural resources. Meanwhile, recycling effortslike those of Thomas Built Buses, which became the first school bus manufacturer to achieve zero-waste-to-landfill operations in 2011 encourage the reuse of materials to minimize waste. And in Canada, Mercedes-Benz has begun construction of an advanced fuel-cell

development and production facility to produce the next generation of fuel-cell drive system stacks for fuel-cell vehicles. In line with our strong emphasis on corporate responsibility, Daimlers dedicated employees are making an impact on local communities. The close relationship forged between employees of Mercedes-Benz Financial Services USA and a Texas-based nonprofit dedicated to combating domestic violence is just one example of how such partnerships flourish. Mercedes-Benz USA

Mercedes-Benz USA saw a record sales year in 2011, and outperformed both the luxury segment and the overall market with 264,460 vehicles soldan increase of 17.5 percent over 2010. Mercedes-Benz USA continued to broaden its impressive portfolio of luxury cars and light trucks, adding five new products in model year 2012. These include the visionary four-door CLS coupe, the signature SLK roadster, the bread-and-butter M-Class SUV, the dynamic C-coupe and, on the high end of the line, the SLS AMG roadster. Last year also marked the official welcome of smart cars into the Mercedes-Benz USA portfolio as part of a newly-created subsidiary called Daimler Vehicle Innovations USA. Since the July 2011 transition of smart distribution from the Penske Automotive Group, priorities have focused on optimizing the dealer network, enhancing brand awareness, building sales momentum and ensuring that owner expectations are met. Recent highlights include the creation of 12 new dealer markets, the launch of a first-ever national marketing campaign and a revamped smartusa website.

In line with our commitment to customer satisfaction, our Autohaus initiativea project focusing on dealership facility enhancements and a stronger customer-centric approach came to a close with more than 85 percent of Mercedes-Benz USAs dealers on board. Over a three-year period, Mercedes-Benz USA dealers invested nearly $1.4 billion in this initiative, helping the retail network elevate the customer experience and position itself for future growth. With the Autohaus infrastructure now in place, Mercedes-Benz USA is focusing on improving its retail process to better meet the expectations of future buyers. In fall of 2011, we introduced the CustomerONE: Driven to Lead programan intensive training for dealership personnel designed to advance the customer experience. The program will be offered in more than 20 cities across the country, and is expected to reach more than 10,000 dealership personnel. These and other efforts have placed MercedesBenz in top-10 rankings in virtually all major syndicated studies of quality and customer satisfaction. Mercedes-Benz USA is ranked 12th in Fortune magazines 100 Best Companies to Work For.

Our customers and communities have also come to rely on Mercedes-Benz USAs commitment to sustainable mobility. In 2011, we continued to invest in environmentally friendly technologies, adding the S350 BlueTEC sedan to our clean diesel portfolio. It became the first vehicle in the S-Class to employ BlueTEC technology, and the first fourwheel drive BlueTEC sedan. The BlueTEC line already includes offerings in the M-, GL-, Rand E-Classes. Mercedes-Benz USA also unveiled the S400 Hybrid, the worlds first series-production sedan with a lithium-ion battery. The luxury green vehicle delivers outstanding fuel economy with ultra-low emissions while offering breathtaking performance. Another first was Mercedes-Benz USAs delivery of series-produced hydrogen electric vehicles with fuel-cell propulsion.

Mercedes-Benz USA

Our History Headquartered in Montvale, New Jersey, Mercedes-Benz USA is responsible for the distribution, marketing and customer service for all Mercedes-Benz, Maybach, smart and Mercedes-Benz Sprinter Van models in the United States. Mercedes-Benz USA employs more than 1,700 people nationwide, including team members at its state-of-the-art New York City dealership, Mercedes-Benz of Manhattan. Its regional offices are located in Costa Mesa, California; Jacksonville, Florida; Parsippany, New Jersey; and Rosemont, Illinois. Vehicle preparation centers, parts distribution centers, training centers, service centers and emission control laboratories are established at strategic locations throughout the country.

Mercedes-Benzs history in the United States stretches back to 1888 when German engineer Gottlieb Daimler authorized American piano maker William Steinway to produce and market Daimler engines, light trucks and passenger cars in this country. In 1901, Daimlers cars became known by the name Mercedes, and Steinways company built its first model, called the American Mercedes, in Long Island City, New York. The first German-manufactured Mercedes-Benz automobiles began to arrive in the United States in 1952. Imported by Max Hoffman, they were sold at the historic Park Avenue showroom in Manhattan, which is still in operation today.

Daimler Mercedes-Benz Canada

Mercedes-Benz Canada experienced a record-breaking year of growth in 2011, with 32,914 Mercedes-Benz and smart vehicles sold. The division remained the sales leader in Canadas luxury passenger car segment with 35.6 percent market share. The GLK-Class and GL-Class led in the luxury compact and luxury large SUV segments, with 5,294 and 1,660 units sold, respectively. And while 2011 was the last year for the current generation B-Class, the model sold an impressive 2,440 units. This success demonstrated that the vehicles unique combination of luxury, safety and versatility is ideally suited for the Canadian market. Mercedes-Benz Canada is now preparing for the introduction of the all-new 2013 B-Class, which is expected to arrive in the fourth quarter of 2012. In addition, two of our luxury sedans were recognized with prestigious awards by the Automobile Journalists Association of Canada. The 2012 C350 4MATIC was named Best New Luxury Car, and the 2012 S350 BlueTEC 4MATIC earned the Best New Prestige Car (over $75K) ranking. Customers also continued to embrace the smart fortwos intelligent approach to transportation. smart Canada celebrated a significant milestone in 2011 by delivering the 20,000th smart fortwo since the brand launched in the fall of 2004.

In another upward trend, Mercedes-Benz Certified Pre-Owned sales consistently surpassed previously established records, and reported by far its best year ever with a total of 13,079 vehicles retailed. In spring of 2011, Mercedes-Benz Canada announced that it will play an integral role in paving the road to a more sustainable future by taking on the responsibility of producing the next generation of fuel-cell drive system stacks for fuel-cell vehicles. To this end, construction of an advanced fuel-cell development and production facility is underway in Burnaby, British Columbia. We also invested significantly in our infrastructure by opening a state-of theart Logistics Centre and Training Academy in Mississauga, Ontario, to streamline our parts and accessories operations. The 204,000-square-foot facility houses all parts, accessories, Collection items and technical literature in one central location. With support from our national dealer network, we rounded out the year by marking the 125th anniversary of the invention of the automobile with two coast-to-coast tours. The first tour offered a closer look at the historic 1886 Benz Patent-Motorwagen, while the second tour brought the groundbreaking smart fortwo electric drive to every smart center across the country. Both tour dates coincided in many markets, offering a fascinating juxtaposition

of the worlds first automobile with one of the worlds first production electric vehicles. Our History Headquartered in Toronto, Ontario, MercedesBenz Canada is responsible for the sales, marketing and service of Mercedes-Benz, smart, AMG and Maybach brands. MercedesBenz Canada employs more than 1,300 people in 18 locations across Canada. Mercedes-Benz Canada, incorporated in 1955, is the second-oldest automobile import company in the country. Two historic dealerships opened in 1957: Carling Motors, now Star Motors, opened in Ottawa, and Automobiles Chicoine opened in St-Hyacinthe, Quebec. These dealerships stand today as the longest-running independent Mercedes-Benz dealerships in Canada. In 1958, wholesale operations and a retail service department for Toronto opened at 849 Eglinton Avenue East. Mercedes-Benz U.S. International

Mercedes-Benz U.S. International the Alabama-based manufacturing facility where the M-, R- and GL-Class vehicles are built continues to play a significant role in the global production network of Mercedes-Benz cars. A total of 148,092 vehicles were built in 2011, and plans are underway to bring the production of the next generation C-Class to the plant beginning in 2014. Another production expansion is expected to begin in 2015. To support this growth, last year Daimler announced plans to invest $2.4 billion in the plant by 2015 for production launches of Mercedes-Benz SUVs and passenger cars, and for overall capacity expansion.

Our History Located in Tuscaloosa, Alabama, MercedesBenz U.S. International is the first MercedesBenz passenger vehicle manufacturing plant established outside Germany. The plant employs 3,000 team members, and is among the largest exporters in Alabama, with more than $1 billion in exports each year to countries worldwide. When it began operations in 1997, Mercedes-Benz U.S. International focused on the M-Class SUV, which exceeded original expectations with 570,000 units built during the vehicles eight-year life cycle. That success paved the way for several expansions of the plants body shop.

Today, the plant manufactures the M-, R- and GL-Class vehicles. About two-thirds of the components used in our cars come from North American suppliers. More than 1.5 million world-class Mercedes-Benz vehicles have been built by Mercedes-Benz U.S. International. Daimler Mexico

Daimler Mexicocomprised of Daimler Vehiculos Comerciales Mexico, Mercedes-Benz Mexico and Mercedes-Benz Financial Services Mexicosaw strong performance across all three divisions in 2011. Daimler Trucks, part of Daimler Vehiculos Comerciales, produced 61,890 units by years end, an increase of 42 percent over 2010. Exports totaled 56,708 units, an increase of 48 percent over the previous year. Daimler Trucks operates plants in the states of Mexico and Coahuila, and runs a Spare Parts Center in the state of San Luis Potosi. It produces and markets commercial vehicles in the light, medium and heavy segments. Daimler Buses likewise saw growth in 2011. With 3,475 units sold by years end and 49 percent of the market share, Daimler Buses led the market in Mexico. Daimler Buses also continued to build on its joint venture with bus body manufacturer Marcopolo S.A. Thanks to this collaborative effort, an all-new coach product range was introduced in 2012, featuring the Paradiso 1200 and Paradiso 1350 models. Later in 2012, Daimler Buses plans to unveil additional models, including the Viaggio 900, Viaggio 1050 and Paradiso 1800 DD. Daimler Buses operates a plant in Garcia, Nuevo Len, which manufactures both transit bus and coach vehicles and has a daily production capacity of 13 complete buses and 16 chassis. The facility participates in a development network with Mercedes-Benz sister plants in Brazil, Spain and Germany.

In the passenger cars and vans division, Mercedes-Benz Mexico achieved the best year in its history in 2011, with a sales growth of 30 percent. We also set a new monthly sales record when we sold 1,147 units in December. smart set a new sales record in Mexico, with growth of 57 percent compared to 2010. smart remains one of the fastest growing brands in Mexico and is on its way to becoming one of the greenest cars in the country. Mercedes-Benz vans saw a growth of 68 percent over 2010, and emerged as the clear leader in its sector. Its attractive product range further expanded with the recent arrival of the new Sprinter 311 CDI. Daimler Financial Services Mexico launched Mercedes-Benz Insurance in 2011, becoming the only automotive company in the Mexican market to offer branded insurance services. The new program combines traditional auto insurance features with the added benefit of giving customers access to repair services in authorized Mercedes-Benz dealerships across the country. Car owners are guaranteed the usage of original parts in all repair work and can rely on quick and convenient vehicle repair and delivery. At the close of 2011, 4 out of 10 Daimler commercial vehicles and passenger cars in Mexico were financed or leased by Daimler Financial Services Mexico. Our History Headquartered in Mexico City, Daimler Mexico manufactures and distributes Freightliner trucks and buses, distributes Mercedes-Benz

cars and vans and provides financial solutions to dealers and customers across the country. Daimler Mexico employs 5,236 people, and operates locations in the states of Mexico, Coahuila, San Luis Potosi and Nuevo Len. The companys presence in Mexico dates to 1969, when its predecessor, Autocar Mexicana, was established. That same year a truck assembly plant opened in Santiago Tianguistenco to produce trucks licensed by Coach White Motor Corporation. In 1991, the company became known as Mercedes-Benz Mexico, and introduced the Daimler Vehiculos Comerciales division. Daimler Mexico was created in 2007 to bring together Daimler companies in Mexico under one corporate entity. Daimler Vans North America

Daimler Vans Manufacturing increased the production of Sprinter vans by 70 percent in 2011, building more than 12,000 units by years end. Based in Charleston, South Carolina, Daimler Vans Manufacturing builds Sprinter vans for the U.S. market under the Mercedes-Benz and Freightliner brands. Its operations are facilitated by the local highway and railway systems and the nearby deepwater port, which make for the successful distribution of Sprinter vans throughout the country. Daimler Vans Manufacturing employs more than 120 people. Since 2001, when the Sprinter van began to be assembled and distributed in the United States, more than 150,000 units have been sold.

Mitsubishi Fuso Truck of America

Mitsubishi Fuso Truck of America became part of the Daimler Trucks family in 2011, and introduced a new line of Class 3-5 mediumduty commercial trucks to North America in March of last year, making it the first market for the vehicles outside Japan. Known as the Canter FE/FG Series, the new vehicles are designed to outperform competitive trucks with better fuel economy than previous models. The Canter offers up to 2,200 lbs. greater payload capacity, exceptional visibility and maneuverability and 18,000-mile maintenance intervals for maximum uptime and less scheduled maintenance. The Canter cabovers redefine the business vehicle, bringing quality, strength and durability at a cost of ownership so low it can be measured by the mile. In fact, in as few as 20,000 miles annually, a properly driven Canter can move several thousand dollars to its owners bottom line in operating cost savings in just three to four years. The trucks are backed by a nationwide network of highly-trained and dedicated dealers, and an industry-best warranty that protects not only the engine, but the entire powertrain, for up to five years or 175,000 miles.

Our History Headquartered in Logan Township, New Jersey, Mitsubishi Fuso Truck of America is a subsidiary of Mitsubishi Fuso Truck and Bus Corporation of Kawasaki, Japana trucks division of Daimler AG. Mitsubishi Fuso Truck of America employs 79 people, and is dedicated to delivering trucks with the lowest cost of ownership in their class. Our Class 3-5 diesel-powered, mediumduty cabover trucks are available through more than 200 dealer locations throughout the United States, Canada and Puerto Rico. Mitsubishi Fuso Truck of America was established in 1985. We signed our first dealer and sold our first truck in the United States in 1986. By the end of that year, the company had enlisted 41 dealers and had sold 89 trucks. In 1999, Mitsubishi Fuso Truck of America expanded operations to Canada. In 1990, we introduced our FG model fourwheel drive cabover to the North American market. The FE145 Crew Cab model was launched in 2002, followed by redesigned FE and FG models in 2004. In 2009, Mitsubishi Fuso Truck of America signed its 200th dealer, and went on to expand its reach to Puerto Rico. To date, more than 100,000 Mitsubishi Fuso standard, four-wheel drive and crew cab trucks have been sold to fulfill the transportation needs of a wide variety of industries.

Daimler Buses North America was established in 1995, and combines the Orion, Setra and Mercedes-Benz brands under one core structure. Since then, Daimler Buses has been known for its Orion city buses, its Setra coaches and its Mercedes-Benz shuttle buses in the U.S. and Canada. In April 2012, Daimler Buses announced the signing of a letter of intent with Motor Coach Industries International Inc. (MCI) to establish a strategic partnership. car2goDaimlers innovative car-sharing servicetook another major step in promoting environmental sustainability when it launched North Americas first all-electric car-sharing program in San Diego, California, in November 2011. San Diegos fleet of 300 smart fortwo electric drive cars utilize a 30 kW drive motor that is completely powered by a 16.5 kWh lithium-ion battery. The zero-emissions vehicles are fun to drive and great for the environment. And as with all car2go services, they are easy to access anytime, anywhere. Last year car2go also launched in Vancouver, British Columbia, making it the first car2go city in Canada. In early 2012, car2go expanded its services to Washington, D.C., and Portland, Oregon, and in the summer of 2012, car2go will begin operating in Toronto, Ontario; Calgary, Alberta; and Miami, Florida. Today there are more than 50,000 car2go members in North America and more than 2,000 cars in the car2go North American network. The car2go edition smart fortwo features a fully integrated solar roof to reduce fuel consumption, and telematics technology

that makes the already simple rental process even more convenient. Unlike traditional car rental services, car2go gives members access to a network of smart cars available for use 24 hours a day, seven days a week. car2go vehicles are located throughout the city and can be accessed ondemand or reserved in advance.
