Contract Terms and Conditions

Date: Thursday, October 18, 2012 When accepted by the customer as provided herein, the generator proposal and these contract terms and conditions shall constitute the Agreement between Parrish Services, Inc., and the undersigned Customer with respect to the matters set forth herein. For purposes of this Agreement, these terms shall have the following definitions: Parrish, Parrish Services or Company shall mean Parrish Services, Inc., 7865 Coppermine Drive, Manassas, VA 20109. Valve adjustment at first 6 months c. 2 year manufactures labor warranty

d. 3 year manufactures limited parts warranty 3. Equipment Installation Specifications a. Unit will be installed level b. High voltage wires will be run as neatly as possible along side of home to entrance point to basement mounted transfer switch 4. General Installation Specifications a. Provide a concrete pad with treated timber sides b. Quality control start and set up per manufacturers specifications. 5. All county permits

If decision maker is not home during installation, you need to provide a contact number where you can be reached should our installers have questions during your installation. c. Gas supply to generator Payment In consideration of the labor, materials and services described above to be provided by Parrish Services, Inc., the undersigned, by their acceptance of this Proposal agree to pay the purchase price of $6,600.00 (Six thousand six hundred dollars and no cents). $3,300.00 of the purchase price is due and payable upon acceptance of contract. Balance is payable upon start up of the new generator system. Completion of the project is defined as when the installer performs the final system startup and provides the owner with operation instructions. It is understood that failure of the Owner to pay any installment due under this Agreement within five (5) days of the due date, Parrish Services, Inc., may remove the equipment from the premises. 2) In addition, Parrish Services, Inc., may charge an amount equal to one and one-half percent (1-1/2%) per month of the unpaid balance, to be added to the balance due as a service charge. 3) The Customer agrees to pay an additional sum of $35.00 for each dishonored check or credit card charge in addition to any bank-imposed fees. 4) In the event this account is placed in the hands of an attorney for collection, whether or not suit is filed, we agree to pay an additional amount, equal to 1/3 of the amount due, as attorneys fees, together with any other costs of suit and/or collection. Agreement: When accepted by the Customer as provided herein, this Proposal becomes an Agreement between Parrish and Customer, regarding the matter set forth herein. Changes: When accepted in the manner provided herein, this Agreement contains the entire Agreement between the parties relating to the service, labor, materials, specifications and payment provided for herein. Any oral representations or modifications concerning this document shall be of no force and effect. No changes may be made to this Agreement unless such changes are made in writing and the document is signed by both parties. Limited Warranty: Parrish shall have no replacement obligation when failure occurs as a consequence of: an act of God untreated or improperly treated water with a high acid or mineral content lack of proper preventive maintenance service or alteration performed by a party other than Parrish tampering vandalism intentional abuse or any other cause not reasonably considered ordinary wear and tear. KEEP THIS PROPOSAL IN A SAFE PLACE. For Parrish to honor this or any other warranty, we must have proof that Parrish installed the part, and we need to know when we installed it. Other Limited Warranty Information: Parrish warrants its work for one year from the date its work was completed, except when: (1) the manufacturer of the part, component, or system offers a more generous limited warranty (2) a local code or ordinance dictates otherwise or (3) a different warranty period is indicated below. Note that these warranties do not apply when failure is caused by: an act of God service or alteration performed by a party other than Parrish Services tampering vandalism intentional abuse any

other cause not reasonably considered ordinary wear and tear and as otherwise noted. Installation: Parrish Services will install materials and/or improvements in accordance with this contract. The customer authorizes Parrish Services to periodically inspect the installation and agrees to pay Parrish Services the amount agreed to upon completion. Minor adjustments of services needed upon installation are covered by warranties and shall not be construed as failure to complete. Materials: Materials furnished by Parrish Services that are not used in construction are the property of Parrish Services. Delays: Parrish Services shall not be liable for delays caused by events that are unforeseeable, beyond Parrish Servicess control, or that arise due to no fault or negligence of Parrish Services. Such events include, but are not limited to, acts of God, acts of a public enemy, acts of the Owner or Customer, fire, riot, civil disturbance, flood, strike, freight embargo, unusually severe weather, or inability to obtain materials. Interference: If the Customer prevents Parrish Services from starting or completing the work, the Customer shall compensate Parrish Services for the reasonable value of Parrish Servicess labor, materials, and overhead, such amount to be in no event be less than Parrish Services 's costs. Code Violations: Parrish Services will assure that its work complies with local requirements for building permits, inspections, and zoning. Parrish Services assumes no responsibility or liability for any preexisting violation of any government codes, ordinances, of regulations. Unless this Agreement specifically calls for Parrish Services to correct such violations, such correction is excluded from this agreement and is the sole responsibility of the Customer. Should this Agreement call for Parrish Services to identify any violations and correct them, Parrish Services will do its best to comply, but it cannot guarantee that it will be able to identify all violations or to correct all those it does identify. Disturbances: Unless specifically provided otherwise herein, Parrish Services is not responsible for: the repair, restoration, or tamping of soil: or the repair or restoration of sod, wallboard, plaster, ductwork, or other material Parrish Services disturbs in order to effect a repair. Consequential Damages: Consequential damages are those which occur as a result of others, as when carpeting is damaged by a leaking water pipe, or when failure to pay a bill in a timely manner requires the person issuing the bill to obtain a loan in order to meet payments that would otherwise have been met by receipt of the money due. As a condition precedent upon Parrish Services accepting this work, and as a condition precedent on the Customer's retaining Parrish Services for this work, the Customer and Parrish Services hereby agree to waive any claim of consequential damages of one party against the other, be it damage to property, injury to person, loss of income, or any other cause foreseeable or unforeseeable at the time this contract was entered into. Limitation of Liability: As part of the compensation, Parrish Services requires to perform this work, and to the fullest extent permitted by law, the Customer shall limit Parrish Servicess liability (including attorney's fees) for any injury or loss to the customer and/or any third party arising or allegedly arising from Parrish Servicess performance of this work to the cost of the work. Should the Customer wish to modify this aspect of compensation, alternatives may be available and Parrish Services should be contacted in this regard. Dispute Resolution: In the case of any dispute, you and Parrish Services, Inc. will attempt to resolve our differences on our own. If we are unable to do so after 14 calendar days of either party notifying the other of the dispute, we shall within 14 days thereafter initiate mediation, according to the rules of the American Arbitration Association. If we still are unable to resolve our differences within 30 days after entering into meditation, we shall within 14 calendar days thereafter enter into binding arbitration according to the rules of the American Arbitration Association. any agreement between us will be governed by and adjudicated under the laws of the state where the installing contractor's principal place of business is located. Additionally, any mediation or arbitration shall take place in the state where the installing contractor's principal place of business is located at a location mutually agreed upon by the parties. The rules of the American Arbitration Association which shall apply in any mediation or arbitration shall be the construction industry rules or such other rules as are most applicable to generator installation. Agreement: This Agreement sets forth the entire understanding between the parties. Any and all prior agreements, oral discussions, or oral representations made by either party to the other are superseded by this Agreement. Any modification to this Agreement must be made in writing and signed by all parties. We have been advised that we have the right to terminate the Proposal and Agreement for this equipment installation within three (3) days from the date the Agreement is signed for any reason. The undersigned represents that the undersigned is the Owner of the Property described in this Contract (hereinafter "Owner or Customer"). It is understood that the entire Contract is contained in this agreement and that no other agreement or understanding, oral or written, shall be binding on the Company, and that this Contract becomes effective only upon written acceptance by the Company, after which this Contract is not subject to cancellation. Workers' compensation and public liability insurance are provided by the Company. Owner agrees to execute all necessary papers or forms to enable company to obtain payment for equipment, labor, and material which would be involved pertaining to this Contract. This Contract becomes effective only upon a written acceptance by the Company and receipt of the initial nonrefundable deposit. Owner is entitled to copy of Contract at the time of affixing signature. All contracts subject to credit and installation department approval.
