INTRODUCTION 1.1. ONGC Tripura Power Company Limited (hereinafter referred as "OTPC" or "Company" or "Owner"), a joint venture company promoted by Oil and Natural Gas Corporation Limited ("ONGC"), Infrastructure Leasing & Financial Services Limited ("IL&FS") and Government of Tripura, is a public limited company incorporated under the Indian Companies Act, 1956 and having its registered office at ONGC Tripura Assets, Badarghat Complex, Agartala, Tripura 799014 (India), and one of its office at 6th Floor, IFCI Tower, 61, Nehru Place, New Delhi - 110019 (India). OTPC is setting up a 2x 363.3 MW gas based combined cycle power plant at Palatana. Both units are expected to be commissioned by September 2013. OTPC is targeting to develop at least 600 MW wind power project in next 5-7 years. In order to achieve this target, as a first step OTPC intends to set-up 100 MW wind power project at suitable location in Rajasthan. OTPC invites budgetary proposal for setting up 100 MW wind power project as per details given below. Price may be submitted in attached format along with necessary supporting documents as requested below. SITE LOCATION Site may be anywhere in Rajasthan however, it should have proven good wind resource. It is optional for Bidders to quote for land required for setting up 100 MW wind power project including land required for constructing transmission line, pooling sub-station and rightof-way for construction and maintenance. Wherever, Bidder is proposing to provide land as part of their proposal, details of land along with detailed wind resource data shall be submitted as part of bid. owner, grid connectivity for injecting 100 MW from wind power project on the said land etc shall be in the scope of Bidder. 2.0 2.1 2.1.1 SCOPE OF WORK Scope of work shall include the following mandatory and optional work: Provide land suitable for construction of 100 MW wind power plant, pooling sub-station, and transmission line from each WEG to pooling sub-station preferably at one location including arranging transfer of title / lease / right-of-way of land in the name of owner, all clearances & approvals required for setting wind power project on the said land in favour of owner, grid connectivity for injecting 100 MW into the Grid from wind power project on the said land etc. (optional) Provide land suitable for construction of transmission line from pooling sub-station to grid-substation including arranging transfer of title / lease / right-of-way of land in the name of owner, all clearances & approvals required for constructing transmission line on the said land in favour of owner etc. (optional) construction of 100 MW Wind Power Plant on turnkey basis including detailed design, supply, civil construction, erection, testing, commissioning and performance guarantee test. Wind power plant shall include required number of wind turbine generators (WTGs shall be of capacity equal to or greater than 1500 KW) to generate 100 MW of electricity, generator transformer for each WTG, 33 kV electrical overhead transmission lines from generator transformer up to pooling sub-station and other electrical and instrumentation systems required for smooth operation & maintenance of the plant. construction of 33kV transmission line up to grid sub-station (to which grid connectivity has been approved for land at article 3.1 above) on turnkey basis including detailed design, supply, civil construction, erection, testing and commissioning. (optional). operation & maintenance of 100 MW wind power plant including providing manpower, consumables, spares etc for a period of twelve (12) months from the date of commissioning of last WTG. (mandatory) operation & maintenance of 100 MW wind power plant including providing manpower, consumables, etc but excluding spares for a period of seven years from the date three years after the date of commissioning of total capacity of power plant. (optional) DOCUMENTS TO BE SUBMITTED WITH PROPOSAL Details of land including area, topography, coordinates, status of lease / allotment, status of clearances & approvals, grid connectivity, distance from grid-substation, wind resource data along with details of private and C-WET mast including distance from site, net capacity utilization factor and net annual generation for P50, P75 and P90 assuming 95% grid availability, 90% air density correction, 92% environmental correction, 95% machine availability and 5% internal losses. Details of major equipments including WTG, Tower, Generator Transformers etc along with power curve, thrust curve, valid type test certificate approved by C-WET, cable size etc for lines from generator transformers to pooling sub-station etc for wind power plant Single line diagram and details of major equipments etc for 33 kV pooling sub-station and transmission line Guaranteed parameters for O&M for 1 year Minimum 99% availability from April to September and minimum 95% availability from October to March. Schedule for completion of work and commissioning of project.

PRICE BASIS Price shall remain fixed and firm and shall not be subject to any change whatsoever during the currency of the Contract. The lump sum prices shall include Mobilization, Demobilization and Site Establishment charge which shall not be subject to adjustment based upon any additions or deletions to the lump sum price. The Price shall include design, manufacturing, inspection, supply, transportation receipt, offloading, storage, subsequent handling of materials, construction, erection, testing, commissioning, performance guarantee test and handing over the Plant to the Owner, loading, transport and disposal of surplus materials, if any and O&M for a period of 12 months from the date of commissioning of last WTG. Price shall also include price for optional items like land if proposed. All applicable taxes, duties and levies shall be reimbursed at actual based on prevalent rate during the contractual period of completion of work TIME FOR COMPLETION AND LIQUIDATED DAMAGE Land shall be transferred in the name of OTPC along with all clearances and approval within 3-4 months from the date of award of contract. Last WTG, pooling sub-station and transmission line up to Grid Sub-station shall be commissioned within eight (8) months from the date of award of contract. In case of delay in commissioning of WTG and pooling substation, Rs 12.5 Lakh / per day shall be payable as liquidated damage subject to a maximum of Rs twenty five (25) Crore. DEFECT LIABILITY PERIOD Complete wind power plant and pooling sub-station shall be guaranteed for a period of eighteen (18) months from the date of commissioning of last WTG and pooling sub-station for

COST OF SUBMITTING BUDGETORY PROPOSAL All the costs and expenses incidental to preparation of the budgetary proposal, discussions and conferences, if any, technical and other presentations including any demonstrations, etc. shall be to the account of the Proposer and OTPC shall bear no liability whatsoever on such costs and expenses regardless of the conduct or outcome of the process. The courts at New Delhi shall have exclusive jurisdiction in all matters pertaining to the budgetary proposal process.
