This Short-term Services Apemcnt (the "Agreementj is entered into
011 1hls 4,. day of' March 2010 (the "Effective Date") by and between
the University of WJSCOIISin..Madisoo, an entity orpnized pursuant to
tbe laws of' WJSCOnsiD, USA ("UW-MADISON"). with offices at
Division of' International Studies, 260 Bascom Hall, SOO Lincoln
Drive, Madison, WI 53706 USA and JSC "Neyt UDiwnity of
AlUM" ("NUA "), with offices at 1211 Kunaev Street, Astana,
lCazakhstan. 010000.
The purpose of this Agreement is to: (a) set forth the terms upon
which UW-MADISON will provide services and deliverables to NUA
(collectively, the "Services"), as outlined in Attachment A attached
hereto and incorporated herein by reference; and (b) set forth NUA's
for UW-MADISON to successfully provide NUA the
Services, as outlined in Attachment B, attached hereto and
incorporated herein by reference.
BUSINESS TERMS
' A. UW-MADISON will perform the Services set forth in Attachment A;
provided that NUA will satisfy the set forth in
Attachment B, to enable UW-MADISON to successfully provide NUA .

B. to pay UW-MADISON a service fee (the "Services Feej

services to NUA. The terms of payment with respect to such Services
Fee shall be set forth in Attachment A . . In addition, if applicable,
NUA agrees to pay the expenses ofUW-MADISON (the "Expenses"),
as set forth in Attachment A.
NUA will make all payments with respect to the Fee and
Expenses, if applicable, by wire transfer, on the schedule specified in
the Attachment A, and if none within thirty (30) days of NUA's
receipt of the applicable invoice. l)uch. payments will be directed to

All amounts set forth herein are stated in United States Dollars. The
Services Fee charged by UW-MADISON hereunder is exclusive and
net of any taxes, duties or additional governmental charges. Except as
otherwise required by applicable law, NUA will be responsible for,
and indemnify and hold harmless UW-MADISON with respect to, all
applicable Kazakhstani taxes, duties or additional governmental
charges and all required filings with respect thereto, including, without
limitation, withholding, sales, use, wage, stamp, nonprofit, value
added taxes or any amounts levied in ljeu thereof imposed by any
governmental entity for products or services provided under this
Agreement; provided, however, NUA will have no responsibility for
U.S. taxes based on UW-MADISON's net income and provided, that,
this Section is based upon NUA having represented to UW-
MADISON that NUA is not subject to any taxes, duties or additional
govemmental charges and all required filif!gs with respect thereto, or
any amounts levied in lieu thereof, imposed by any non-Kazakhstani
governmental entity for products or services provided . under this
Agreement ("Other Taxes"). In the event NUA is subject to such
Other Taxes, they will notify UW-MADISON immediately and NUA
and UW-MADISON shall mutually agree upon who shall bear the
financial burden of such Other Taxes. UW-MADISON shall furnish a
duly executed (apostillized) Certificate of Residence of UW-
MADISON together with fmal invoice.

C. Any tangible written report and/or summary prepared by UW-
MADISON specifically for NUA and that is set forth as a deliverable
under Attachment A shall be owned by NUA. NUA will use the
written report and/or summary noted above solely for purposes in
furtherance of the business purposes set forth in Attachment A. All
intellectual propertY rights in the methodologies, methods of analysis,
ideas, concepts, know-how, models, tools (includlng any
questionnaires, power point presentations, or similar templates),
techniques, skills, knowledge and experience owned or possessed by
UW-MADISON before the commencement of, or developea or
acquired by UW-MADISON during or after, the performance of the
Services, including without limitation, all systems, software,
specifications, documentation and other materials created, owned or
licensed . and used by UW-MADISON or its affiliates or
subcontractors in the course of providing the Services, shall be owned
by UW-MADISON or its affiliates, as applicable. This Agreement
does not constitute the grant to NUA of a license in or to any of UW-
MADISON's trademarks.
OTHER TERMS
A. The term of this Agreement will begin on the Effective Date and will
continue for a period of 3 months from the Effective Date, unless
tenninated earlier as provided below.
B. (i) Either party may terminate this Agreement at any time, upon
written notice to the other party, if the other party: (a) breaches any
payment obligation hereunder that is not cured within ten (I 0) days
after receiving WTitten notice of such payment breach; or (b) materially
breaches this Agreement (other than for a payment obligation) and
fails to cure such breach within thirtY (30) days after receiving written
notice of such breach froin the non-breaching party.
(ii) In addition, UW-MADISON may terminate this Agreement at any
time upon written notice to NUA: (a) if there are any changes in the
regulatory, licensure or accreditation requirements qr standards that, in
the reasonable judgment of UW-MADISON, materially affect its
ability to fulfill its obligations under this Agreement or OW-
MADISON's non-profit mission is jeopardized, or (b) in the even
that, UW-MADISON in its sole and reasonable discretion, beli
that ccintinuing its relationship with NUA Will pose a significant J.
reputational risk to UW-MADISON, inclu<!ing due to the lack ofNUA
adhering to the quality and professional standards of care it possessed
upon the Effective Date. NUA may terminate this Agreement at any
time upon written notice to UW-MADISON if there are any changes
in the regulatory, licensure, accreditation requirements, or standards
that, in the reasonable judgment of NUA, materially affect its ability
to fulfill its obligations under this Agreement.
(iii) The termination or expiration of this Agreement will not relieve
either party of any obligations under any of the surviving provisions.
In the event of a termination of this Agreement by UW-MADISON
pursuant to Section B (i), Other Tenus, UW-MADISON shall have no
further obligations to provide Services or refund any pre-paid amounts
to NUA and NUA shall pay UW-MADISON an amount equal to the
sum of all fees, costs and expenses accrued to or incurred by OW-
MADISON through the date of termination. In the event of a
tennination of this Agreement by NUA pursuant to Section B. (i), or
by UW-MADISON or NUA pursuant to Section B (ii) above, OW-
MADISON will either: (a) provide to NUA any Services for which
UW-MADISON has been paid but which it has not rendered to NUA
prior to the date of tennination, or (b) refund to NUA that portion of
the Services Fee that corresponds to those Services not rendered.
C. Each party acknowledges the proprietary and confidential oature of
any documents and of all commercial, organizational, business,
frnancial, technical and legal information received from any oiher
party pursuant to the of this Agreement, and agrees to treat all
such documents and information as confidential and privileged, and
will only use such infonnation only as necessary to carry out the terms

of this Agreement. Notwithstanding the foregoing, each party will be
entitled to disclose in its normal course of business the existence and
general nature of this Agreement (i.e., that NUA and UW-MADISON
have entered . into a services arrangement), but neither party will
disclose the specific terms or conditions of this Agreement to any third
party without the prior written consent of the other party.
Notwithstanding the foregoing, a party may disclose this Agreement
as follows: (i) to regulatory and accreditation bodies and as otherwise
required by law; (ii) to its own legal counsel; (iii) in connection with
the enforcement of this Agreement; and (iv) in confidence to
accountants, banks and financing sources (including shareholders and
investors), and to advisors.
D. (i) This Agreement has been prepared ir{ English and Russian
languages and both versions have legal power. However, in case of
any disputes, controversy or claim, the English version of this
Agreement shall prevail for purposes of its performance, interpretatioJl
and settlement of dis_puta. Subject to Section D (ii), Other Terms,
any dispute, controversy or claim arising out of or in connection with
this Agreement, or any breach thereof, including any question
regarding its existence, validity or termination (hereinafter "Dispute"),
shall be referred to and fmally resolved in Rules of Arbitration of the
International Chamber of Commerce (the "Rules"), which Rules are
deemed to be incorporated by reference into this Agreement. The
panel of Arbitrators shall consist of three (3) arbitrators appointed in
accordance with the Rules. The seat or legal place of arbitration shall
be London, England. The language to be used in the arbitration
proceedings shall be English. The construction and performance of
this Agreement will be governed by the rules of substantive law of
Wisconsin, USA, excluding the conflicts of laws provisions thereof.
(ii) Prior to submitting any Dispute to arbitration as described in
Section D (i), resolution of such Dispute shall be negotiated by the
parties in good faith for a period of ninety (90) days (the "Resolution
Period"). In the event of the failure of the 'parties to resolve any such
Dispute during the Resolution Period, such unresolved matter shall be
referred to and finally resolved by arbitration as described in section
D(i).
E. Force Majeure. (i) If, because of a Force Majeure, either party is
unable to perform in whole or in part its obligations as set forth in this
Agreement, then such party will give the other party prompt written
notice of such cause, and will be relieved of those obligations to the
extent it is unable to perform for as long as such cause continues or for
thirty (30) days, whichever is shorter. "Force Majeure" shall mean
any aatural disaster, tornado, hurric:aae, earthquake, fire or other acfs
of God, riot, war, act of terrorism, formal restrictions on travel
imposed by a governmental agency, political instability, or pandelll'ic
that, in the reasonable opinion of a party, renders it undesirable to
travel to a destination to render Services. If after thirty (30) days, the
party affected by such Force MaJeure is unable to continue
performance, the other party may terminate this Agreement Neither
party will be liable for any loss, injury, delays or damages suffered or
incurred by the other party due to the above causes or to the
termination of the Agreement pursuant to this Section E, Other Terms.
(ii) The termination or expiration of ihis Agreement pursuant to
Section E will not relieve either party of any obligations under any of
the surviving provisions. In the event of a "termination of this
Agreement by either party punuaot to Section E, NUA shall ay
UW-MADISON an amount equal to the sum of all fees, costs and
expenses accrued to or incurred by UWcMADISON through e date
of termination, and UW-MADISON will either: (a) provide to NUA
any Services for which UW-MADISON has been paid but which it
has not rendered to NUA prior to the date of termination, or (b)
refund to NUA that portion of the Services Fee that corresponds to
those Services not rendered.

F. Assignment. Neither party will assign this Agreement, or any rights or
obligations hereunder, without the prior written consent of the other
party, except that UW-MADISON may assign and/or delegate certain
or all of its rights or obligations under the Agreement to its
subsidiaries or alliance partners with reasonable prior notice to NUA
of such delegation.
G. Any notice provided or permitted to be given under this Agreement
must be in writing, shall be given when actually received if
transmitted by hand delivery, and shall be deemed given seven (7)
days after transmittal if transmitted by Federal Express or DHL for
receipt within such period (with provision made for the fees thereof),
addressed to the address of the party set forth in the first paragraph of
this Agreement or to such other address as may be provided in a notice
given hereunder, and marked to the attention of "President, New
University of Astana JSC" in the case of notices to NUA or marked to
the attention of "Marianne Bird Bear, Assistant Dean, International
Studies" in the case of notices to the UW-MADISON, and with a copy
of such notice being transmitted via e-mail to NUA at:
asarinzhipov@nu.edu.kz or to the UW-MADISON at:
mtbirdbear@international. wisc.edu .
H. In the event of the termination of this Agreement, the provisions of
BUSINESS TERMS Sections B and C, and OTHER TERMS Sections
C, D, F, G, and H, shall survive such terfnination for so long as is
necessary to complete the matters contemplated thereby.
I. This Agreement and the Attachments constitute the entire
including all understandings, representations, conditions, warranties
and covenants, between the parties concerning the subject matter
hereof. This Agreement supersedes, and the terms of this Agreement
govern, any prior or collateral agreements or understandings between
the parties whether written or oral, with respect to the subject matter
hereof. This Agreement will not be amended or modified without the
prior written consent of both parties.

1. Fees, Expenses and Payment Schedule

Fee includes all fees for services performed by UW-MADISO
The Services Fee shall be paid u let forth below:
Fifty Percent (50%) of the Services Fee be paid to UW-
MADISON on or before the thirtieth (30,.) day following the
Effective Date of this Agreement.
'The remaining fifty percent (50%) of the Services Fee shall be
paid to UW-MADISON within ten (10) days ofNUA's receipt of
the final report (electronic version) and the applicable invoice
provided that the Certificate of Rendered Services is signed by
the Parties in accordance with the form agreed by the Parties (the
"Final Payment'').
Services Fee includes travel, accommodation and other rC!ated
expenses for the Services described in this Attachment A. In the
event any additional travel or related expenses are to be incurred
in connection with rendering the Services, UW-MADISON will
obtain NUA's prior written consent before incurring such
expenses and such additionl!l expenses will thereafter be treated as
"Expenses" for purposes of this Agreement. All payments will be
made within 30 days after NUA receives UW-MADISON's
invoice.
2. Description ofUW-MADISON Services
Consulting services on Preparation of Development Strategy
(Strategic Pl;mning and Assessment Program) for establishment of
a school for social sciences at NUA.
The Strategic Planning and Assessment Program have three
components: Program Planning, On-Site Program, and Final
Report.
A. Program Planning
Team Development
UW-MADISON will develop a 3 to 5 person team with expertise
in strategic planning and governance, faculty and organizational
development, facilities planning and design, academic program
planning, and research program planning.
Preliminary Data Collection
Prior to the on-site Strategic Planning and Assessment Program,
the UW-MADISON project team will work with counterparts at
NUA to identify all important questions to be addressed during the
on-site program, as well as critical data that must be collected.
Upon activation of the legal agreement between UW-MADISON
and NUA, UW-MADISON will provide NUA with a Strategic
Planning and Assessment questionnaire within two-three weeks
after receiving the Initial Payment. This questionnaire will enable
NUA to identify key areas where information is needed to help
UW-MADISON and NUA to address the P.rimary goals of the
engagement. UW-MADISON will request that NUA retu,n the
completed questionnaire and other supporting materials to the
UW-MAD!SON project team for review at least one month prior
to the team's visit to Astana.
Prior to the team's visit, UW-MADISON will facilitate a series of
teleconference calls with NUA to review all relevant documents
and background material, including the questionnaire, master plan,
building plans and architectural drawings associated with the
project and to define the overall scope of work and agenda for the
in-country program.

B. Strategic Planning and Assessment Program - On-Site
Program
Project Review and
The UW-MADISON project team will make a three to four-day
visit to Astana to review the proposed project, develop and present
a high-level assessment, and develop the preliminary outline for a
set of recommendations to be captured in a detailed Final Report.
The agenda for the Astana portion of the Strategic Planning and
Assessment Program will include a wide range of interactions.
The UW-MADISON project team will :
Meet with NUA leadership to understand the strategy, vision,
goals, and work plan for the project to develop a school for social
sciences at NUA.
Review all planning steps that have taken place to date along with
existing documentation such as market research, completed
business plan, building and site plans and any other studies that
may be relevant
Meet with local educators, ministries of education, regulators and
members of the academic community to discuss the proposed
proj.ect and develop a greater understanding of the region's
workforce needs as related to education and research
Conduct tours of the existing site and other institutions that may
be relevant.
Planning Workshop
At the end of the visit, the UW-MADISON project. team will
conduct a workshop to review their findings;. identify, gather, and
review additional information; and share the team's preliminary
knowledge and recommendations. The workshop's focus will be
to:
Address how NUA's envisioned project will support the delivery
of high-quality educaiion, training and research in a way that is
. appropriate to the needs of the local and regional environment
Conduct an interactive session focused on the campus master plan
and the design of the facilities focused on international best
practices and NUA's envisioned curriculum and learning
philosophies
Prioritize needs assessment outputs and resolutions aimed at
developing a world-class learning facility
Begin to work with NUA to develop a long-term work plan that
will help the new school to meet international standards of
accreditation in future phases of work as part of a longer term
agreement.
C. Final Report
Within thirty (30) days of the completion of the on-site program,
the UW-MADISON project team will send to NUA a detailed
written Final Report (electronic version), including an assessment
of the strengths and areas of concern addressed during the on-site
program. Each output and resolution will be addressed in the
report as follows: I) Current Situation; 2) Areas for Improvement;
3) Recommendation for Facilities Planning; 4) Recommendation
for Curriculum Development; 5) Re.commendation for Best
Practice; and 6) Next Steps.
The Final Report will serve as a model and work plan that allows
NUA and UW-MADISON to begin to address the objectives
identified in the report and to develop the key priorities for a
potential long-term relationship that may include facilities
planning, faculty and organizational development, academic and
clinical program planning, and accreditation preparation
initiatives.

Responsibilities ofNUA
NUA will work with the UW-MADISON project team in a
timely fashion to enable the team to the Services under
this Agreement, with NUA ackoowledging the following
responsibilities:
I. NUA will assemble a project team, comprised of key
members, to interact with the UW-MADISON project team
during the Strategic Planning and Assessment Program
2. The designated NUA .Project team will help the UW-
MADISON project team prepare for the Strategic Planning
and Assessment Program by providing, at least thirty (30)
days prior to the On-site Program, all requested data and
information
3. NUA will facilitate the On-Site Program, including
coordinating the necessary meetings between the Team and
the key decision makers and stakeholders
4. NUA will assist UW-MADISON in arranging local
accommodations as necessary, airport pick-up and drop-off
services, and necessary local commuting during the On-Site
Program
5. The designated NUA project team should be available to
the UW-MADISON project team for at least fifty (50)
.percent of the time that the team is on
6. NUA will arrange interpretation and translation services
upon UW-MADISON's request
