JAIME NOLASCO, of legal age, Filipino, married to ANGELLI NOLASCO, and residents of 102 McArthur Highway, Toril, Davao City, Philippines, now and hereinafter referred to as the SELLER; -andDELIA FIGURO, of legal age, Filipino, married to ELPIDIO FIGURO and a resident of 333 Naval Street, Dona Margarita Village, Lanang, Davao City, now and hereinafter referred to as BUYER;

WITNESSETH: WHEREAS, the SELLER is the legitimate owner of a motor vehicle specifically described as follows: MAKE: SERIES: TYPE OF BODY: YEAR MODEL: MAZDA D. CAB PICK-UP 2005 MOTOR NO: CHASSIS NO.: PLATE NO.: FILE NO.: C.R. NO.: 4590022 UFY939-MF0033 LCC-788 89F-0999 CR-37772221

WHEREAS, the SELLER has offered to sell the subject vehicle to the BUYER and the latter has agreed to purchase the same. NOW THEREFORE, the parties agree as follows: 1. The SELLER hereby sells, cedes, transfers and conveys to the BUYER the subject motor vehicle for a consideration of SIX HUNDRED FIFTY THOUSAND PESOS (Php650,000), receipt by the latter of which is hereby acknowledged by the parties. 2. The SELLER warrants full title and ownership over the subject vehicle and that the same is free from liens and encumbrances in favor of any third party or entity. 3. In the event that the said title and ownership shall be defective, the SELLER shall be responsible for any and all damages that the BUYER shall incur.

4. The BUYER shall be responsible for all taxes and fees due on the herein transaction required to be paid by any government agency or entity. 5. This DEED OF SALE OF MOTOR VEHICLE constitutes the entire understanding between the parties and may only be modified, altered or amended only with the prior written consent of the party of or parties against whom, such modification, alteration, or amendment shall take effect.
