DEED OF CONFIRMATION THIS DEED is made the _____ day of _________ between

___________________, a company incorporated in the Republic of Singapore and having its registered office at ________________________________ (hereinafter called the Land Owner) and ______________________________, a company incorporated in the Republic Singapore and having its registered office at ________________________________ (hereinafter called the Developer).

WHEREAS :1. The Land Owner is the registered proprietor of the land comprised in Lot(s) ____________________ of MK/TS _________ (hereinafter called the Land). 2. Pursuant to an agreement made between the Land Owner and the Developer (hereinafter called the Agreement), the Developer has undertaken to develop the Land (hereinafter called the Project). 3. The Project comprises the development and construction of a residential housing project on the Land. 4. It has been agreed between the Land Owner and the Developer that , upon the issuance of the Subsidiary Strata Certificates of Title relating to the strata units in the Project, the Land Owner shall transfer to the Developer an agreed number of strata units as specified in the Agreement (hereinafter called the Strata Units), or, if the Developer has sold any of the Strata Units, to the purchasers of any of the Strata Units as the Developer may direct.

NOW THIS DEED WITNESSETH as follows:1. The Land Owner hereby confirms and declares that the Developer has provided consideration for the development of the Housing Project and that the Developer is entitled to carry out the construction of the Housing Project on the Land as it deems fit. 2. The Land Owner hereby further confirms and declares that the Land Owner is bound to and will transfer the Strata Units to the Developer or, if the Developer has sold any of the Strata Units, to the purchasers of any of the Strata units as the Developer may direct.
