MOTION FOR ALLOWANCE OF ADMINISTRATIVE
EXPENSE CLAIM UNDER 11 U.S.C. 503(b)(9)
PLEASE TAKE NOTICE THAT:

Upon the annexed motion, dated September 17, 2010, Gordon Food Services, Inc.
(GFS), filed its Motion For Allowance of Administrative Expense Claim Under 11 U.S.C.
503(b)(9) (the Motion).
The Motion seeks an order from the Court granting GFS an administrative expense claim
pursuant to 11 U.S.C. 503(b)(9). A hearing on the Motion will be held before the Honorable
Shelley C. Chapman, United States Bankruptcy Judge, Room 610 of the United States
Bankruptcy Court for the Southern District of New York, Alexander Hamilton Custom House,

One Bowling Green, New York, New York 10004, on October 26, 2010 at 10:00 a.m. (Eastern
Time), or as soon thereafter as counsel may be heard.

MOTION FOR ALLOWANCE OF


ADMINISTRATIVE EXPENSE CLAIM UNDER 11 U.S.C. 503(b)(9)
(a)

Gordon Food Services, Inc. (GFS), for its Motion For


Allowance of Administrative Expense Claim Under 11 U.S.C. 503(b)(9)
(the Motion), states:
JURISDICTION AND VENUE

1.

This Court has jurisdiction over this matter pursuant to 28 U.S.C. 157 and

This matter is a core proceeding pursuant to 28 U.S.C. 157(b)(2). Venue is

1334.

proper in this Court pursuant to 28 U.S.C. 1408 and 1409.

The statutory predicate for the relief requested herein is 11 U.S.C. 507(a)(2)

and 503(b)(9).
BACKGROUND
4.

On July 19, 2010, (the Petition Date) the Debtors filed voluntary petitions for

relief under chapter 11 of Title 11 of the United States Code (the Bankruptcy Code).

GFS is a supplier of food products and other related supplies to the Debtors.

6.

GFS sold numerous food items and other related supplies to the Debtors in

the ordinary course of business prior to the Petition Date.


7.

During the 20 days prior to the Petition Date, the Debtors received from GFS food

items and products valued at $26,676.98 (the Administrative Expense Goods).1 A summary of
shipments made during the 20 days prior to the Petition Date is attached as Exhibit A.2
8.

The Administrative Expense Goods were sold to the Debtors in the ordinary

course of the Debtors and GFSs businesses.


9.

GFS has not been paid for the Administrative Expense Goods.
GROUNDS FOR RELIEF

10.

Section 503(b) of the Bankruptcy Code provides that:


After notice and a hearing, there shall be allowed administrative
expenses, other than claims allowed under 502(f) of this title,
including -***
(9) the value of any goods received by the debtor within 20
days before the date of commencement of a case under this title in
which the goods have been sold to the debtor in the ordinary
course of business.

An additional $3,680.77 in Administrative Expense Goods are subject to a claim of GFS under the Perishable
Agricultural Commodities Act (PACA); therefore, such amounts are not included in this Motion. To the extent
such amounts are not paid pursuant to the order authorizing the Debtors to pay PACA claims, GFS reserves the right
to increase its administrative expense claim on account of such amounts.

The individual invoices relating to the Administrative Expense Goods are too voluminous to attach to this Motion
and are available upon request to GFS counsel.

Pursuant to sections 507(a)(2) and 503(b)(9) of the Bankruptcy Code, GFSs

claim for Administrative Expense Goods sold to the Debtors in the ordinary course of business
within 20 days before the Petition Date is entitled to administrative priority.
A.

The Price Of The Goods Agreed To By GFS And The Debtors Is The Value Of
The Goods Received

GFS and the Debtors negotiated the price and terms of sale for the goods

delivered by GFS to the Debtors at arms length. As a result of these arms length negotiations,
the terms, including price, were set forth in the invoices pursuant to which the goods were
delivered.
13.

Based upon these arms length negotiations, the price agreed to for the goods

delivered by GFS to the Debtors represents the value of those goods for purposes of section
503(b)(9) of the Bankruptcy Code.
B.

The Goods Were Sold To The Debtors In The Ordinary Course Of Business

The quantity of goods sold by GFS to the Debtors during the 20 day period prior

to the Petition Date was generally consistent with the amount sold during prior periods.

Because the goods were sold under the terms of the invoices, in generally

consistent quantities with amounts sold during prior periods and in the ordinary operations of the
Debtors and GFSs businesses, the Administrative Expense Goods were sold to the Debtors in
the ordinary course of business within the meaning of section 503(b)(9) of the Bankruptcy Code.

The Administrative Expense Goods are entitled to administrative priority because

they were delivered within 20 days of the Petition Date in the ordinary course of business. GFS
is entitled to an administrative expense claim in the amount of $26,676.98 against the Debtors.
WHEREFORE, GFS requests that this Court enter an order in substantially the form of
Exhibit B allowing GFSs administrative expense claim under 11 U.S.C. 503(b)(9) in the amount
of $26,676.98 and granting such other and further relief as this Court deems appropriate.

This matter having come on to be considered upon the Motion of Gordon Food Service,
Inc.("GFS") for Allowance of Administrative Expense Claim Under 11 U.S.C. 503(b)(9) (the
"Motion"); the Court having reviewed the Motion, any exhibits thereto, any objections,
argument of counsel, testimony and exhibits offered into evidence, and the record in this case;
notice having been given and no further notice or hearing being necessary; the Court being fully
advised in the premises; and capitalized terms not defined in this Order having the meanings
given to them in the Motion;
THE COURT HEREBY FINDS THAT:
A.

GFS sold goods to the Debtors in the ordinary course of business during the 20

days prior to the Petition Date in the amount of $26,676.98 (the "Administrative
EJ(pense Goods");
B.

GFS has not been paid for the Administrative Expense Goods; and

C.

GFS's claim for payment of the Administrative Expense Goods is entitled to

administrative priority under 11 U.S.C. 503(b)(9).

THE COURT HEREBY ORDERS THAT:

The Motion is GRANTED;

2.

GFS is granted an administrative expense claim pursuant to 11 U.S.C. 503(b)(9)

in the amount of $26,676.98.
