ORDER AUTHORIZING EMPLOYMENT OF YOUNG CONAWAY STARGATT & TAYLOR, LLP


Before the Court is the Application of the Debtor for an Order Authorizing the Retention and Employment ofYoung Conaway Stargatt & Taylor, LLP ("Young Conaway") ("Application"). Debtor asserts it provided proper notice of the Application and no objections were filed. On August 1, 2012, this Court issued an Order on Application of the Debtor for an Order Authorizing the Retention and Employment ofYoung Conaway Stargatt &Taylor, as Delaware Bankruptcy and Conflicts Counsel for the Debtor Nunc Pro Tunc to the Petition Date ("Order"). The Declaration in support of the Application discloses a payment of $73,226.08 immediately prior to the filing of the petition to pay "outstanding balances." Thus, the Order requested further information about that payment. On August 6, 2012, Young Conaway filed its Supplemental Declaration of Joseph M. Barry in Support of Application of the Debtor for an Order Authoring the Retention and Employment of Young Conaway Stargatt & Taylor, LLP as Delaware Bankruptcy and Conflicts Counsel for the Debtor, Nunc Pro Tunc to the Petition Date ("Supplemental Declaration"). The affiant, Joseph M. Barry, attests that such amount was applied to pay for services incurred from June 15, 2012 through the petition date, June 26, 2012, "and relate solely and exclusively to preparing the Debtor's chapter 11 bankruptcy filing." In light of such attestation, it is ORDERED that the Application is GRANTED; and it is FURTHER ORDERED that Debtor is authorized to retain and employ Young Conaway as Delaware Bankruptcy and Conflicts Counsel, nunc pro tunc to June 26, 2012; and it is FURTHER ORDERED that Young Conaway may apply for fees and reimbursement of expenses on a basis as frequently as monthly pursuant to and in accordance with this Court's Order Permitting Periodic Fee Applications and Prescribing Procedures entered on July 24, 2012 at Docket #231; and it is

FURTHER ORDERED that Young Conaway is authorized to hold the Retainer paid to it as security for payment but Young Conaway may not apply such retainer without an order of the Court allowing fees and authorizing payment from the retainer. DATED: Augustl.!/_, 2012 BY THE COURT:
