SURYA ROSHNI LIMITED - INTRODUCTION

Since its inception in 1973, when it set up a steel tube manufacturing plant in Haryana,
Surya has kept pace with changing times.

Today, Surya is India's second largest manufacturer of lighting products. Its steel tube
manufacturing plant is one of the largest in Asia!

The company maintains its leadership in the export of fluorescent tubes and has achieved
high brand visibility in 48 countries across the globe.

Keeping in mind the safety of its workers and the protection of the environment, Surya
has been using Hydro Based Technology(HBT) since its inception. This technology uses
water as a solvent to suspend phosphor which is used as a special coating for the
Fluorescent Tube Lamps. Water is used because it is more eco-friendly than chemicals
such as Xylene or Butyl Acetate and doesn't make the process detrimental to the health of
the workers in the workplace.

Since its inception in 1973, when SURYA set up a Steel Tubes manufacturing plant in
Haryana, by keeping the pace with the changing times and constantly focusing on higher
goals it diversified into manufacturing of Lighting products in 1984. It implemented a
major expansion and backward integration programme in 1990s, which resulted into
timely availability of good quality of material at cost effective prices. Over almost a

INDUSTRY STRUCTURE AND DEVELOPMENT

unorganized sectors, but still lighting division is witnessing steady growth in turnover

Segment-wise performance

The company is broadly divided into two main segments viz. Steel and Lighting. During
the year under review, the revenue distribution of various products of the two divisions.

Outlook

The Government is giving continuous thrust on housing and infrastructure sector where
Steel Tubes and Pipes are used. The existing refineries are expanding their capacities and
new refineries are coming into the scene. In future also there seems to be a tremendous
scope for export in ERW Pipes as well as Cold Rolling particularly to Canada, USA and
other European Countries. The government spending on infrastructure development is
also expected to increase the demand of pipes every year. With the easy availability of
finance and tax incentives, it is expected that housing sector will get a major boost. In

view of the same, the long term outlook of the Company remains positive. Steel Division
of the Company has been approved for production of API-5L Grade X-70 Pipes, which is
a matter of pride for us and which will enable us to tap huge demand available in the
market.

Risks and concerns

Technology obsolescence is an inherent business risk in a fast changing world and speed
of change and adaptability is crucial for survival of business. Government energy policy
and development of new superior products may render some of its existing production
facilities obsolescent. At SURYA, the continuing modernization, aggressive cost cutting
and adaptability of new technology are always main strengths and enabled the company
to do away with obsolescent plants/processes and to emerge as one of the most modern
plants in the lighting industry throughout the world. Its strength enable the Company to
face future risk and convert them into opportunities.

Further aggressive cost cutting, addition to the product mix to incorporate more value-
added products and with the present strengths of the company, the management feels that
it can now compete effectively both in terms of quality and price with similar products
imported from various countries. With the assistance of world-renowned consultants, the
company has made good progress towards its objective of becoming the world leader in
lighting products. Intense competition in the Lighting industry, the company is adding a
new product range. Moreover, stress is being laid on boosting exports as well as
institutional demands. At the same time, labour, time and money is also being geared
towards making the various plant premises more and more eco friendly.

The Steel Tubes industry has also been witnessing a fast changing environment. The
quality parameters of pipes used in the oil sector are becoming more stringent each day.
Moreover, any failure of pipes after the supply to customers in the oil and gas sector
attracts heavy penalties. The company is taking utmost care to ensure very high quality of
products.

During the year under review, the company took major steps towards upgaradation of

technology in order to ensure compliance of the quality norms.

Internal control system

Your Company has a continuous process of evaluation of the adequacy of systems to


ensure that the assets are safeguarded against loss from unauthorized use or disposition ,
and that transactions are authorized, recorded and reported correctly. The budgetary
control system is also in place to monitor capital-related costs and revenue costs against
division - wise approved budgets.

Regular internal audits and checks are conducted. The Audit Committee of the Board of
Directors reviews, at periodic intervals, the adequacy and effectiveness of internal control
systems and suggests improvement for strengthening them.

Industrial relations and human resource management

Industrial relations during the year under review were cordial and peaceful. The
management wishes to place on record, the excellent cooperation and contribution made
by the employees, collectively called "SURYA PARIVAR", at all levels of the
organisation to the continued growth of the company. There was constant focus on all
round organizational development. Various training programs including visionary
exercises were conducted for personal as well as professional development of the
employees. Further various other activities like annual sports, festival celebrations take
place every year to get in touch with them and their families.

Relationship has been very cordial with the worker's union for the past several years.
During the month of January 2008 the management executed wage agreement with the
union, which shall be applicable till 31st December, 2010.

The Company's industrial relations continued to be harmonious during the year under
review. The number of persons directly employed by the Company was 3533 as on 31st
March, 2008.

Corporate history
Surya's journey started in 1973 when it set up its steel pipe plant at Bahadurgarh,
Haryana(30 kms from Delhi). Today, this plant is one of the largest in Asia, and produces
180000 MT of steel pipes annually.

In 1984, Surya set up its first factory, for lighting products, at Kashipur (in Nainital, UP).
And in 1992, it built another factory at Malanpur (near Gwalior, MP). Both these state-of-
the-art lighting plants have been awarded the ISO 9001, ISO 14001 & OHSAS 18001
certifications.

Surya is the only lighting company with 100 per cent backward integration. It
manufactures all its components.

Today, Surya is the second largest seller of GLS and FTL in India. It has achieved a
turnover of over Rs 1200 crore and an international presence in 48 countries.

During the year the turnover of the Company increased to Rs.1485.10 crores from
Rs.1302.64 crores last year, registering an increase of 14.00%. However the gross profit
increased to Rs. 53.08 crores from Rs. 49.47 crores last year, a rise of 7.30%.

Surya's GLS Conforms to the IEC 60064-Tungsten Filament Lamps for Domestic &
similar General Lighting purposes IEC 60432-1 safety and interchangeability
requirement of tungsten filament incandescent lamps for general lighting service and
Indian standard IS 418.

The Fluorescent lamp (FTL) conforms to the IEC 60081-Tubular Fluorescent Lamps
for General Lighting Purpose, IEN 61195-Safety specification for Double-capped
Fluorescent lamps and Indian standards IS 2418-1 to 4.

Welfare activities

 SURYA reaches out to flood victims in Bihar; Truck-load of clothes and food
flagged off
 SURYS and its employees once again rose to the occasion and demonstrated their
solidarity with fellow citizens and victims of natural calamities, which rocked the
nation during the year. A sum of Rs 3 crore was contributed by the company to
help mitigate the suffering of the people devastated by the severe earthquake.
 As part of its corporate social responsibility, SURYA undertook a number of
welfare projects during the year at the company’s adopted villages located across
the country. These included blood donation campus, health check up campus &
infrastructure support at these adopted villages.
 Also, as part of company’s commitment towards conservation of the environment,
several tree plantation drives were organization at its plants and township, located
across the country. With this, the total number of trees planted by the company
has gone up to 30 lakh trees.

Environmental care

For over 15 years now Surya has contributed to the community at large.

Mr. B. D. Agarwal, the company's Chairman and Managing Director, received the
'Environmental Activist of the Year' award on the 5th of June 1998 on the occasion of
'World Environment Day' from the Indian Federation of the United Nations.

This honour was conferred to him because he is among the few who have contributed
significantly to make this world cleaner, healthier and a better place to live.

This award is in reference to the Malanpur manufacturing unit of the company. With large
production capacity, the Malanpur plant stands out as a shining star, striking a balance
between nature and technology.

 The Bureau of Indian Standards has given the BIS certificate marks licence to
use the standard mark on steel pipes for specifications - IS :1161, IS:1239,
IS:1978, IS:3589, IS:3601 (168.3mm to 219.1mm OD), IS:4270 and
IS:9295.
 The Company possesses the CE mark on its GLS & FTL category of lamps for
conformity to European Safety Standards that allows manufacturer and
exporters to distribute products within the European Union.

 SRL- Lighting Division has got its products certified by TUV Rheinland and
accredited with TUV Bauart approval for product Safety.
 SRL has got two star Export Home Status by Govt of India in the year 2004
 Kashipur factory of Surya Lighting Division is getting the National Safety Award
for Outstanding Performance in Industrial Safety continuously since 1991.
 SRL Kashipur (Uttaranchal) received the five star certificate for having the best
industrial facilities. This certificate was issued by the Goverment of Uttar
Pradesh.

Environment Protection & pollution control board (UEPPLB) on 5th June 2005.
 PHD Chamber of Commerce and Industry honoured our Chairman , Shri B.D.
Agrawal with Udyog Ratna Award Presented by Hon'ble Chief Minister of
Uttaranchal on 8th July 2005.
 Surya's Malanpur Plant received the National Award For Excellence in Energy
Managment 2003 from the confederation Of Indian industry. Surya's Malanpur
Plant was adjudged as an Energy Efficient Unit.

Incandescent

The Incandescent lamp is the oldest light source. It has gone through several changes to
suit various applications. This lamp can be found in almost all the applications where the
requirement is simple and compact.

Discharge lamps

Discharge lamps comprise both low pressure and high pressure versions and are found in
various applications where energy saving and longer life is important. The lamp
characteristics depend on the lamp type on which it can be selected for various
applications. Among these CFLs are the recently developed lamps for the fluorescent
family with triband phosphor coating, which offer excellent lighting solutions, saving up
to 80 per cent energy compared to their equivalent GLS lamps. They have an average life
of upto 8000 hours.

SURYA mainly recruits Engineer Trainees, Supervisor Trainees and Artisans, whenever
vacancies for these positions are sanctioned. Once vacancies are sanctioned, the

Normally, above two recruitments are centrally conducted for various Units of SURYA
and detailed advertisement, containing no. of vacancies, job-specifications, selection

2. For the positions of Artisans

The recruitment for these positions is conducted by concerned Unit only, whenever
vacancies are sanctioned to them. The detailed advertisement, containing no. of
vacancies, job-specifications, selection process etc., is published in Employment News
and hosted on SURYA website. Window advertisement is, however, published in Local
Dailies.

Job Specifications

Matric / SSLC + National Trade Certificate (NTC) in the relevant trade plus National
Apprenticeship Certificate (NAC) with not less than 60% marks for Gen and OBC
candidates and not less than 55% marks for SC/ST candidates in both NTC and NAC.

During the year 7 employees received national awards. This brings the cumulative

Future prospects

Steel division

In view of thrust of the Government of India on Water, Infrastructure and Export sectors,
there is tremendous scope for growth in the Steel Pipe and Cold Rolled Industry. In large
Dia Pipe the company has widened its product range as per the requirement of the
market.

More demand is expected from various Oil and Gas companies for LDP pipes of API
standards. In future also there seems to be a tremendous scope for export of ERW Steel
Pipes as well as Cold Rolling particularly to U.S.A. and European countries.

In order to increase the capacity of Cold Rolling Segment, the company has ordered for a
new high speed Cold Rolling Mill with better control and quality. Further the company
has decided to install one more Galvanizing Plant with capacity of 36000 M.T. per
annum, so that increased demand of Export / Trade can be fulfilled. In a step forward
towards cost cutting, the company has order for one more Natural Gas Generator Set of
One MW from Wartshila. All these measures will help in increasing the sale &
profitability in the current financial year.

Lighting division

With a general improvement in the power condition in urban as well as rural sectors and
increase in spending on infrastructure development in the coming years, there is always
an increase in demand of regular lighting products . Well defined strategies are being
implemented in order to cater the gradual increase in demand of lighting products and
enhance the product share in market and to boost the demand for your Company's
products.

Keeping in view the growing demands of Energy Saving Lamps and various
Governments drive in this direction, we have already made ourselves ready to cater the
growing demand in India as well as Global markets. With the addition of CFL Chains, the
company is capable to manufacture total range of CFLs to meet the growing demand.
