NON- DISCLOSURE AGREEMENT As XXX Infotech Pvt Ltd AND YYY Consult intend to disclose their confidential information

to each other in connection with the Project and in consideration for, and as a condition to the parties' disclosure of such information to each other as each party, in its sole discretion, deems appropriate, the parties agree as follows: As used in this agreement, the term "Confidential Information" shall have the meaning ascribed to it in Attachment 1. The party releasing the Confidential Information shall be referred to as ("Disclosing Party") and the party to whom the Confidential Information is released shall be referred to as ("Receiving Party"). The Receiving Party shall maintain all Confidential Information submitted to it by the Disclosing Party in secrecy and may not disclose the Confidential Information without the prior written consent of the Disclosing Party other than to its affiliates, attorneys, consultants, or advisors (collectively, Representatives) who are informed of and agree to respect the confidential nature of such information, and then only, on a need to know basis. The Receiving Party shall inform those to whom disclosure is made by the Receiving Party that all of the terms and conditions of this letter agreement shall apply to them and the Receiving Party will assure their compliance. The parties shall refrain from circumventing each other and using or employing for their independent benefit or the benefit of any third person, corporation or entity, all or any part of the Confidential Information, either directly or indirectly, without prior written consent of the other party for a period of six (6) months from the date of this agreement and shall keep the Confidential Information confidential, until a further written notice from the Disclosing Party. Receiving Party however, will not have any obligation of confidentiality with respect to any Confidential Information that was already in its possession prior to receipt from the Disclosing Party. In addition, no obligation of confidentiality shall exist as to Confidential Information that: (a) is in the public domain by public use, publication, general knowledge or the like, or after disclosure hereunder becomes general or public knowledge, through no fault of the receiving hereunder; or (b) is lawfully received by Receiving Party from a third party not under a confidentiality obligation to either Receiving Party or Disclosing Party; (d) was generated independently before its receipt from the Disclosing Party; or is required to be disclosed by law. Upon written request of the Disclosing Party, Receiving Party shall promptly destroy or return all Confidential Information previously delivered to Receiving Party and all paper and electronic copies, summaries, extracts, reproductions or other materials that bear or incorporate such Confidential Information; and it shall be certified in writing (by an authorized officer supervising such destruction or return) to the Disclosing Party, that no Confidential Information has been retained by Receiving Party. Notwithstanding the aforementioned, Receiving Party shall continue to be bound by the obligations of confidentiality and other obligations herein. This agreement shall be governed by and construed in accordance with the laws of Qatar, and the parties hereto shall submit to the exclusive jurisdiction of the courts of the Doha, for the resolution of any disputes that may arise from this agreement. Confidential Information
(a) Any and all trade secrets concerning the business and affairs of the Disclosing Party, product specifications, data, know-how, formulae, compositions, processes, designs, sketches, photographs, graphs, drawings, samples, inventions and ideas, past, current, and planned research and development, current and planned manufacturing or distribution methods and processes, customer lists, current and anticipated customer requirements, price lists, market studies, business plans, computer software and programs (including object code and source code), computer software and database technologies, systems, structures and architectures (and related processes, formulae, composition, improvements, devices, know-how, inventions, discoveries, concepts, ideas, designs, methods and information), and any other information, however documented, that is a trade secret within the meaning of the law of Qatar; and (b) Any and information concerning the business and affairs of the Disclosing Party, however documented, (which includes historical financial statements, financial projections and budgets, historical and projected sales, capital spending budgets and plans, the names and backgrounds of key personnel, personnel training techniques and materials, and any other relevant information), that has been or may hereafter be provided or shown to Recipient by the Disclosing Party or by the directors, officers, employees, agents, consultants, advisors, or other representatives including legal counsel, accountants and financial advisors ("Representatives") of the Disclosing Party (the "Disclosing Party Representatives"), and also includes all notes, analyses, compilations, studies, summaries, and other material prepared by Recipient or Recipient's Representatives containing or based, in whole or in part, on any information included in the foregoing. If any information that the Disclosing Party deems to be a trade secret is found by a court of competent jurisdiction not to be a trade secret for purposes of this letter agreement, then such information will be considered Confidential Information for purposes of this letter agreement. In the case of trade secrets, Recipient hereby waives any requirement that the Disclosing Party submits proof of the economic value of any trade secret or post a bond or other security.
