1. Terms of agreement and schedule of payment This agreement will take effect from 19th March 2012, for a period of 3 months. The payment for the rent of the vehicle shall be Rs. 36,000 per month without increase or overtimes. The first payment is due on 18th April 2012, and rent shall be paid on the last day of each month thereafter (retrospectively); Rent for the vehicle shall only be paid for the days the vehicle is road-worthy (as determined by Lessee), unless the Lessor provides a suitable replacement vehicle. 2. The Lessee agrees to abide by the following obligations: To pay the agreed rent as per the schedule noted in paragraph 1.2 above. To be responsible for the purchase of all fuel necessary for the vehicle. To inform the Lessor quickly and responsibly of maintenance needs. To allow the vehicle to go back to the Lessor for on average of one (1) day per month for essential servicing. The exact date for this servicing day is to be chosen by mutual consent and with sufficient notice.

3. The Lessor agrees to abide by the following obligations: To allow the Lessee unheeded access to the vehicle during the term of this agreement and extensions to this agreement; To assign driver for the vehicle as agreed by the Lesse; To provide lubricants, all spare parts, and is responsible for all maintenance, including new tyres. All maintenance shall be carried out as quickly as possible; To give the Lessee as much notice as possible of necessary maintenance and to supply details of the maintenance required and carried out on request; To provide a replacement vehicle immediately when the vehicle is withdrawn from the Lessee due to maintenance or repair, when this is outside the agreed servicing interval (paragraph 2.6);

To be responsible for providing insurance for the vehicle to cover fire, theft, and third-party liability; To be responsible for all taxes and registration documents and fees relating to the vehicle and this rental agreement, and ensuring that all necessary documents and fees are paid on time and are up-to-date. 4. Conditions of operation: The Lessee is allowed to put stickers and a flag on the vehicle, as well as install communications equipment. These items remain the property of Lessee and will be removed at the termination of this agreement. 5. Amendments and extensions to this agreement: All amendments and extensions to this agreement must be agreed by both parties; The term of the agreement shall automatically be extended for another one month under the same terms and conditions. Should either of the parties (Lessee or Lessor) wish to alter or renegotiate any terms or conditions for the subsequent period, the opposing party should be informed at least one (1) week prior to the ending of the contract; The Lessor or the Lessee may terminate this agreement if seven (7) days notice is given and refunds and / or due payments are paid. 6. War, civil disturbance and malicious damage: The Lessee shall not be responsible for any damage whatsoever caused to the vehicle by war, civil disturbance or arbitrary malicious intent. In case of occurrence of any of the situations mentioned in paragraph 6.1, the Lessor will make a genuine effort to safeguard the vehicle, either by disabling it, or by driving the vehicle to safety, under the condition that this effort does not jeopardize the personal safety of any staff involved. 7. Security clause: The Lessee reserves the right to terminate this agreement in writing at any time and with immediate effect if the Lessee deems use of the vehicle to be detrimental to their security and personal safety, and / or their humanitarian mission is terminated because of security reasons; In the event of termination of the agreement as described in paragraph 6.1, the Lessee shall not be liable for further payments and the Lessor shall not make refunds on rent paid, and paragraph 5.3 will not be enforced. 8. Confidentiality Both parties agree not to discuss any details whatsoever of this agreement or the name and nature of the business of the parties concerned with any other person, authority or company, except where legally obliged to do so.
