If the present document contains more wide-reaching agreements or agreements which conflict with those in the mandatory part, this document has priority. ‘This agreement is an indispensable part from the delivery contract with BOSCH and for the busi- ness connections between SUPPLIER and the companies of the Bosch-group. Page 1 of 3ouLeM.svehertort 1 ‘The Supplier's Quality Management System ‘The SUPPLIER shall maintain a certified QM system in accordance with ISO 9001:2000, ‘The SUPPLIER shall furnish evidence of his QM system in the form of a copy of the valid certifi ‘ate which he shall send to every RB division purchasing unit with whom he has a supplier relation. If he fails to do so, he shall be downgraded in the Bosch supplier evaluation, 2 Incoming goods inspection BOSCH shall limit the incoming goods inspection to checking for externally visible shipping dam- age and to confirming the quantity and part number of the ordered products, at least according to the shipping papers. Any deviations detected at this stage shall be reported immediately. ‘The SUPPLIER agrees to adapt his quality management system and his quality assurance activities to this limited ineoming goods inspection as regulated in greater detail in the present individual agreement, 3 Performing the Quality Assurance Activities 3 Quality Meetings Quality meetings focusing on issues such as preventive quality assurance, evaluation of the quality data exchanged between the parties, defects, current issues etc. shall be held at the request of one of the parties to the agreement. 32 Quality problems Ifa quality problem arises, access to batch and production data must be granted within one calendar day. Ifthe problems arise from the quality of the products, the parties to the agreement agree to develop preliminary solutions within one working day. The SUPPLIER must ensure that access to fault in- vestigation and analysis resources at short notice is available at all times. ‘The procedure for handling complaints within GB/Plant has been standardized and specified as fol- lows: No later than 1 calendar day following receipt of the information/parts (or photo, fault sample), notice of receipt must be sent to BOSCH. - No later than 2 calendar days after the information/parts have been sent (if required for initial reply), an initial reply must be sent to BOSCH. Contents of the initial reply: 8D report up to, and including the point "Immediate measures”, - No later than 14 calendar days after BOSCH has issued the complaint, a complete 8D report must be submitted to BOSCH. If the SUPPLIER is not able to submit a complete 8D report within this time, he must inform BOSCH of this and submit a comprehensive interim report. Page 2 of 3etousscreaer This interim report must also give the date by which the complete 8D report (or the next interim report) will be submitted. No more than 14 calendar days may pass between 2 interim reports. ‘The 14-day deadline for submitting the complete 8D report can only be extended if comprehensive interim reports are submitted. Final reports of fault analyses must be informative, conclusive and complete. The 8D report is to be used as the report format. 4 ‘Term of the Agreement, Termination ‘The present Quality Assurance Agreement shall be valid indefinitely but can be terminated by giv- ing six months notice in writing to the end of the year. This shall be without prejudice to the effec- tiveness of agreements under this Quality Assurance Agreement, i.e. the regulations in the Quality Assurance Agreement shall apply for such agreements until such agreements expire. 5 Final Terms Modifications and additions to the present Agreement must be made in writing. If terms of this agreement should prove pattially or fully invalid, this shall not affect the validity of the remaining terms. In this case, the partners to the agreement shall agree on a valid term which is as close as possible to the economic purpose of the invalid term. This shall also apply to any loop holes. ‘This Agreement shall be subject to German law excluding the rules on conflicts of laws. Place of jurisdiction shall be Stuttgart.
