TERMS OF REFERENCE FOR FEASIBILITY STUDY ENGAGEMENT

MUSIC SCHOOL BUSINESS

I. DESCRIPTION:

This engagement is to seek assistance in putting a Music School Business

feasibility study as a business entity in the Philippines.

II. OBJECTIVES:

Conduct research and study on topics as required by the requesting party,

including statistical analysis. The study will follow descriptive method.

III. PROJECT COMPONENTS: (Components can be Achieved Randomly)

a. Component 1: Management Aspect - 20%

b. Component 2: Marketing Aspect - 20%
c. Component 3: Technical Aspect - 20%
d. Component 4: Financial Aspect - 20%
e. Component 5: Social Desirability Aspect - 20%

IV. DELIVERABLES: (Amount covers research and writing only and excludes survey
expenses. Payment shall be 50% deposit and 50% upon completion).

VII. DISCLOSURE

This TOR serves as a contract between parties wherein the requested party
agrees not to pursue a similar profession or trade in competition against another party
and vows for the confidentiality of the study.

VIII. TERMINATION:

This TOR may be terminated by either the requested and/or requesting party by
giving one week written notice to the other party due to considerations and/or untoward
circumstances affecting the provision of specified services.

IX. EFFECTIVITY AND VALIDITY:

This TOR shall take effect upon signing of the parties herein stated, and shall be
enforceable within three weeks duration starting May 26, 2011. Weekly report of
progress is required to be submitted to the requesting party.

IN WITNESS WHEREOF the parties hereto, affix their signatures this 26th day of
May 2011, Quezon City, Philippines.
