CUA Recomendations for NURFC

Add new recital containing the following:

On April 1, 2003 the Owner and Bank One, NA entered into a reimbursement
agreement which has be altered by amendment from time to time (the
“Reimbursement Agreement).

Insert new Section 2. into Article XV, REPORTS, of the CUA containing the
following.

Section 2. Other Reports. The Owner shall provide to the Commission with
the following:

(a) monthly performance and activity reports for all accounts or investment
vehicles used to calculate Net Liquidity as defined in the
Reimbursement Agreement;

(b) any amendment to the Reimbursement Agreement, within 10 days of the

effective date of the amendment; and

(c) monthly reports regarding the balance used on any line of credit
that the Owner uses in the previous month.

Renumber all remaining sections of Article XV, REPORTS.
