1. General Statement
..........................("SELLER"), located at..................,is engaged in
the business of .................................
("BUYER") is located at.......................BUYER and SELLER have reached this
AGREEMENT for the sale of goods.
2. Sale
BUYER agrees to purchase...........................(number or quantity and type or
other means of determining the quality of the goods to be purchase) from SELLER
pursuant to the terms of this AGREEMENT.
3. Delivery
SELLER must deliver the goods described above in Section 2 to BUYER
at ....................................(specify place and condition of delivery, e.g. by truck, to.........)
on or before................. [SELLER or BUYER] shall pay the costs of delivering the goods.
SELLER may deliver the goods to BUYER before.................(delivery date) only
if the BUYER agrees to the earlier date.
If the SELLER, due to his fault, delays the delivery of the goods, he will pay a fee
of...% of the value of the goods not delivered per day, but not more than....% of the value
of the goods.
At the time and place of delivery, the goods and the risks of ownership pass to the
BUYER.
4. Acceptance of Goods
BUYER may reject any goods upon delivery that are damaged or defective.
BUYER has 2 days after delivery to inspect the goods delivered to him to determine
whether the goods are damaged or defective. Within 2 days after delivery, BUYER must
give written notice to the SELLER of his rejection of any goods. BUYER must return any
rejected goods to the SELLER, and the SELLER must pay the normal and usual costs
associated with BUYER's return of these goods.
The rejection of some goods does not releive the BUYER of the obligation to pay
for goods that are not rejected or other obligations under this AGREEMENT.
Once BUYER has accepted the goods under this Section, he may not revoke this
acceptance at some later date.
If the damaged goods represent more than....% of the whole consignment, the
BUYER is entitled to reject the whole consignment. If the BUYER returns the damaged
goods to the SELLER, the SELLER must pay for the delivery expenses. SELLER must,
at his own expense, either replace any damaged goods the BUYER has rejected
within....days of the date of the BUYER's rejection or pay to the BUYER any money
receive for the damaged goods within....days of the date of the BUYER's rejection.
If the damaged goods represent less than....% of the consignment, the BUYER
will accept and pay for the whole consignment.
5. Warranties (This section is optional)
The Seller warrants that the goods sold hereunder are in accordance with................
[standard quality of the same product as provided under Romanian law, or the quality
standards set out in Section 2]. The Seller does not warrant that the goods are suitable for
any particular purpose which falls beyond the generally admitted purposes of the
respective goods. The Seller will...........[replace; provide a discount of....% of the price;
remedy the defect] of any defective good at his own risk and expense, if the defect is not
due to the BUYER or the BUYER's customers, and if the defect is discovered no more
than....[days, months] from the date of delivery. Until the defective good is..................
[repaired, replaced, discounted], BUYER will separate it from other goods at SELLER's
expense.
The BUYER will not grant to his customers more warranties than the SELLER
granted to the BUYER.
6. Payment
BUYER will pay SELLER............to purchase the goods described above in
Section 2 on............(date) at..............(location). BUYER will pay SELLER in cash upon
SELLER's delivery of the goods to the BUYER. SELLER may require BUYER to pay
the purchase price in cash before the goods are delivered if in SELLER' s opinion the
BUYER's financial condition makes such a prepayment necessary. If SELLER decides to
require such a prepayment, SELLER must notify BUYER in writing.....days before the
prepayment must be made. If the BUYER rejects the prepament, the SELLER may notify
the BUYER that the AGREEMENT is terminated.
Within....days of any rejection of goods under Section 4, SELLER must return the
purchase price for those goods to the BUYER.
For any delay in payment under this Section, the BUYER must pay a penalty of....
% of the sum owed per day to the SELLER, but not more than....% of the value owed.
7. Increase in Price (This section is optional)
If the SELLER determines prior to delivery that SELLER cannot deliver the
goods for the price specified in Section 5 due to an increase in the costs of raw materials,
transportation, labor or energy, SELLER shall have the right to increase the price of the
goods in proportion to said increases, upon giving....days written notice to the BUYER.
BUYER must provide written notice to SELLER stating whether the increased
price is acceptable within....days of SELLER's notification described above. If BUYER
does not respond to SELLER' s written notice, this failure will be construed as an
acceptance of the price increase. If BUYER rejects the increased price, then this
AGREEMENT is terminated, without any liability incurred to the BUYER or the
SELLER.
8. A cceptance of Goods
Once BUYER has accepted and paid for the goods, SELLER has no futher
obligation under this AGREEMENT [except as provided in Section 5, if included].
