rN MCCLATCHY To All McClatchy Employees: Early last year, we announced significant corporate organizational structure changes designed to better reflect and advance our digital transformation, strengthen our sales and marketing teams and better integrate technology throughout the company. Within our technology division these changes brought together our Corporate IT and Ml Technology departments to better serve customer's needs through improved and better aligned product development, technology infrastructure and innovation management. At that time, we also shared we had engaged an outside consulting firm (Alsbridge) to evaluate our technology operations and resources and help us improve our technology services. Since that time, Terry Geiger, our corporate VP of Technology, and technology leaders throughout the company have worked diligently with Alsbridge to design a new technology services model aimed at improving how technology resources and expertise are utilized and managed across the company and helping to accelerate McClatchy's digital transformation. Today, we are pleased to unveil our new IT Transformation Program, a program designed to provide improved service to all technology users, accelerated development and delivery of technology solutions and products, variable demand-based technology resources and access to modern and cutting-edge skills and platforms. The IT Transformation Program’s foundation has been structured around development and implementation of three strategic initiatives: - An Enhanced IT Governance Process - _ ANew Technology Services Co-Sourcing Relationship - Realignment of IT Organizational Structure To assist in the development and implementation process and ensure the desired outcomes, we've signed an agreement with Wipro ~ a world-class global technology services provider. Our partnership with Wipro will improve technology standards and service levels. It will also provide process standardization, service automation, predictive analysis and sophisticated monitoring to establish a robust technology foundation needed to support and enhance existing technologies and rapidly deliver new operating solutions. After careful and diligent consideration, we're confident Wipro is the ideal technology partner to help us as we transform our company. We also know Wipro’s values align welll with ours. Notably, Wipro has been a repeat-recipient of Ethisphere’s ‘World's Most Ethical Company” award, given to organizations having made a material impact on the way business is conducted by fostering a culture of ethics and transparency at all levels. McClatchy and IT leadership have worked hard with Wipro and Alsbridge to ensure the IT Transformation Program will greatly benefit our company. Fully completing its implementation will, however, take time and require tough decisions. As we embark on the implementation phase, there will be a realignment of resources requiring a reduction in McClatchy technology staff. While regrettable, this action is necessary for us to realize the benefits outlined above and help the company achieve its long-term goals. Employees impacted by this realignment will be contacted today by their respective managers and provided with status and process information. At this time, we expect the IT Transformation Program to be completed by the end of August. By then, we will have set up the new Governance model, moved a number of IT professionals into new roles, and fully transitioned our technology services portfolio into the new operating model. To be clear and transparent, we know the initial phase of this process will be challenging and disruptive on many fronts. We are making significant changes to how we execute on and manage technology assets company-wide, not just within the corporate technology group. ‘As mentioned above, we're making and embracing these changes to greatly improve our technological capabilities and allow us to accelerate delivery of solutions which drive audience and revenue growth. Today, we look and act a lot more like the digital company we knew we had to become. With this change, our technology is now better positioned to deliver on our digital needs ‘We will share information with you as we have it with more details around each initiative, and milestones as they are reached.
