Buyers & Sellers Basic Duties:

When Breach Excuses Performance under UCC and CISG
Seller is obligated to transfer and deliver
Buyer is obligated to accept and pay in accordance with the contract
(1) Except for subsection 2, a K for sale has warranties that:
(a) Good title is conveyed, and the transfer is rightful
(b) Goods will be delivered without any security interest, lien, or
encumbrance the buyer has no knowledge of
(2) Warranties under 1 can only be excluded or modified ONLY by special
language or circumstances showing that the Buyer did not have reason to
know that the Seller does not have any claim or right
