NOTICE OF MATERIAL FACT

Pursuant to Instruction No. 358, issued by the Brazilian Securities and Exchange
Commission ("CVM") on January 3

, 2002, as amended, Multiplan Empreendimentos
Imobilirios S.A. ("Company") announces that the Board of Directors of the Company,
at its meeting held on June 30
th
, 2014, resolved about the payment of interest on
shareholders equity, in the gross amount of R$ 70,000,000.00 (seventy million
Brazilian Reais), corresponding to R$ 0.37265147 per share, before the withholding of
15% of income tax, except for tax-exempt shareholders under the terms of the
applicable legislation. This amount is supported by the Companys financial statements
of May 31
st
, 2014. Payment of the interest on shareholders equity to shareholders will
be made by December 31
st
, 2014.

Payment of the interest on shareholders equity shall be made to shareholders listed on
the Companys registry on June 30
th
, 2014. Company shares will be traded ex interest
as of July 1
st
, 2014.

The interest on shareholders equity shall be ad referendum of the General
Shareholders Meeting, attributed to the minimum mandatory dividend related to the
fiscal year that ends on December 31
st
, 2014, at its net value.
