My specific purpose for writing is to assert end file a formal clei for those benefits pursuant to the Employee Retirement Income Security Act of 1974 ("ERISA"), 29 U.S.C. § 1001, et seq. 1 underumd thet Mr, Moore snd his represcatatives have previously engaged in discussions with Tallabessee Memorial concerning Mr. Moore's pension benefits, According to what Ihave been told, the Plan clrims that the benefits to which Mr. Moore ia entitled are spelicd out in the "Tallahassee Memorial Healthoare, Inc. Supplemental Exevotive Retirement Plan (as jen ed ees tees a Oe 2003)", Neither the law nor facts support thet... Inmead, the Employment Agreement between Tallahassee Memorial end Mr, Moore dated October 17, 2000 (2000 Enploymen Agreement), yemains the operative Plex. The 2000 Employment Agrement contains no langusge authorizing the Plan to amend or terminate the ‘benefits set forth thercin. Mr. Moore complied with his obligations under the 2000 Agreement by, among other things, working until retirement. ‘The "Agraement Regarding Harly Retirement and Termination of Employment (*Terminstion Agreement") is clear on that point, Further, the Termination Agreement acknowledges thet Mr. Moore “is fully vested under the SERP and is sali sd ll civ, i enous of i bene sits in; the 200 Rapleynet Agreement." {ecrphasis added] Under such circumstances, Tallahassee Memorial cannot amend ‘the Plan to provide less compensation than that set out in the 2000 Employment Agreement.
