1. The prices for any undelivered merchandise maybe increase by the seller in the event of any increase in the cost of the bills to seller in the cost to seller of supplies, labor increases, cost incur to the seller because of governmental action or any cause beyond sellers control 2.To place an order the customer has to pay estimate 50 % deposit and pay the remaining balance when the items almost ready. 3. Zakka fabric have the right to cancel the order if the item was sold out. 4.The buyer has to purchase insurance for Hawaii state delivery. 5. International customer if theres any liability incur for their import to their country the buyer will be liable/has to pay the import tax according their own countries (or their ship to address countries) regulations . 6. The seller has the right to reject the order anytime and to refuse service to any business or anyone. 7. Buyer should idemnify ,defend the seller and hold harmless to seller and seller companies and aggregate, employees and seller affiliates, agents, and against any all actual or alledged claims, suits,actions, proceedings,liabilities, damage, losses and expenses (include attorney fees incur to the seller, loses includes repackaging, storage of the goods, distribution, a breach of any representation,warranty or obligation, violation, violation of intelectual properties control by the owner of the intelectual properties, missapropriation, fraud transactions of buyer, fraud of buyer, the foregoing idemnification obligations shall not apply to the seller, that foregoing idemnification such loses resullt from the seller and employee and affiliates negligence willfull or fraud or misconduct shall not apply to the seller. 8. This contract shall not be deemed to create between the parties a relationship of principal and agent, joint ventures, co partner , employment, franchiser and franchisee or any similar relationship. 9. The buyer agree to pay all the attorney fees and disbursements which are incured by seller due to a breach of this contract by buyer or any third party using buyers account , id, or password 10.The buyer and their affiliates,friends and partner shall not try against the seller business and shall not contact the manufacture or the brand of the items sell by the seller directly including your order,any comunication should be address directly to zakka fabric 11.No cancellation /refund could be made after the order security deposit and if the items not the same as the picture and it s description (except the item was sold out) 12. Zakka Fabric reserved the right to refuse service to anyone. 13. The seller will not held any liable cost incur regarding the fabric or textilles or any items purchase in this seller buyer trade business, any event cost incur regarding above will be on the customer finacial responsibility solely. 14 Should delivery of all part of merchandise purchase or order by the buyer any delay incur ,government regulations or not specified in this contract and beyond seller control the cost incur will apply to the buyer. 15. Password will be update periodicaly for security purpose, the password can not be shared to anybody in another company,friends or relatives who dont work and responsible for purchasing the items. 16. The customer who doesnt make any purchase for 2 years their account will be close , and need follow preocedures to reactivate again. 18.The delay of the availability and delivery items shall not cancel the orders and the seller will not held any liable cost incur,it s solely the buyer financial responsibility if any cost incur on this matter. 17. This contract agreement may not be assigned, modified or cancelled without seller prior consent, any attempt to assign , modify, or such consent such be void.
