holders of shares of PCEV Common Stock from 19,694 to 105 (the “Remaining Stockholders”), only 3 of which 6799 Ayala Avenue
will hold 100 or more shares. Each multiple of 21,000 shares of PCEV Common Stock, with a par value of P1.00 per Makati City
share, will be reduced to one (1) share, with a par value of P21,000.00. Shareholdings of less than 21,000 shares
of PCEV Common Stock (the “Residual Shares”) may not be replaced with a fractional share, instead, the holder Thru : Stock Transfer Services, Inc.
thereof will be paid the fair value of such Residual Shares equivalent to Four Pesos and Fifty Centavos (P4.50) per Subject : Purchase of Residual Shares of PCEV Common Stock
